4061. SHRI S VENKATESAN:
WILL the Minister of COMMUNICATIONS be pleased to state:
(a) the details of percentage of equity currently held by the Government of India in Vodafone Idea (Vi);
(b) whether the Government become the major stakeholder in Vi and if so, the details thereof;
(c) the details of shareholding pattern of the other major stakeholders in Vodafone Idea
(Vi);
(d) the details of the operational and management control of Vodafone Idea (Vi) at present;
(e) whether the Government does not have operational and management control of Vodafone Idea (Vi), and if so, whether this is considered a deviation from sound business governance practices; and
(f) if so, the reaction of the Government in this regard? ANSWER MINISTER OF STATE FOR COMMUNICATIONS AND RURAL DEVELOPMENT (DR. PEMMASANI CHANDRA SEKHAR)
(a) The Government presently holds 49 percent of the equity share capital of M/s Vodafone Idea Limited.
(b) The Government of India is presently the single largest shareholder in Vodafone Idea Limited. The shares have been acquired through conversion of the Company’s Adjusted Gross Revenue (AGR) and spectrum-related dues payable to the Government into equity shares.
(c) On the basis of publicly available information, the Vodafone Group and the Aditya Birla Group hold 16.07 percent and 9.57 percent, respectively, while the remaining 25.36 percent is held by other public shareholders, apart from the 49 percent shareholding of the Government of India.
(d) The operational and management control of Vodafone Idea Limited is exercised by the Company’s management under the oversight of its Board of Directors, in accordance with the applicable provisions of the Companies Act, 2013 and other applicable laws and regulations.
(e) & (f) The Government of India does not participate in the operational or day-to-day management of Vodafone Idea Limited and its shareholding is classified as Public Shareholding under the applicable Securities and Exchange Board of India regulations.
Accordingly, there is no deviation from accepted corporate governance practices on this account. *****
