1. संजिप्त नाम, प्रयोज्यता और प्रारंभ

(1) आन ददिाजनदेिों का संजिप्त नाम अइसीएअइ (सीए फमों का जवलय और जनर्ववलय) ददिाजनदिे , 2024 ह।ै

(2) य े ददिाजनदेि, समय-समय पर यथा संिोजधत चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 2(गक) म ें यथा पररभाजषत फमों पर लाग ूहोंगे।

2. पररभाषाए ँ आन ददिाजनदिे ों म,ें जब तक दक संदभट स े ऄन्यथा ऄपेजित न हो, जनम्नजलजखत िब्दों का वही ऄथ ट होगा, जो यहा ं नीच े ददया गया ह ै: क. संस्ट्थान/अइसीएअइ : 'संस्ट्थान'/'अइसीएअइ' से चार्टड ट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 3 के ऄधीन स्ट्थाजपत भारतीय सनदी लेखाकार संस्ट्थान ऄजभप्रेत ह।ै ख. पररषद : 'पररषद' स े चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 9 के ऄनुसार गरित संस्ट्थान की पररषद ऄजभप्रेत ह।ै ग. ऄजधजनयम : ‘ऄजधजनयम’ से समय-समय पर संिोजधत चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 (1949 का 38) ऄजभप्रेत ह।ै घ. सजमजत : ‘सजमजत’ स े चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 17 के ऄधीन यथापररभाजषत पररषद की कोइ सजमजत ऄजभप्रेत ह।ै ङ. फमट : ‘फमट’ का वही ऄथ टहोगा, जो ऄजधजनयम की धारा 2(गक) म ें ददया गया ह।ै ऄध्याय 2

3. जवलय और जनर्ववलय की ऄवधारणा तथा पष्ठृ भजू म i. भागीदारी ऄजधजनयम, , 1932, भागीदाररयों के जवलय और जनर्ववलय से संबंजधत नहीं ह।ै कॉपोरेर् की दजु नया म,ें जवलय और जनर्ववलय संस्ट्था को बनाए रखन,े जवकास, जवस्ट्तार और बहुल ईद्देश्यों की पूर्वत करने हते ु सावटभौजमक व्यवहार बन गए ह।ैं तथाजप, कॉपोरेर् संस्ट्थाओं म ें जवलय से यह समझा जाता ह ै दक वह दो या ऄजधक जवद्यमान संस्ट्थाओं का जमश्रण ह।ै दसू री ओर, जनर्ववलय कंपनी में ऐसी गजतजवजधयों को ईपदर्वित करता है, जो जवलय के िीक जवपरीत ह।ैं 'जनर्ववलय' का ईपयोग दिता प्राप्त करन े के जलए प्रचालनों के एक या ऄजधक जबजनेस या सेवाओं को पृथक् दकए जाने को वर्वणत दकए जान े के जलए भी दकया जाता ह।ै दिता म ें सुधार और प्रचालनों में ऄनुकूलतम पैमान े को प्राप्त करने के जलए जवलय और जनर्ववलय अवश्यक प्रदक्रयाए ं ह।ैं ii. एलएलपी ऄजधजनयम 2008 की धारा 60 से 62 के प्रावधानों में एलएलपी से संबंजधत जवलय और समामेलन सजहत समझौतों या व्यवस्ट्थाओं का पालन करन े का तरीका बताया गया ह।ै iii. कॉपोरेर् दजु नया की मूल भावना को सजममजलत करन े और प्रचालनों के पैमान े को प्राप्त करने के जलए छोर्ी फमों के बडी आकाआयों म ें समेकन को प्रोत्साजहत करने के जलए पररषद न े जवद्यमान फमों के समेकन और एकत्रीकरण की अवश्यकता को मान्यता प्रदान की तादक वे बडे पैमान े पर कायट कर सकें। पररषद न े जवलय और समामेलन िब्दों का परस्ट्पर ईपयोग दकया और फमों के जवलयनों स े संबंजधत वररष्ठता के जवजभन्न पहलओंु पर जवचार दकया। आसे संलग्न दकया गया ह ैतथा पररजिष्ट 1 के रूप में जचजननत दकया गया ह।ै[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 3 जवलय का ईद्देश्य मूल सिमताओं को प्रोत्साजहत और जवकजसत करना ह ै तथा बृहत्तर भौगोजलक पैमाने पर प्रोफेिनल सेवाएं ईपलब्ध कराना ह।ै iv. कोइ एकल स्ट्वाजमत्व वाली फमट दकसी ऄन्य एकल स्ट्वाजमत्व, भागीदारी और एलएलपी फमट के साथ जवलय कर सकती ह।ै आसी प्रकार, कोइ भागीदारी फमट दकसी ऄन्य भागीदारी और एलएलपी फमट के साथ जवलय कर सकती ह।ै तथाजप, कोइ एलएलपी फमट दकसी एकल स्ट्वाजमत्व या भागीदारी फमट के साथ जवलय नहीं कर सकती ह।ै ऄध्याय 3

4. जवलय i. दकसी जवलय समझौता को फॉमट ‘एमडीजी 1’ में जवलय की तारीख स े 30 ददन के भीतर संस्ट्थान को फाआल दकया जाना ह।ै पुनगटिन करार/भागीदारी जवलेख को, यथाजस्ट्थजत, फमों के रजजस्ट्रार/कंपनी रजजस्ट्रार को फाआल दकया जाएगा। ii. अइसीएअइ के साथ पंजीकृत दकसी फमट के जवलय पर, जवलय करन े वाली फमट/फमों के ऄनुरोध पर अइसीएअइ तब तक चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 20ख के प्रजतजनदेि से जवलय करने वाली फमट/फमों के नामों पर रोक लगा देगा, जब तक दक नाम पर रोक हर्ाने के जलए ऄनरु ोध करते हुए समयक् रूप से भरा गया फॉमट ‘एमडीजी 3’ प्राप्त नहीं हो जाता। क. सीए फमट के नाम पर, जैसा दक वह जवलय स े पूवट जवद्यमान था, रोक लगान े से यह जनर्ददष्ट होता ह ै दक प्राप्त हुए ऄनुरोध के अधार पर भारतीय सनदी लेखाकार सस्ट्ं थान (अइसीएअइ) के ऄजभलेख म ें जवलय करने वाली फमट/फमों के नामों को जनजिप्त कर ददया जाएगा। ख. फमट के नाम पर रोक लगान े से यह सुजनजित होता ह ै दक जवलय करन े वाली फमट के नाम को सरु जित रखा जाता ह ैऔर वह दकसी ऄन्य फमट को अबंरर्त नहीं दकया जाएगा। ग. रोक लगाइ गइ फमट के भागीदार/स्ट्वामी/प्रैजटर्स करने वाल,े जो व्यजष्टक नाम से प्रैजटर्स कर रह े ह ैं (फमट रजजस्ट्रीकरण संखयांक (एफअरएन) के साथ) ऐसी फमट म ेंकोइ प्रोफेिनल दक्रयाकलाप नहीं कर सकते ह।ैं घ. रोक लगाए गए नाम पर अइसीएअइ द्वारा यहाँ आसम ें चचाट की गइ ितों के ऄधीन रहते हुए जवलय करन े वाली संस्ट्थाओं के ऄनुरोध पर जनर्ववलय के दौरान रोक को हर्ाया जा सकता ह ै और ईसी नाम स,े जो जवलय से पूवट जवद्यमान था, फमट के प्रचालन को पुन: अरंभ करन े की ऄनुमजत दी जा सकेगी। यह ईपबंध फमों को ऄपनी स्ट्वय ं की फमट के नाम को ईसकी वररष्ठता या जवलय करन े वाली फमट के नाम को सुरजित रखन े का ईपबंध करता ह।ै iii. जवलय के दौरान दकसी फमट के नाम पर रोक लगान े और जनर्ववलय के पिात् नाम पर रोक हर्ाने की प्रदक्रया को नीच ेस्ट्पष्ट दकया गया ह ै:4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] क. अइसीएअइ के साथ पंजीकृत दकसी फमट के जवलय पर, जवलय करन े वाली फमट (फमों) के ऄनुरोध पर, अइसीएअइ चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 20ख के प्रजतजनदेि से जवलय करन े वाली फमट/फमों के नामों पर रोक लगा देगा और संस्ट्थान ईन नामों को तब तक दकसी ऄन्य फमट/फमों को अबंरर्त नहीं करेगा, जब तक दक- i. संबद्ध और प्राजधकृत सदस्ट्य पंजीकरण संखया (एमअरएन) स े फमट के नाम पर रोक हर्ाने के जलए ऄनरु ोध प्राप्त नहीं होता ह।ै ii. अइसीएअइ द्वारा संबद्ध और प्राजधकृत एमअरएन की मृत्यु या सेवाजनवृजत्त की संसूचना प्राप्त नहीं की जाती ह।ै iii. चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 20ग के प्रजतजनदेि से फमों के रजजस्ट्र्र स े संबद्ध और प्राजधकृत एमअरएन को हर्ाया नहीं जाता। ख. अइसीएअइ द्वारा फमट के नाम पर रोक लगाते हुए, दी गइ फमट के नाम पर लगाइ गइ और हर्ाइ गइ प्रत्येक रोक के जववरण के साथ फॉमट 'च' म ेंप्रमाणपत्र जारी दकया जाएगा। ग. ईस दिा म,ें जहां जवलय के पिात ् जवलय करन े वाली कोइ फमट ऄपन े संस्ट्था के प्रकार म ें पररवतटन करती ह,ै तो समयक् रूप स े भरे गए फॉम ट "एमडीजी 3" के साथ जवलय के पिात् संस्ट्था के जनर्ववलय/जवघर्न की प्रस्ट्तुजत पर जवलय करने वाली मलू फम टके नाम/रेड नाम पर रोक हर्ाने का ऄनुरोध दकया जा सकता ह।ै घ. जनर्ववलय की दिा म,ें वे फमें, जजन्होंने जवलय दकया था, ऄपन े पूवटवती नामों पर लगी रोक को हर्ा सकती ह,ैं जजससे ईन्ह ें जवलय और जनर्ववलय ददिाजनदेिों के ऄध्याय 3 म ें ऄतं र्ववष्ट ईपबंधों के ऄधीन रहत े हुए ऄपनी मूल फमट का नाम/रेड नाम ऄजभप्राप्त करने की ऄनुमजत प्राप्त हो सके। ङ. मृत्यु/सेवाजनवृजत की दिा में, संबद्ध फमट द्वारा फॉमट एमडीजी 3 को फाआल करके या अइसीएअइ को प्राजधकृत भागीदार/जवजधक ईत्तराजधकारी द्वारा संसूचना देकर फम ट के नाम पर लगी रोक को हर्ाए जाने की प्रदक्रया की जाएगी। च. दकसी फम ट के नाम पर लगी रोक को हर्ान े के जलए जनर्ववलय करन े वाली फमों द्वारा समयक् रूप से भरे गए फॉमट "एमडीजी 3" को फॉमट "एमडीजी 2" के साथ फाआल दकया जाएगा, जजसके पिात् अइसीएअइ द्वारा दी गइ फमट के नाम पर लगाइ गइ और हर्ाइ गइ प्रत्येक रोक के जववरण के साथ पृथक् रूप से फमट के नाम पर लगी रोक को हर्ाए जान े की पुजष्ट करने वाला प्रमाणपत्र जारी दकया जाएगा। छ. दकसी फमट के नाम लगी रोक को हर्ाने के जलए जीजवत भागीदारों में स े 75% की सहमजत ऄपेजित ह।ै यदद भागीदार दकसी कालाक्रम म ें सेवाजनवृत्त होते ह ैं या त्यागपत्र देते ह,ैं तो ईनके जलए यह अवश्यक होगा दक व े भागीदारों म ें पररवतटन के जलए अइसीएअइ को संसूजचत करे और साथ ही िेष बचे भागीदारों को भी भजवष्य म ें फमट के नाम पर लगी रोक को हर्ाने के जलए ऄनापजत्त प्रमाण पत्र (एनओसी) के माध्यम से प्राजधकृत दकया जाएगा। iv. जवलय का अिय रखने वाली फमों से यह ऄपेजित ह ैदक वे जवलय के समय ही जनर्ववलय के जनबंधनों और ितों को स्ट्पष्ट रूप से ऄजधकजथत करें या सभी संबद्ध व्यजियों की सहमजत से ईस समय आस ितट के ऄधीन रहते हुए ईन्ह ें ऄजधकजथत दकया जाएगा दक ईन्ह ें समय-समय पर यथासंिोजधत ऄजधजनयम, सनदी लेखाकार जवजनयम, 1988 और जवलय और जनर्ववलय ददिाजनदेिों या दकसी ऄन्य जवजध के प्रजतकूल नहीं होना चाजहए।[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 5 v. फॉम ट 'एमडीजी 1' को फाआल करत े समय, जवलय का अिय रखने वाली प्रत्येक फमट/(फमों) से यह ऄपेजित होगा दक वह ऑनलाआन पद्धजत के माध्यम स े स्ट्व-सेवा पोर्टल (एसएसपी) पर जवलय की संपूण ट प्रदक्रया को ऄजधप्रमाजणत करन े के जलए एक वचनबंध द्वारा एक प्रबंध भागीदार को प्राजधकृत करे और साथ ही दकसी भागीदार को भी सह- प्राजधकृत करे। तथाजप, फॉमट 'एमडीजी 1' के साथ मूल रूप स/ेजडजजर्ली हस्ट्तािररत समथटनकारी दस्ट्तावेजों को ऄपलोड करना ऄपेजित होगा, ईस दिा में जहां दकसी कालानुक्रम के दौरान प्राजधकृत प्रबंध भागीदार सेवाजनवृत्त हो जाता ह/ैईसकी मृत्यु हो जाती ह,ै तो सह-प्राजधकृत भागीदार ऑनलाआन पद्धजत के माध्यम स े एसएसपी पोर्टल पर जनर्ववलय की संपूणट प्रदक्रया को ऄजधप्रमाजणत करेगा। ईदाहरण : यदद पांच फमों का जवलय हो रहा ह,ै तो प्रत्येक फमट/एलएलपी, जवलय की संपूणट प्रदक्रया को ऄजधप्रमाजणत करन े के जलए ओर्ीपी (वन र्ाआम पासवडट) ईपलब्ध करान े के जलए एक प्रबंध भागीदार/सह- प्राजधकृत भागीदार को प्राजधकृत करेगी। आस प्रकार, ऑनलाआन पद्धजत के माध्यम स े जवलय की प्रदक्रया को ऄजधप्रमाजणत करने के जलए एसएसपी द्वारा केवल 5 प्राजधकृत प्रबंध भागीदारों की ऄपेिा होगी। vi. जवलय की गइ फमट म ें दकसी भागीदार को िाजमल दकए जान े या ईसकी सेवाजनवृजत्त के समय, िाजमल करने वाला या सेवाजनवृत्त होने वाला भागीदार भी ऑनलाआन पद्धजत के माध्यम से एसएसपी पोर्टल पर जवलय की संपूण ट प्रदक्रया को ऄजधप्रमाजणत करने के जलए प्राजधकृत प्रबंध भागीदार के साथ ओर्ीपी ईपलब्ध कराएगा। vii. जबजनेस प्रदक्रयाए,ं जो प्रकृजत म ें स्ट्वाभाजवक रूप से गजतिील ह,ैं मुखय रूप से प्रौद्योजगकी द्वारा संचाजलत होती ह।ैं प्रिासजनक प्रदक्रयाओं के जलए पररषद ्द्वारा समय-समय पर ऄनुमोददत प्रदक्रया का ऄनुसरण दकया जाएगा। viii. प्राजधकृत प्रबंध भागीदार/(भागीदारों) या सह-प्राजधकृत भागीदार/जवजधक ईत्तराजधकारी (क्रमिः प्रबंध भागीदार/ (भागीदारों) की सेवाजनवृजत्त/मृत्य ु की दिा म)ें के पास हर समय फमट/(फमों) की प्रैजटर्स से संबंजधत सभी दस्ट्तावेज होने चाजहए जैसे भागीदारी जवलेख, भागीदारों के त्यागपत्र, सेवाजनवृजत्त या भागीदारों के प्रवेि स े संबंजधत दस्ट्तावेज, ऄर्वहत सहायकों का जनयोजन और ईनका जनयोजन समाप्त करन े से संबंजधत दस्ट्तावेज, फमट/एलएलपी के गिन या पुनगटिन के जलए ददए गए ऄनुमोदनों स े संबंजधत दस्ट्तावेज और जववरण, फमट/एलएलपी की संपजत्त से संबंजधत दस्ट्तावेज, ईसकी कर जववरजणयां, बैंक हस्ट्तािरकता ट के ब्यौरे अदद, जजन्ह ें समय-समय पर अइसीएअइ द्वारा ईस दिा म ें मागं ा जा सकता ह,ै जब वे अइसीएअइ द्वारा दकसी जववाद या दकसी जांच-पडताल या पुजष्ट के जलए ऄपेजित हों। ix. प्राजधकृत प्रबंध साझेदार/ओं या सह-प्राजधकृत साझेदार (क्रमिः प्रबंध साझेदार/ओं की सेवाजनवृजत्त/मृत्यु की जस्ट्थजत में) को ऄन्य जवलय होन े वाली फमों को कंपनी ऄजधजनयम, 2013 की धारा 144 के कारण ईत्पन्न होने वाली लेखापरीिा या गैर-लेखापरीिा कायों के प्रजतबधं ों के बारे म ें स्ट्पष्ट रूप स े बताना चाजहए, साथ ही जवलय होन े वाली फमों के बीच लेखापरीिा के रोर्ेिन की गैर-ऄनुमजत या अचार संजहता या नैजतकता में दकसी भी मुद्दे या जवलय के समय फमों पर लागू दकसी भी िासी कानून के बारे म ेंभी बताना चाजहए। ऄध्याय 4

5. जनर्ववलय i. ऐसी संस्ट्थाओं को जनर्ववलय की ऄनुमजत होगी जजनका पूवट म ें जवलय हो चुका ह।ै जवलय समझौता में ही जनर्ववलय के जलए जनबंधनों और ितों को ऄंतर्ववष्ट दकया जाएगा। ऄत:, सतत भागीदारों स े दकसी प्रकार की स्ट्वीकृजत ऄपेजित नहीं ह।ै जवलय समझौता म ें यह ऄनुबंजधत होगा दक भागीदारी जवलेख म ें ऄंतर्ववष्ट दकसी प्रजतकूल बात के होते हुए भी, ईस दिा म,ें जहां दकसी पूवटवती फमट(फमों) म ें से दकसी एक के 75% या ऄजधक सतत भागीदार जनर्ववलय के जलए आच्छुक ह ैं तो वे पुरानी फमट के ऄन्य भागीदारों और संस्ट्थान को फॉमट “एमडीजी 2” म ें समयक् सूचना देने के6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] पिात् जनर्ववलय कर सकते ह।ैं एलएलपी ऄजधजनयम, 2008 जैसी ऄन्य संबद्ध जवजधयों के लागू ईपबंधों के ऄनुसार फमट का ऄंत करने संबंधी कायटवाही की जाएगी। ii. ईस दिा म,ें जहां पूवटवती फमट/(फमों) म ें स े दकसी एक के 75% या ऄजधक सतत भागीदारों न े ऄन्य भागीदारों को समयक् सूचना देन े के पिात् जनर्ववलय कर जलया ह,ै तो जनर्ववलय करन े वाली फम ट के जलए जवलय का ऄंत हो जाएगा और यदद जवलय करन े वाली िषे फम/ट फमों के फमट/भागीदार जवलय को जारी रखन े का जवजनिय करते ह,ैं तो ईन्ह ें एक पुनगटरित जवलय समझौता/भागीदारी जवलेख पर हस्ट्तािर करन े चाजहए। iii. जवलय करन े वाली फम ट में प्रवेि करन े वाली प्रत्येक नइ फम ट या जवलय को छोडने वाली प्रत्येक फमट के संबंध में लाग ू ईपबंधों के ऄनुसार सभी समयक् प्रदक्रयाओं का ऄनुपालन दकया जाएगा। तथाजप, दकसी भागीदार की मृत्यु या सेवाजनवृजत्त की दिा में यह नहीं माना जाएगा दक वह जनर्ववलय ह।ै घर्क फमों के प्राजधकृत प्रबंध भागीदार यह सुजनजित करेंग े दक प्रवेि करन े वाली फमट जवलय तथा जनर्ववलय के मूल जनबंधनों और ितों स े भंलीभाजत पररजचत ह ै और ईि प्रवेि करने वाली फमट मूल/जडजजर्ल रूप से ईन पर हस्ट्तािर करेगी और साथ ही जवलय के दौरान फॉमट 'एमडीजी 1' प्रस्ट्तुत दकया जाएगा। iv. जनर्ववलय करन े वाली फमट(फमें) ऄपन े पुरान े रेड नाम से प्रैजटर्स करन े की हकदार ह,ैं जो जवलय के समय जवद्यमान था। पुराने रेड/फमट नाम को आन ददिाजनदेिों के ऄध्याय 3 में ऄंतर्ववष्ट ईपबंधों के ऄधीन रहते हुए जवलय की तारीख से 1 वषट के पिात् और 10 वषट की ऄवजध के भीतर ऄजभप्राप्त दकया जा सकता ह।ै v. जनर्ववलय करन े वाली फम ट को अइसीएअइ द्वारा जारी दकए जाने वाल े गिन प्रमाण पत्र म ें स्ट्थापना की मूल तारीख, ईसके जवलय की तारीख तथा जनर्ववलय की तारीख का कथन होगा। फमट की वररष्ठता की संगणना के प्रयोजन के जलए स्ट्थापना की मलू तारीख स ेकुल ऄवजध को गणना में जलया जाएगा। vi. फॉम ट 'एमडीजी 2' फाआल करत े समय, जवलय के समय जवद्यमान प्रत्येक प्राजधकृत प्रबंध भागीदार से एक वचनबंध या फॉम ट 'एमडीजी 3' के माध्यम से ऄद्यतन दकए गए दकसी पररवतटन के संबंध से यह ऄपेजित होगा दक वह अनलाआन पद्धजत के माध्यम स े एसएसपी पोर्टल पर जनर्ववलय की संपूणट प्रदक्रया को ऄजधप्रमाजणत करे। तथाजप, फॉमट 'एमडीजी 2' के साथ मूल/जडजजर्ल रूप से हस्ट्तािररत समथटनकारी दस्ट्तावेजों को ऄपलोड करना ऄपेजित होगा। दकसी प्राजधकृत प्रबंध भागीदार की सेवाजनवृजत/ईसकी मृत्यु की दिा म,ें सह-प्राजधकृत भागीदार अनलाआन पद्धजत के माध्यम से एसएसपी पोर्लट पर जनर्ववलय की संपूणट प्रदक्रया को ऄजधप्रमाजणत करेगा। ईदाहरण : यदद पांच फमों का जवलय हो गया था और दो फम ें जनर्ववलय की आच्छुक ह,ैं तो प्रत्येक प्रबंध भागीदार/सह-प्राजधकृत भागीदार एसएसपी पर जनर्ववलय की संपूणट प्रदक्रया को ऄजधप्रमाजणत करन े के जलए ओर्ीपी (वन र्ाआम पासवडट) ईपलब्ध कराएगा। आस प्रकार, ऑनलाआन पद्धजत के माध्यम स े जनर्ववलय की प्रदक्रया को ऄजधप्रमाजणत करने के जलए केवल 5 प्राजधकृत प्रबंध भागीदार की ऄपेिा होगी। सह-प्राजधकृत भागीदार की ऄजधप्रमाणन िजि का ऄवलंब केवल ईस दिा में जलया जाएगा जब प्राजधकृत प्रबंध भागीदार सेवाजनवृत्त हो गया हो/ईसकी मृत्यु हो गइ हो। vii. जबजनेस प्रदक्रयाएं, जो प्रकृजत म ें ऄंतर्वनजहत रूप से गजतिील ह,ैं मुखय रूप स े प्रौद्योजगकी द्वारा संचाजलत होती ह।ैं समय-समय पर प्रिासजनक प्रदक्रयाओं के जलए पररषद द्वारा ऄनुमोददत प्रदक्रया का पालन दकया जाएगा। ईदाहरण:

फम टका फम टका नइ फम ट वररष्ठता अइसीएअइ जनर्ववलय की नाम पर लगी रोक हर्ान े नाम नाम का नाम द्वारा रोका तारीख के पिात ्नाम और गया फम टका स्ट्थापना की तारीख नाम और आसके ऄनमु ोदन की तारीख ए एंड बी एंड ए एंड स्ट्थापना की तारीख 2002 बी एंड कंपनी, कंपनी, कंपनी, कंपनी होगी। डीओएफ 2024 2034 बी एंड कंपनी, 2004 2002 2004 (2024 में जवलय) सी एंड डी एंड डी एंड स्ट्थापना की तारीख 2005 सी एंड कंपनी, जवलय की तारीख से 10[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 7 कंपनी, कंपनी, कंपनी होगी। डीओएफ 2025 2036 साल से परे नाम पर लगी 2005 2010 (2025 में रोक को हर्ाया नहीं जा जवलय) सकता इ एफ एंड वाइ एंड जवलय करने वाली फमट के इ एंड कंपनी, और 2028 इ एंड कंपनी, 2005;

एंड कंपनी, कंपनी, कंपनी नए नाम वाइ एंड कंपनी एफ एंड कंपनी, एफ एंड कंपनी, 2010 2005 2010 (2026 में के ऄनुमोदन के पिात्, डीओएफ 2026 जवलय) स्ट्थापना की तारीख 2005 होगी। जी एंड एच एंड या तो जवलय करने वाली फमट के या तो जी एंड या तो जी एंड कंपनी, कंपनी, कंपनी, जीएच एंड संिोजधत नाम जीएच एंड कंपनी ऄथवा 2035 2007 या एच एंड 2007 2012 कंपनी कंपनी या एचजी एंड एच एंड कंपनी, कंपनी, 2012 ऄथवा कंपनी के ऄनुमोदन के आनमें से जो भी आनमें से जो भी रोक लगाने एचजी पिात्, स्ट्थापना की तारीख फमट के नाम पर के जलए अवेदन करती है, एंड कंपनी 2007 होगी। रोक लगाने का वह फमट के नाम पर लगी (2026 में जवजनिय दकया रोक को हर्ाने में समथट जवलय) जाता है डीओएफ होगी। 2026 [यह स्ट्पष्ट दकया जाता ह ै दक जवलय करन े वाल े संस्ट्था द्वारा जारी रखा जा रहा एफअरएन, अइसीएअइ को जवलय/जनर्ववलय के जलए अवदे न करत ेसमय जवजनर्ददष्ट दकया जाना ऄपजे ित ह]ै viii जनर्ववलय की मांग, ददिाजनदेिों के ऄध्याय 4 में ऄतं र्ववष्ट ईपबंधों और ऄन्य लाग ू ईपबंधों को पूरा करने के ऄधीन रहत े हुए जवलय की तारीख के 1 वषट के पिात ्और 10 वषट की ऄवजध के भीतर की जा सकती ह।ै ऄध्याय 5

6. जवजवध i. व्यजिगत प्रैजटर्स करने वालों (जजनके पास फम/ट रेड नाम नहीं ह)ै को आन ददिाजनदेिों के ऄधीन नहीं रखा गया ह।ै ii. मृत्य,ु ददवाले, सीओपी के समपटण या चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 20ग म ें ऄंतर्ववष्ट ईपबंधों म ें ईजल्लजखत दकसी भी पररजस्ट्थजत की दिा म ें जवलय करने वाली संस्ट्था के जलए यह अवश्यक नहीं होगा दक वह जनर्ववलय करे। प्राजधकृत प्रबंध भागीदार या सह-प्राजधकृत भागीदार/जवजधक ईत्तराजधकारी प्रचजलत प्रदक्रया के ऄनुसार अइसीएअइ को संसूजचत कर सकेगा और फम ट द्वारा जलजखत जवलेख म ें संबंजधत संिोधन दकए जा सकेंगे। यदद कालानुक्रम म ें भागीदार सेवाजनवृत्त होते ह ैं या त्यागपत्र देते ह ैं तो ईन्ह ें अइसीएअइ को भागीदारों म ें पररवतटन के जलए संसूजचत करना अवश्यक होगा और िेष भागीदारों को भजवष्य म ें फमट के नाम पर लगी रोक को हर्ाने के जलए ऄनापजत्त प्रमाण-पत्र (एनओसी) के माध्यम स े प्राजधकृत दकया जाएगा। iii. एम एंड एसएस जनदेिालय के तत्वावधान म ें एक जिकायत जनवारण प्रकोष्ठ, जवलय और जनर्ववलय प्रदक्रया के दौरान फमों की िंकाओं का समाधान करेगा। iv. यदद आन ददिाजनदेिों के ईपबंधों को प्रभावी करने म ें कोइ करिनाइ ईत्पन्न होती ह,ै तो पररषद करिनाइयों को दरू करन े के प्रयोजन से साधारण या जविेष अदेि के माध्यम से पररपत्रों द्वारा अवश्यक स्ट्पष्टीकरण जारी कर सकेगी, जो ऄजधजनयम के ईपबंधों से ऄसंगत न हों और जजन्ह ेंअवश्यक या समीचीन समझा जाए।8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] v. पररषद द्वारा जारी जवद्यमान जवलय और जनर्ववलय संबंधी जवद्यमान जनयम जनरस्ट्त हो गए ह।ैं ऐसे जनरसन के होते हुए भी, ईन जनयमों के ऄधीन की गइ कोइ बात या की गइ कारटवाइ या दकए जाने के जलए तात्पर्वयत कोइ कारटवाइ आन ददिाजनदेिों के तत्समान ईपबंधों के ऄधीन की गइ मानी जाएगी। vi. आन ददिाजनदेिों के ऄधीन ईपलब्ध कराए गए फायदों का लाभ ईन फमों द्वारा भी प्राप्त दकया जा सकता ह,ैं जजन्होंने आन ददिाजनदेिों के प्रारंभ से पवू ट जवलय दकया ह ैऔर जजन्होंने जवलय के पिात ्5 वषट की ऄवजध परू ी नहीं की ह।ै फॉम ट 'एमडीजी 1' जवलय समझौत ेका प्रारुप भारतीय सनदी लखे ाकार सस्ट्ं थान [चार्टडट एकाईंर्ेंट्स ऄजधजनयम, 1949 की धारा 2(गक) म ेंयथा पररभाजषत फमों, जो भारतीय सनदी लखे ाकार सस्ट्ं थान म ेंपजं ीकृत ह,ैं के बीच जवलय और जनर्ववलय ददिाजनदेिों के ऄध्याय 3 के ईपबधं देख]ें हम, (1)............ 1. जनम्नजलजखत पूवटवती जवलय करने वाली फम ट के नामों पर संस्ट्थान द्वारा जवलय और जनर्ववलय ददिाजनदेिों के ऄध्याय 3 के ईपबंधों के ऄनुसार रोक लगा दी जाएगी : फमट का नाम , एफअरएन, स्ट्थापना की तारीख एमअरएन (भागीदार/स्ट्वामी) जवलय करन े वाली फमों के नामों, <नाम>, <एफअरएन>, <नाम>, <एफअरएन>, <नाम>, <एफअरएन> पर संस्ट्थानों द्वारा रोक लगाइ जा रही ह ैऔर ईन नामों का ईपयोग तब तक दकसी प्रयोजन के जलए नहीं दकया जाएगा जब तक दक ऄध्याय 3 के ईपबंधों और ददिाजनदेिों के ऄन्य लाग ू ईपबंधों को पूरा करने के ऄधीन रहत े हुए ईनके नामों पर लगी रोक को हर्ा नहीं ददया जाता। यह भी सुजनजित दकया जाता ह ै दक सभी समनुदेिनों के यूडीअइएन का समयक् रूप से सृजन दकया गया ह ै और ईि फमट के नाम पर दकसी भी प्रकार का कोइ प्रोफेिनल काय ट तब तक नहीं दकया जाएगा जब तक दक ऄजधकजथत प्रदक्रया का पालन करत े हुए ईि फम/ट(फमों) के नाम पर लगी रोक को हर्ा नहीं ददया जाता।12 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

2. और ईस दिा म,ें जहां एक या ऄजधक जवलय करन े वाली पवू वट ती फम(ट फमों) के 75% या ऄजधक सतत भागीदार जनर्ववलय करने के आच्छुक ह ैं तो व े समयक् सचू ना दने े के पिात ् जनर्ववलय कर सकेंगे और व े जनम्नजलजखत फायदों के हकदार होंग े :

(i) वे ऄर्वजत सकल वररष्ठता, ऄथातट ् ईनकी पूवटवती फम टकी जवलय से पूवट की वररष्ठता और ईन वषों की वररष्ठता, जजनके दौरान वे जवलय की गइ फम ट म ेंसजममजलत थ,े के हकदार होंगे।

(ii) वे जवलय और जनर्ववलय ददिाजनदेिों के ऄध्याय 3 के ईपबंधों के ऄनरूु प ऄपनी पुरानी फमट के नाम के जलए हकदार ह ैं: परंत ु यह दक यदद 75% पणू ाांक नहीं ह,ै तो ईस े ऄगली संखया म ें पूणाकां बनाया जाएगा।

3. नइ जनर्ववलय करने वाली फम ट की स्ट्थापना की तारीख ईसकी स्ट्थापना की मूल तारीख होगी।

4. ऐसे जनर्ववलय को प्रभावी करने के जलए जवलय करन े वाली फमट के ऄन्य सतत भागीदारों से दकसी प्रकार की सममजत/स्ट्वीकृजत ऄपेजित नहीं ह।ै आस प्रकार जनर्ववलय करन े वाली फम ट के भागीदार एक भागीदारी जवलेख का जनष्पादन करेंगे। जवलय करने वाली फमट और साथ ही जनर्ववलय करन े वाली फमट चार्टड ट ऄकाईंर्ेंर् जवजनयम, 1988 के ऄधीन यथाजवजहत नए फॉमट 18 को जवजहत समय के भीतर अइसीएअइ को प्रस्ट्तुत करेंगी।

5. भागीदारी जवलेख म ें ऄन्यथा होते हुए भी, ईस दिा म,ें जहां जवलय करन े वाली पूवटवती फमों म ें से दकसी एक के 75% या ईससे ऄजधक सतत भागीदारों न,े ऄन्य भागीदारों को समयक् सूचना देन े के पिात ् जनर्ववलय कर जलया ह,ै तो आस प्रकार जनर्ववलय करने वाली फम ट के जलए जवलय समाप्त हो जाएगा और यदद जवलय करने वाली िषे फमों/ जवलय करन े वाली फम ट (फमों) के भागीदार जवलय को जारी रखन े का जवजनिय करते ह,ैं तो ईन्ह ें एक पुनगटरित जवलय समझौता/भागीदार जवलेख पर हस्ट्तािर करन े चाजहए और चार्टड ट ऄकाईंर्ेंर् जवजनयम, 1988 के ऄधीन यथाजवजहत नए फॉमट 18 को जवजहत समय के भीतर अइसीएअइ को प्रस्ट्तुत करना चाजहए।

CHAPTER 1 INTRODUCTION

1. Short title, applicability and commencement

1. These guidelines are called I C A I ( Merger & Demerger of CA firms)Guidelines, 2024.

2. These guidelines are applicable to the firms as defined in section 2(ca) of the Chartered Accountants Act, 1949 as amended from time to time.

3. These guidelines shall be effective from the date of its notification in the gazette of India.

2. DEFINITIONS In these guidelines, unless the context otherwise requires, the following expressions shall have the meaning assigned to it as given

hereunder: a. Institute/ICAI: ‗Institute‘/ ‗ICAI‘ means the Institute of Chartered Accountants of India established under

section 3 of the Chartered Accountants Act, 1949. b. Council: ‗Council‘ means the Council of the Institute constituted in accordance with Section 9 of the Chartered Accountants Act, 1949. c. Act: means the Chartered Accountants Act, 1949 (No.38 of 1949) as amended from time to time.

d. Committee: means a Committee of the Council as defined under section 17 of the Chartered Accountants Act, 1949. e. Firm: shall have the meaning assigned to it in section2(ca) of the Act.

CHAPTER 2

3. Concept & Background of Mergers & Demergers i. The Partnership Act, 1932 does not deal with merger & demerger of partnerships. In the corporate world, mergers and demergers have become universal practices for survival, growth, expansion and for achieving multitude of objectives. However, in corporate entities, Merger is understood as the fusion of two or more existing entities. On the other hand, demerger signifies a movement in the company just opposite to merger.

`Demerger‘ is also used to describe hiving off of one or more businesses or services of the operations to achieve efficiency. Mergers and Demergers are necessary processes to improve efficiency and to achieve optimum scale of operations.

ii. The provisions of section 60 to 62 of the LLP Act 2008 provides for the manner in which compromises or arrangements including mergers and amalgamations involving LLPs shall be followed. iii. To incorporate the spirit of Corporate World and to encourage consolidation of smaller firms into bigger units to achieve the scale of Operations, the Council recognised the need for consolidation and aggregation of the existing firms to enable them to operate on a larger scale. The Council used the term Merger and amalgamation inter-changeably and considered the various aspects of the seniority on the mergers of the[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 21 firms, The same is attached and marked as Appendix 1.

The objects of the mergers is to encourage and develop core competencies and to render professional services on a much larger geographical scale. iv. A sole proprietary firm may merge with a sole proprietary, partnership and LLP firm. Likewise, a partnership firm can merge with another partnership and LLP firm. However, a LLP firm cannot merge with a sole proprietary or a partnership firm.

CHAPTER 3

4. Merger i. A merger agreement in Form ‗MDG 1‘ is to be filed with the Institute within 30 days from the date of the Merger. The re- constitution agreement/partnership deed shall be filed with the Registrar of Firms/ROC as the case may be.

ii. Upon the merger of the firm registered with the ICAI, on the request of merging firm/(s), the ICAI will freeze the names of the merging firm/(s) with reference to Section 20 B of the Chartered Accountants Act 1949, unless the request for unfreezing of name with duly filled form ―MDG 3‖ is received.

a. Freezing of the CA firm‘s name as it existed prior to the merger refers to the depositing the names of the merging firm/(s) in the Institute of Chartered Accountants of India (ICAI)‗s record, based on the request received.

b. Freezing of the firm name ensures that the name of the merging firm is protected and will not be allotted to any other firm. c. The partners/proprietor/ practitioner practicing in individual name (with Firm Registration Number

(FRN)) of frozen Firm cannot do any professional activities in such Firm. d. The frozen name may be unfreezed by ICAI at the request of the merging entity during the demerger, subject to the conditions discussed hereinafter, allowing it to restart to operate firms under the same name as it existed prior to the merger. This provides the firms to safeguard their own firm‘s name along with seniority or the merging firm.

iii. The process of freezing the firm name during merger and un- freezing the name post-demerger is

explained below: a. Upon the merger of the firm registered with the ICAI, on the request of merging firm/(s), the ICAI will freeze the names of the merging firm/(s) with reference to Section 20 B of the Chartered Accountants Act 1949 and shall not allot the same names to any other firm/(s) until – i. request for unfreezing of firm name is received from the linked and authorized Member Registration Number (MRN).

ii. intimation of the decease or retirement of the linked and authorized MRN is received by the ICAI. iii. removal of the linked and authorized MRN from the Register of Firms with reference to Section 20 C of the Chartered Accountants Act 1949.

b. A certificate of freezing of the firm name will be issued by the ICAI in form ‗F‘ along with the trail of every freezing/unfreezing of the given firm‘s name.22 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] c. In case the merged firm changes its entity type post-merger, then the unfreezing of original merged firm name/trade name can be requested upon submission of the demerger/dissolution of the post-merger entity along with duly filed form ―MDG 3‖.

d. In the event of demerger, the firms which had merged can unfreeze their erstwhile names, allowing them to obtain their original firm name/trade name subject to the provisions contained in chapter 3 of the Merger & Demerger Guidelines.

e. In case of decease/retirement, unfreezing a firm‘s name will be processed by filing of Form ‗MDG 3‘ by the concerned firm or intimation to the ICAI by the authorized partner/legal heir. f. For unfreezing the firm‘s name, a duly filled form ―MDG 3‖ will be filed by the demerging firms along with Form ―MDG 2‖ post which a certificate confirming the unfreeze of the firm name will be issued separately by the ICAI alongwith the trail of every freezing/unfreezing of the given firm‘s name.

g. For unfreezing the firm‘s name, consent of 75% of the surviving partners is required. In case the partners retire or resign over a period of time, they need to intimate the ICAI for change in partners and shall also authorize the remaining partners by way of no objection certificate (NOC) for unfreezing the firm‘s name in future.

iv. The firms intending to merge are required to clearly lay down the terms and conditions of the demerger at the time of merger itself or as amended from time to time with the consent of all concerned at that time subject to the condition that it should not be contrary to the Act, Chartered Accountants Regulations, 1988 and merger and demerger guidelines or any other law.

v. While filing Form ‗MDG 1‘, each of the firm/(s) intending to merge will be required to authorize a Managing Partner and co-authorize a partner, by way of an undertaking, to authenticate the entire process of merger at the Self-Service Portal (SSP) through online mode. However, the originally/digitally signed supporting documents along with Form ‗MDG 1‘ will be required to be uploaded. In case the authorized Managing Partner retires/ deceases during the course of time, the partner co- authorized will authenticate the entire process of demerger at the SSP portal through online mode.

Example: If five firms are merging, then each firm/LLP will authorize one Managing Partner/co-authorize partner to provide OTP (One Time Password) to authenticate the entire process of merger. Thereby, only 5 authorized Managing Partners will be required by SSP to authenticate the process of merger through online mode.

vi. At the time of joining or retirement of a partner in the merged firm, the joining or the retiring partner will also provide OTP along with authorized managing partner to authenticate the entire process of merger at the SSP Portal through online mode.

vii. Business processes, which are inherently dynamic in nature, are predominantly driven by technology. The procedure approved by Council for administrative processes from time to time will be followed.

viii. The authorized Managing partner/(s) or co-authorized partner/ legal heir (in case of retirement/decease of Managing Partner/(s)) respectively) should at all times possess all the documents pertaining to the firm/(s)[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 23 practice like partnership deed, papers relating to resignation, retirement or joining of partners, employment and relieving of qualified assistants, papers and details regarding the approvals given for any constitution or re- constitution of the firm/LLP, firm/LLP property papers, tax returns, bank signatory details, etc. from time to time which may be called upon by the ICAI in case they are required for any dispute or any enquiry or confirmation required by the ICAI.

ix. The authorized Managing partner/(s) or co-authorized partner (in case of retirement/decease of Managing Partner/(s)) respectively) should also clearly state to the other merging firms about the restrictions of audit or non-audit works likely to arise on account of Section 144 of the Companies Act, 2013 as well as the non- permissibility of rotation of audit among the merging firms or any issue in code of conduct or ethics or in any Governing law applicable to the firms at the time of merger itself.

CHAPTER 4

5. Demerger i. Demerger will be permitted for such entities which have undergone merger in the past. The merger agreement itself shall contain the terms and conditions for demerger. Therefore, no acceptance is required from the continuing partners. The merger agreement shall stipulate that notwithstanding anything contained in the partnership deed to the contrary, in case 75% or more of the continuing partners of one of the erstwhile firm(s) are willing to demerge then they can do so after giving due notice in Form ‗MDG 2‘ to the other partners of the old firm and to the Institute. The applicable provisions of other allied laws like LLP Act, 2008 should be dealt with at the firm‘s end.

ii. In case 75% or more of the continuing partners of one of the erstwhile merging firm/(s) have demerged after giving due notice to the other partners, then in such case, the merger shall come to an end for the demerging firm and if the remaining merging firms/partners of the merged firm/(s) decide to continue, then they should enter into a reconstituted Merger Agreement /Partnership Deed.

iii. Every new joining and leaving of firm from the merged firm will attract all the due procedures as per the applicable provisions. However, events of decease or retirement of a partner shall not amount to demerger. The authorized Managing Partners of the constituent firms will ensure that the incumbent firm is well versed with the original terms and conditions of the merger and demerger and shall get them signed originally/digitally by the said incumbent firm along with submission of Form ‗MDG 1‘ during merger.

iv. The Demerged Firm/(s) is entitled to practice in its old trade name, which existed at the time of merger. The old trade/firm name can be obtained after 1 year and within 10 years from the date of merger subject to the provisions contained in chapter 3 of these guidelines.

v. The Constitution Certificate issued by the ICAI to the demerged firm shall state the original date of establishment, the date of its merger and the date of the demerger. For the purpose of computing the seniority of the firm, the total period will be reckoned from the original date of establishment.

vi. While filing Form ‗MDG 2‘, each of the authorized Managing Partner at the time of merger by way of an undertaking or any change updated by way of Form ‗MDG 3‘, will be required to authenticate the entire process of demerger at the SSP portal through online mode. However, the originally/digitally signed supporting papers along with Form ‗MDG 2‘ will be required to be uploaded. In case the authorized Managing Partner retires/ deceases, the partner co- authorized will authenticate the entire process of demerger at the SSP portal through online mode.24 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

Example: If 5 firms had merged and 2 firms wish to demerge, then authorized Managing Partner/co-authorized partner will provide OTP to authenticate the entire process of demerger at the SSP. Thereby, only 5 authorized Managing Partners will be required by SSP to authenticate the process of demerger through online mode. The authentication power of the co-authorized partner will be invoked only if the authorized Managing Partner retires/deceases.

vii. Business processes, which are inherently dynamic in nature, are predominantly driven by technology. The procedure approved by Council for administrative processes from time to time will be followed.

CHAPTER 5

6. Miscellaneous i. Individual practitioners (without firm/trade name)are not covered under these guidelines. ii. In case of events of death, insolvency, surrender of COP or any of the circumstances mentioned in the provisions contained in Section 20C of the Chartered Accountants Act 1949, the merged entity may not necessarily demerge. Authorized Managing Partner or co- authorized partner/legal heir may intimate the[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 25 ICAI as per the procedure in vogue and related amendments may be carried out in the written deed by the firm.

In case the partners retire or resign over a period of time, they need to intimate the ICAI for change in partners and shall authorize the remaining partners by way of no objection certificate (NOC) for unfreezing the firm‘s name in future.

iii. A Grievance Redressal Cell under the aegis of M&SS Directorate will cater to the queries of the firms during merger and demerger process. iv. If any difficulty arises in giving effect to the provisions of these Guidelines, the Council may, by general or special-order issue necessary clarifications by circulars which is not inconsistent with provisions of the Act as considered necessary or expedient; for the purpose of removing the difficulty.

v. The existing rules of Merger and Demerger issued by Council stands repealed. Notwithstanding such repeal, anything done or any action taken or purported to have been done or taken under those rules shall be deemed to have been done or taken under the corresponding provisions of these Guidelines.

vi. The benefit provided under these guidelines, may also be availed by those firms who got merged before the commencement of these guidelines & have not completed 5 years post-merger.

4. That to effectuate such demerger, no concurrence/acceptance is required from the other continuing partners of the merged firm. The partners of such demerged firm shall execute a partnership deed. 5. 27.2.1999 continues the practice from the date of (with or without change in approval. constitution) with the change in trade/firm

(ii) There is no name. change in the date of establishment.

The old trade/firm name will be frozen in the Institute‘s records for three years from the date of approval of the new trade/firm name. In the constitution certificate issued by the Institute during that period of three years, the name will be mentioned as ―M/s………….

(formerly known as M/s………….)‖ During that period of three years, the firm will be given the option to have its original name at the choice of all the partners only if all those partners so apply to the Institute in the prescribed manner.

Note:

1. Trade name: The name in which the member practices as a sole proprietor.

2. Firm name: The name in which the firm practices.

3. ‗Trade name‘ and ‗Firm name‘ are the names as approved by ICAI.

4. Merger/amalgamation is a term not applicable to firms under the Partnership Act. It is the reconstitution of firm by addition/deletion of partners. The principles applicable to any reconstitution will, therefore, apply in these cases.
