6. संोगिन के पिकार म से प्रत्ोेक के ब् ोौरे :

6.1. उस समूा का नाम जिससे संोगिन के पिकार संंंध रखते ा ं।

6.0. संोगिन के प्रत् ोेक पिकार के जलए जनम् नजलजखत के संंंध म ब् ोौरे उपलब्ध कराए ं:

6.4. समस्ट्तरीो परस्ट्पर-व्यापन – कर्न कर दक क्ो ा संोगिन के पिकार और/ोा उनके संं ंजधत समूा अजस्ट्तत्वह प्रत् ोि ोा अप्रत्ो ि रूप स े समान ोा एकसमान ोा प्रजतस्ट् र्ापनीो उत् पाि का उत् पािन करत े ा ं ोा सवहे ाएं उपलब्ध करात े ा,ं सभी ोुजिोुि जवहकल्प कग ध्ोान म रखते हुए :

6.4.1. सभी ोुजिोुि जवहकल्प कग ध्ोान म रखते हुए, परस्ट्पर व्यापन रखने वहाल े उत्पाि /सेवहाओं और सुसंगत उत्पाि तर्ा सुसंगत भौगगजलक ंािार संािार के ब्ोौरे और सार् ाी सुसंगत उत्पाि तर्ा सुसंगत भौगगजलक ंािार संािार के प्रत्ोेक ोुजिोुि जवहकल्प कग स्ट्वहीकार करने और नामंिूर करन े के जलए स्ट्पिीकरण उपलब्ध कराएं ;

6.4.0. सुसंगत स्रगत कग उपिर्िा त करत े हुए प्राक्कलन और प्राक्कलन का यधार तर्ा जवहरियो सरुपए म और पररमाण सोूजनट के मल्ू ो के जनंंधनानुसार जपछल ेपांच वहष ों के जलए ंािार का कुल यकार ;

6.4.3. संोगिन के प्रत्ोेक पिकार सउनके सुसंगत समूा अजस्ट्तत्वह कग सजम्मजलत करते हुए का जपछले पांच वहष ों के जलए, ंािार िेोर के प्राक्कलन सजात जवहरियो का मल्ू ो सरुपए म और पररमाण सोूजनट ;

6.4.4. प्रत्ोेक पिकार के संसे ंड़े प्रजतस्ट्पर्धा ो सजपछले पांच वहष ा के जलए उनके ंािार िेोर सजात , जिनके पास कम स े कम पांच प्रजतित ंािार िेोर ा,ै ग्रााक सजपछल े पांच वहष ों के जलए पिकार द्वारा की गई यपूर्ता ो म उनके व्यजिक िेोर सजात और पूर्ता कार सजपछले पांच वहष ों के जलए पिकार द्वारा दकए गए उपापन म उनके व्यजिक िेोर सजात के नाम और संपका ब्ोौरे ;

6.4.5. ंािार और मांग की सरं चना के ब्ोौरे :

6.4.5.1. सुसंगत ंािार संािार म संोगिन से पूवह ा और पश्च उद्यम सीयर4 अनुरियमजणका और एचएचयई सारफाइंडअाल – जाष ा मेन अनुरियमजणका के जनंंधनानुसार सांद्रण का स्ट्तर ;

6.4.5.0. सुसंगत ंािार संािार म प्रजतस्ट्पधाा की प्रकृजत और जवहस्ट्तार, िग ंािार अध्ोोन , पूवहाा नुमान, सवहेिण यदि सोदि कगई ा से समर्र्ा त ाग ;

6.4.5.3. गुण , गुणवहता, कीमत, यिजोत उपोगग, उपोगिा अनुभवह यदि के जनंंधनानुसार उत्पाि अंतरण का जवहस्ट्तार और मात्वह तर्ा वहा जडग्री, जिस तक संोगिन के पिकार के उत्पाि ोा सेवहाएं जनकट प्रजतस्ट्र्ापन ा ं;

6.4.5.4. जस्ट्वहच करने की सगु मता और एक पूर्ता कार से अन्ो पर्ू ता कार ोा एक उत्पाि से िसू रे उत्पाि पर जस्ट्वहच करने के जलए उसम अतं वहजा लत लागत ससमो और व्यो के जनंंधनानुसार ;

6.4.5.5. ंािार म ााल ाी म हुए जवहचलन के ब्ोौरे, चाा े वहे प्रौद्यगजगकी से संंंजधत ा ोा दकन्ाीं[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 5 कारंार माडल म पररवहता न के कारण ोा दकसी उत्पाि ोा प्रदरियोा नवहीनीकरण के कारण हुए ा ोा दकसी अन्ो कारणवहि हुए ा , जिन्ा ने ंािार कग पररवहर्ता त दकोा ा ै; और

6.4.6. जवहजध और जवहजनोामक ढांचे के ब्ोौरे :

6.4.6.1. ऐसे जवहजनोम/जवहजधोां/जनोम/प्रदरियोाएं/िासकीो प्रसै रटप्पण/जनििे / अजधसूचनाए/ंटैररफ और गैर-टैररफ जवहजनोम यदि, िग संोगिन के पिकार के समान ोा एकसमान ोा प्रजतस्ट्र्ापनीो उत्पाि ोा सेवहाओं के उत्पािन, यपूर्त ा और जवहतरण कग जनंंजधत करते ा ं;

6.4.6.2. समान ोा एकसमान ोा प्रजतस्ट्र्ापनीो उत्पाि ोा सेवहाओं के संंंध म सरकार/ जवहभाग /प्राजधकाररो द्वारा जवहजात स्ट्र्ानीो जवहजनिेि ;

6.4.6.3. समान ोा एकसमान ोा प्रजतस्ट्र्ापनीो उत्पाि ोा सेवहाओं के उत्पािन/यपर्ू ता के जलए स्ट्र्ाजपत प्रसुजवहधाओं के जलए अनुज्ञापन/ रजिस्ट्रीकरण संंंधी अपेिाएं ; और

6.4.6.4. सरकार की ऐसी उपापन नीजतोां, िग संोगिन के पिकार ोा उनके प्रजतस्ट्पर्धोा के जलए जवहिेष िासन व्यवहस्ट्र्ा की प्रस्ट्र्ापना करती ा ं।

6.4.7. अनुसंधान और जवहकास :

6.4.7.1. अनुसंधान और जवहकास िमताओं का मात्वह और कब्िे म ंौजद्धक संपिा अजधकार, जिससे कगई उद्यम सुसंगत ंािार संािार म प्रजतस्ट्पधी ंना रान ेोा उनम रटके रान ेम समर्ा ागगा ;

6.4.7.0. जपछल े पांच वहष ों के िौरान, संोगिन के पिकार द्वारा दकए गए अनुसंधान और जवहकास दरियोाकलाप , ोदि कगई ा , की प्रकृजत और जवहस्ट्तार तर्ा संोगिन के पिकार के कब्िे म सारवहान ंौजद्धक संपिा अजधकार ;

6.4.7.3. संोगिन के पिकार की, संोगिन के सजात और रजात सूचींद्ध और/ोा यिजोत अनुसंधान और जवहकास दरियोाकलाप । संोगिन के पिकार के अनुसंधान और जवहकास दरियोाकलाप के जवहस्ट्तार, प्रकृजत और/ोा यकार पर संोगिन का प्रभावह और इस प्रकार के पररवहता न का सुसंगत ंािार संािार म प्रजतस्ट्पधाा पर संभाजवहत प्रभावह ; और

6.4.7.4. सुसंगत प्रौद्यगजगदको , जिनम योात और ऑफ िल्े फ रियो सजम्मजलत ा,ं के उपापन की सुगमता।

6.4.8. सुसंगत ंािार संािार म प्रवहेि :

6.4.8.1. सुसंगत ंािार संािार म प्रवहेि कग प्रभाजवहत करन े वहाले कारक ;

6.4.8.0. ऐस े उद्यम सउद्यम के ब्ोौरे, जिन्ा ने जपछले पांच वहष ों के िौरान सुसगं त ंािार संािार म प्रवहेि दकोा ा ैोा प्रवहेि करने का प्रोास दकोा ा ै;

6.4.8.3. सारवहान यकार के ऐसे उद्यम सउद्यम के ब्ोौरे, जिनकी यगामी िग वहष ों म सुसंगत ंािार संािार म प्रवहेि करने की सभं ावहना ा ै ;

6.4.8.4. जपछल े पांच वहष ों के िौरान, संोगिन के दकसी पिकार द्वारा दकसी सुसंगत उत्पाि सउत्पाि /सेवहा के जलए भारत म दकसी भौगगजलक िेत्र म प्रवहेि करने ोा प्रवहेि करन े का प्रोास करने के ब्ोौरे ; और6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

6.4.8.5. संोगिन के दकसी पिकार द्वारा समान सुसंगत ंािार संािार म दकए िाने वहाले यगामी यिजोत अिा न के ब्ोौरे ।

6.4.9. सुसंगत ंािार संािार से ंाार जनकलना :

6.4.9.1. ऐस े उद्यम सउद्यम के ब्ोौरे, िग जपछल े पांच वहष ों के िौरान सुसंगत ंािार संािार स े ंाार जनकल े ा ैोा ंाार जनकलन े का प्रोास दकोा ा ै ;

6.4.9.0. सारवहान यकार के ऐसे उद्यम सउद्यम के ब्ोौरे, जिनकी यगामी िग वहष ों म सुसंगत ंािार संािार से ंाार जनकलन ेकी संभावहना ा ै;

6.4.9.3. संोगिन के संंंध म और उसे ंढावहा िेने के पररणामस्ट्वहरूप संोगिन के पिकार द्वारा प्रस्ट्र्ाजपत समान, एकसमान ोा प्रजतस्ट्र्ापनीो उत्पाि सउत्पाि और/ोा सेवहा की प्रकृजत/जवहस्ट्तार/यपूर्त ा की मात्रा के जवहस्ट्तार िेत्र म सभं ाजवहत कमी और/ोा पररवहतना के ब्ोौरे ;

6.4.9.4. समान सुसंगत ंािार संािार म संोगिन के पिकार द्वारा भजवह‍ो के जलए ोगिनांद्ध उत्पाि ोा सेवहा, ोगिनांद्ध जवहस्ट्तार सचाा ेवहा िमता ोा भौगगजलक िेत्र यदि के जनंंधनानसु ार ाग के ब्ोौरे, संोगिन की अनुपजस्ट्र्जत और ऐसे उत्पाि ोा सेवहा ोा जवहस्ट्तार पर संोगिन का संभाजवहत प्रभावह ।

6.4.12. योात के ब्ोौरे ;

6.4.11. जनोाा त के ब्ोौरे ; और

6.4.10. अजधजनोम की धारा 02 की उपधारा स4 के अधीन दिए गए कारक के प्रजतजनिेि से सूचना ।

6.5. वहर्टा कल और अनपु रू क दरियोाकलाप : कर्न कर दक क्ो ा संोगिन का कगई पिकार और/ोा उसका संंंजधत समूा अजस्ट्तत्वह प्रत् ोि ोा अप्रत्ो ि रूप से ऐस े उत्पाि ोा सेवहाओं के उपलब्ध कराए िाने, िग उत्पािन श्ृंखला के जभन्न-जभन्न प्ररियम ोा स्ट्तर पर ा,ं जिनम संोगिन का कगई अन्ो पिकार संजलप्त ाै, उत्पािन, पूर्ता , जवहतरण, भंडारण, जवहरियो और सेवहा से संंंजधत दकसी दरियोाकलाप म लगा हुय ा,ै सभी ोुजिोुि जवहकल्प और/ोा दकन्ाीं अनुपरू क दरियोाकलाप कग ध्ोान म रखते हुए :

6.5.1. सभी ोुजिोुि जवहकल्प कग ध्ोान म रखत े हुए, ोर्ाजस्ट्र्जत, अपस्ट्रीम और डाउनस्ट्रीम दरियोाकलाप ोा अनुपूरक दरियोाकलाप के ब्ोौरे और सुसंगत उत्पाि तर्ा सुसंगत भौगगजलक ंािार के सभी ोजु िोुि जवहकल्प कग जवहचार म लेते हुए तर्ा सार् ाी सुसंगत उत्पाि तर्ा सुसंगत भौगगजलक ंािार के सभी ोुजिोुि जवहकल्प कग स्ट्वहीकार करन े और नामंिरू करने के जलए स्ट्पिीकरण उपलब्ध कराएं ;

6.5.0. सुसंगत उत्पाि और/ोा सेवहाओं के जलए जपछले पांच वहष ा के जलए ंािार का यकार ;

6.5.3. सुसंगत उत्पाि और/ोा सेवहाओं के जलए जपछल े पांच वहष ा के जलए संोगिन के प्रत्ोेक पिकार सउनके सुसंगत समूा अजस्ट्तत्वह कग सजम्मजलत करते हुए का ंािार िेोर ;

6.5.4. सुसंगत उत्पाि और सवहे ा के जलए संसे ंड़े ऐसे प्रजतस्ट्पर्धा ो के नाम और संपका ब्ोौरे, जिनके पास पांच प्रजतित ंािार िेोर ा ैसजपछले पांच वहष ा के िौरान उनके ंािार िेोर सजात ;[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 7

6.5.5. प्रत्ोेक पिकार के पांच संसे ंड़े ग्रााक के नाम और संपका ब्ोौरे, जिन्ा ने अपस्ट्रीम ंािार म अपनी उपजस्ट्र्जत ििा की ा,ै पिकार सपिकार द्वारा जपछले पांच वहष ों के िौरान की गई यपूर्तोा म ऐसे ग्रााक के व्यजिक िेोर सजात ;

6.5.6. प्रत्ोेक पिकार के पांच संसे ंड़े पूर्ता कार के नाम और संपका ब्ोौरे, जिन्ा ने अपस्ट्रीम ंािार म अपनी उपजस्ट्र्जत िि ा की ा,ै पिकार सपिकार द्वारा जपछल े पांच वहष ों के िौरान दकए गए उपापन म की गई ऐसी यपूर्ता ो म उनके व्यजिक िेोर सजात ;

6.5.7. पूवहा वहती जवहत्तीो वहष ा के िौरान संोगिन के पिकार के ंीच जवहद्यमान पूर्ता संंंधी ठारावह, संव्यवहाार के पररमाण और मल्ू ो सजात तर्ा प्रत्ोेक ंािार के कुल जवहरियो/उपभगग के संंंध म संंंजधत पिकार का ऐस े जवहरियो/उपभगग का प्रजतित ;

6.5.8. ंािार और मांग की सरं चना के ब्ोौरे :

6.5.8.0. सुसंगत ंािार संािार म प्रजतस्ट्पधाा की प्रकृजत और जवहस्ट्तार, िग ंािार अध्ोोन , पूवहाा नुमान, सवहेिण यदि सोदि कगई ा से समर्र्ा त ाग ;

6.5.8.3. जस्ट्वहच करने की सगु मता और एक पूर्ता कार से अन्ो पर्ू ता कार ोा एक उत्पाि से िसू रे उत्पाि पर जस्ट्वहच करने के जलए उसम अतं वहजा लत लागत ससमो और व्यो के जनंंधनानुसार ;

6.5.8.4. ंािार म ााल ाी म हुए जवहचलन के ब्ोौरे, चाा े वहे प्रौद्यगजगकी से संंंजधत ा ोा दकन्ाीं कारंार माडल म पररवहता न के कारण ोा दकसी उत्पाि ोा प्रदरियोा नवहीनीकरण के कारण हुए ा ोा दकसी अन्ो कारणवहि हुए ा , जिन्ा ने ंािार कग पररवहर्ता त दकोा ा ै; और

6.5.8.5. योात द्वारा अजधरगजपत प्रजतस्ट्पधाा संंंधी ंाधा की जडग्री ।

6.5.9. जवहजधक और जवहजनोामक ढांचा :

6.5.9.1. ऐसे जवहजनोम/जवहजधोां/जनोम/प्रदरियोाएं/िासकीो प्रसै रटप्पण/जनििे / अजधसूचनाए/ंटैररफ और गैर-टैररफ जवहजनोम यदि, िग संोगिन के पिकार के समान ोा एकसमान ोा प्रजतस्ट्र्ापनीो उत्पाि ोा सेवहाओं के उत्पािन, यपूर्त ा और जवहतरण कग जनंंजधत करते ा ं;

6.5.9.2. समान ोा एकसमान ोा प्रजतस्ट्र्ापनीो उत्पाि ोा सेवहाओं के संंंध म सरकार/जवहभाग / प्राजधकाररो द्वारा जवहजात स्ट्र्ानीो जवहजनिेि ;

6.5.9.3. समान ोा एकसमान ोा प्रजतस्ट्र्ापनीो उत्पाि ोा सेवहाओं के उत्पािन/यपर्ू ता के जलए स्ट्र्ाजपत प्रसुजवहधाओं के जलए अनुज्ञापन/ रजिस्ट्रीकरण संंंधी अपेिाएं ; और

6.5.9.4. सरकार की ऐसी उपापन नीजतोां, िग संोगिन के पिकार ोा उनके प्रजतस्ट्पर्धोा के जलए जवहिेष िासन व्यवहस्ट्र्ा की प्रस्ट्र्ापना करती ा ं।

6.5.12 अनुसधं ान और जवहकास :

6.5.12.0 जपछल े पांच वहष ों के िौरान, संोगिन के पिकार द्वारा दकए गए अनुसंधान और जवहकास दरियोाकलाप , ोदि कगई ा , की प्रकृजत और जवहस्ट्तार तर्ा संोगिन के पिकार के कब्िे म सारवहान ंौजद्धक संपिा अजधकार ; और

6.5.12.3 सुसगं त प्रौद्यगजगदको , जिनम योात और ऑफ िल्े फ रियो सजम्मजलत ा,ं के उपापन की सुगमता ।

6.5.11. सुसंगत ंािार संािार म प्रवहेि :

6.5.11.1. सुसंगत ंािार संािार म प्रवहेि कग प्रभाजवहत करने वहाल े कारक ;

6.5.11.0. ऐसे उद्यम सउद्यम के ब्ोौरे, जिन्ा ने जपछले पांच वहष ों के िौरान सुसंगत ंािार संािार म प्रवहेि दकोा ा ैोा प्रवहेि करन े का प्रोास दकोा ा ै ;

6.5.11.3. सारवहान यकार के ऐसे उद्यम सउद्यम के ब्ोौरे, जिनकी यगामी िग वहष ों म सुसंगत ंािार संािार म प्रवहेि करने की सभं ावहना ा ै ;

6.5.11.4. जपछल े पांच वहष ों के िौरान, संोगिन के दकसी पिकार द्वारा दकसी सुसंगत अपस्ट्रीम ोा डाउनस्ट्रीम ंािार म प्रवहेि करने ोा प्रवहेि करन े का प्रोास करने के ब्ोौरे ;

6.5.11.5. भारत म दकसी भौगगजलक िेत्र म प्रवहेि करन े ोा जवहस्ट्तार करने की ोगिना के ब्ोौरे, चाा े वह े सुसंगत अपस्ट्रीम उत्पाि/सेवहा ोा डाउनस्ट्रीम उत्पाि/सेवहा म िमता ोा भौगगजलक ित्रे यदि के जनंंधनानुसार ा ; और

6.5.11.6. संोगिन के दकसी पिकार द्वारा समान सुसंगत अपस्ट्रीम ोा डाउनस्ट्रीम ंािार संािार म दकए िाने वहाले यगामी यिजोत अिना के ब्ोौरे ।

6.5.10. सुसंगत ंािार संािार से ंाार जनकलना :

6.5.10.1. ऐसे उद्यम सउद्यम के ब्ोौरे, िग जपछले पांच वहष ों के िौरान सुसगं त ंािार संािार से ंाार जनकल े ा ैोा ंाार जनकलन े का प्रोास दकोा ा ै; और

6.5.10.0. सारवहान यकार के ऐसे उद्यम सउद्यम के ब्ोौरे, जिनकी यगामी िग वहष ों म सुसंगत ंािार संािार से ंाार जनकलन ेकी संभावहना ा ै।

6.5.13. योात के ब्ोौरे ;

6.5.14 जनोाा त के ब्ोौरे ; और

6.5.15. अजधजनोम की धारा 02 की उपधारा स4 के अधीन दिए गए कारक के प्रजतजनिेि से सूचना ।

6.6. क्ो ा संोगिन के दकसी पिकार ोा उनके दकसी समूा अजस्ट्तत्वह के पास दकसी ऐसे अन् ो उद्यम सउद्यम की िग : सक समान/एकसमान/प्रजतस्ट्र् ापनीो उत् पाि के उत् पािन, जवहतरण ोा ्‍ ोापार म ोा समान/एकसमान/प्रजतस्ट्र् ापनीो सेवहाओं की यपूर्ता म लगा ा ै ; और/ोा सख ऐसे उत् पाि के उत् पािन यपर्ू ता जवहतरण भंडारण जवहरियो ोा ्‍ ोापार ोा सेवहाएं उपलब्ध कराने स े संंंजधत दकसी दरियोाकलाप म लगा ा ै िग ऐसी उत् पािन श्ृंखला के जवहजभन् न प्ररियम ोा स्ट्त र पर ा ं जिसम संोगिन का कगई अन् ो पिकार भी संजलप्त ा ै ; और/ोा सग अनपु ूरक दरियोाकलाप म लगा ा ै। ोदि ाां तग ऊपर मि 6.1 स े मि 6.5 के अनुसार ब् ोौरे और यवहश्ोक िानकारी उपलब् ध कराएं और सार् ाी सारणींद्ध ििृ ांत भी उपलब्ध कराएं, जिसम प्रत्ोि ोा अप्रत्ोि िेोर धृजत, अजधकार का प्रोगग करने का सामर्थोा सजिसके अंतगा त दकसी पिकार ोा उसके दकसी सांद्ध के सार् वहाजणजयोक प्रकृजत का कगई फाोिा भी सजम्मजलत ा ै कग वहर्णा त दकोा गोा ाग, िग दकसी सामान्ो िेोर धारक कग उपलब्ध नाीं ा ैऔर सार् ाी दकसी अन्ो उद्यम सउद्यम म दकसी जनिेिक ोा संपरीिक कग नामजनर्ििा करन े के[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 9 अजधकार ोा सामर्थोा का भी उल्लेख कर ।

6.4.7.1. Importance of R&D capabilities and possession of intellectual property rights to enable an enterprise to remain competitive or to survive in the relevant market(s);

6.4.7.2. Nature and extent of the R&D activities, if any, carried out by the parties to the combination over last past five years and material intellectual property rights possessed by the parties to the combination;

6.4.7.3. Scheduled and / or intended R&D activities of parties of the combination, with and without the combination. Effect of the combination on extent, nature and/or size of R&D activities of the parties to the combination, and likely impact of such change on competition in the relevant market(s); and
