3. Research Instruments Pte. Ltd., a Singapore-based company (wholly-owned by Chemopharm Sdn. Bhd.) (for the purposes of this Object, collectively referred to as “Step-Down Subsidiaries”) As of August 31, 2026 we had total borrowings of ₹8,627.64 million on a consolidated basis. For further details, see “Financial Indebtedness” beginning on page [●].
Our Company proposes to utilise an estimated amount of ₹938.74 million and ₹4,159.77 million, respectively, aggregating to ₹5,098.51 million , from the Net Proceeds towards prepayment or repayment, in full or in part, of all or a portion of certain outstanding borrowings (including interest accrued and prepayment penalties as applicable), availed by our Wholly-Owned Subsidiaries and our Step-Down Subsidiaries (such loans, “Identified Loans”), respectively, which constitutes 10.88% and
48.21%, respectively, of our total outstanding borrowings, on a consolidated basis, as of August 31, 2026. Pursuant to the terms of the borrowing arrangements entered into by Wholly-Owned Subsidiaries and our Step-Down Subsidiaries, prepayment of certain indebtedness may attract prepayment charges as prescribed by the respective lender. Such prepayment charges, as applicable, and the accrued interest on our outstanding borrowings will also be funded out of the Net Proceeds. Our Company 8confirms that it will not utilize more than 50% of the proceeds of the Fresh Issue towards repayment/ prepayment of term loan facilities utilised towards capital expenditure.
Further, we intend to utilise the entire amount earmarked for this object in Fiscals 2027 in relation to repayment / prepayment the Identified Loans. In relation to our Wholly-Owned Subsidiaries and our Step-Down Subsidiaries, such deployment of Net Proceeds is being undertaken in Fiscals 2027 and will be subject to the timelines of infusion of funds by our Company in the Wholly-Owned Subsidiaries and our Step-down Subsidiaries and the subsequent repayment/ prepayment of outstanding borrowings by such Wholly-Owned Subsidiaries and Step-Down Subsidiaries, post infusion of such funds. For further details, see “- Proposed schedule of implementation and deployment of Net Proceeds” on page [●].
The repayment/ prepayment will help our Wholly-Owned Subsidiaries and our Step-Down Subsidiaries, reduce their respective outstanding indebtedness, assist us in reducing our interest outflow and enable utilisation of some additional amount from our internal accruals for further investment in business growth and expansion.
In addition, we believe that our debt-equity ratio will improve, which will enable us to raise additional funds/ capital at competitive rates in the future to fund potential business development opportunities and plans to grow and expand our business in the future. The following table set forth details of the Identified Loans availed by our Wholly-Owned Subsidiaries and our Step-Down Subsidiaries, as applicable, which are outstanding as on June 30, 2025 and August 31, 2026 which we will repay/ prepay, all or a portion of, from the Net Proceeds 9Utilisation of loans by our Wholly-Owned Subsidiaries, namely, Translumina Therapeutics and Transhealth Sr. Name of Name of the Date of Loan Nature of Amount Amount Amount Amount Tenor/ Repayment Interest rate Interest rate Purpose for Prepayment No. the lender borrower sanction letter disbursement borrowing sanctioned/ sanctioned/ outstanding outstanding schedule as at June 30, as at August which the loan clause (if / facility dates(s) availed as on availed as on as on June 30, as on 2026 (in %) 31, 2026 (in was availed(1) any) agreement June 30, 2026 August 31, 2026 (₹ in August 31, %)* and original (₹ in million) 2026 (₹ in million) 2026 (₹ in purpose of the million)* million)* loan (in case subsequent loans are for refinancing / reimbursement / takeover of existing loans, etc.
