1. संि*+ नाम और (cid:6)ारंभ.-(1) इन िविनयम(cid:22) का संि*+ नाम भारत का (cid:6)ित(cid:9)पधा (cid:13) आयोग (संयोजन(cid:22) के संबंध म कारबार के सं!वहार से संबंिधत (cid:6)(cid:1)$या) संशोधन िविनयम, 2015 ह ै।
(2) ये िविनयम राजप- म उनके (cid:6)काशन क(cid:15) तारीख को (cid:6)वृ(cid:18) ह(cid:22)ग े ।
2. भारत का (cid:6)ित(cid:9)पधा (cid:13)आयोग (संयोजन(cid:22) के संबंध म कारबार के सं!वहार से संबंिधत (cid:6)(cid:1)$या) िविनयम, 2011 म, -
(1) िविनयम 5 म, - (क) उपिविनयम (3) के प0 चात ्िन%िलिखत उपिविनयम अंत:(cid:9)थािपत (cid:1)कया जाएगा, अथा(cid:13)त ् :- “(3क) संयोजन के प*कार, आयोग (cid:16)ारा समय-समय पर जारी और उसक(cid:15) शासक(cid:15)य वेबसाइट पर (cid:6)कािशत (cid:6)9प 1 और (cid:6)9प 2 के :ट;प ण(cid:22) के अनुसार, यथाि(cid:9)थ ित, (cid:6)9प 1 या (cid:6)9प 2 म सूचना दग े ।”;
(ख) उपिविनयम (8) के दसू रे परंतुक म, ''क ?ीय सरकार या रा@य सरकार या'' शAद (cid:22) का लोप (cid:1)कया जाएगा ;
(2) िविनयम 6 के उपिविनयम (2) म ''दो (cid:6)ितया'ं' शAद (cid:22) के (cid:9)थ ान पर ''एक (cid:6)ित'' शAद रख ेजाएंगे ;

(3) िविनयम 8 के उपिविनयम (2) म ''इन िविनयम(cid:22) क(cid:15) अनुसचू ी 2 म यथािविनBदCट (cid:6)9प 2 म सूचना फाइल करने का िनदेश दे सकेगा िजसे सEय क् 9प से भरा और सFय ािपत (cid:1)कया जाएगा और उसके साथ अपेि*त फ(cid:15)स के संदाय का साG य भी लगा होगा'', शAद (cid:22) के (cid:9)थ ान पर ''आयोग (cid:16)ारा िविनि0च त (cid:1)कए गए अनुसार (cid:6)9प 1 या (cid:6)Hप 2 म सूचना फाइल करने का िनदेश दे सकेगा'', शAद रखे जाएंग े;
(4) िविनयम 9 म, -- (क) उपिविनयम (1) के परंतकु म ‘’कंपनी के िनदेशक बोड (cid:13) (cid:16)ारा सEय क् 9प स े (cid:6)ािधकृत कंपनी का कंपनी सिचव’’, शA द(cid:22) के (cid:9)थ ान पर ‘’कंपनी के िनदेशक बोड(cid:13) (cid:16)ारा उJत (cid:6)योजन के िलए सEय क् 9प स े (cid:6)ािधकृत कोई L यिJ त'', शA द रखे जाएंगे ;
(ख) उपिविनयम 3 के परंतुक म ‘’कंपनी के िनदेशक बोड(cid:13) (cid:16)ारा सEय क् 9प से (cid:6)ािधकृत कंपनी का कंपनी सिचव’’, शAद (cid:22) के (cid:9)थ ान पर ‘’कंपनी के िनदेशक बोड (cid:13) (cid:16)ारा उJत (cid:6)योजन के िलए सEय क् 9प से (cid:6)ािधकृत कोई L यिJ त'', शA द रख े जाएंग े;
(ग) उपिविनयम (4) म ''सूचना फाइल क(cid:15) जा सकेगी'' शAद (cid:22) के (cid:9)थ ान पर ''सूचना फाइल क(cid:15) जाएगी'' शA द रखे जाएंग े ;
(5) िविनयम 13 म, -- (क) उपिविनयम (1) म ''दो (cid:6)ितया'ं', शAद (cid:22) के (cid:9)थ ान पर ''एक (cid:6)ित'', शAद रखे जाएगं े ; (ख) उपिविनयम (1) के प0 चात् िनEन िलिखत परंतुक अंत:(cid:9)थ ािपत (cid:1)कया जाएगा, अथा(cid:13)त् :-- ''परंत ु य(cid:1)द संयोजन के प*कार, इन िविनयम(cid:22) के िविनयम 30 के उपिविनयम (1) के अधीन सूचना या द(cid:9) तावेज (द(cid:9) तावेज(cid:22)) क(cid:15) गोपनीयता के िलए अनरु ोध करते ह M तो ऐसा अनरु ोध, भारत का (cid:6)ित(cid:9) पधा (cid:13) आयोग (साधारण) िविनयम, 2009 म अिधकिथत (cid:6)(cid:1)$या के अनुसार, सूचना और उसके इलैJ Pािनक पाठ के साथ, िजस े उसके जनता के िलए उपलAध पाठ म सEय क् 9प स े भरा गया ह,ै फाइल (cid:1)कया जा सकेगा ।'';
(ख) उपिविनयम (1क) के प0च ात् िनEन िलिखत उपिविनयम अंत:(cid:9)थ ािपत (cid:1)कया जाएगा, अथा(cid:13)त् :-- ''(1ख) संयोजन का संि*प त् िववरण, िजसम कोई गोपनीय सूचना अंतSवCट न हो, और जो पांच सौ शA द(cid:22) स े अिधक न हो और िजसम : (क) संयोजन के प*कार(cid:22) के नाम ; (ख) संयोजन का (cid:6)कार ;
(ग) संयोजन के प*कार(cid:22) के (cid:1)$याकलाप का *े- ; और (घ) ऐसा (ऐसे) सुसंगत बाजार, िजससे संयोजन संबT ह,ै के Aय ौरे सिEम िलत ह(cid:22)ग े और उसके इलJै P ािनक (cid:6)9प को उपिविनयम (1) के अधीन सूचना (cid:6)दF त करते समय पृथक् 9प से (cid:1)दया जाएगा । इस उपिविनयम के अधीन (cid:6)(cid:9) तुत संि*; त िववरण को आयोग क(cid:15) वेबसाइट पर (cid:6)कािशत (cid:1)कया जाएगा ।'';
(6) िविनयम 14 म, -- (क) उपिविनयम (1) म ''िविधमाVय और पूण (cid:13) नहW होगी जब तक (cid:1)क वह इन िविनयम(cid:22) के अनु9प न हो'', शA द(cid:22) के (cid:9) थान पर ''िविधमाVय नहW होगी जब तक (cid:1)क वह पूण(cid:13) और इन िविनयम(cid:22) के अन9ु प न हो'', शA द रखे जाएंग े ;
(ख) उपिविनयम (2) के प0 चात् िनEन िलिखत उपिविनयम अतं :(cid:9)थ ािपत (cid:1)कया जाएगा, अथात(cid:13) ् :-- ''(2क) उपिविनयम (2) म अतं SवCट (cid:1)कसी बात के होते (cid:25)ए भी, य(cid:1)द आयोग क(cid:15) जानकारी म यह आता ह ै (cid:1)क ऐसी कोई सूचना उपिविनयम (1) के अनुसार िविधमाVय नहW ह ै तो आयोग कारण लेखबT करने के प0 चात्, इन िविनयम(cid:22) के िविनयम 5 या िविनयम 8 के अधीन फाइल क(cid:15) गई सूचना को अिविधमाVय कर सकेगा और उस दशा म सिचव आयोग के इस िविन0च य क(cid:15) सूचना, आयोग के ऐसे िविन0च य के 7 (cid:1)दन के भीतर संयोजन के प*कार(cid:22) को सं(cid:6)ेिषत करेगा ।'';
(ग) उपिविनयम (3) म ''द(cid:9)त ावेज (द(cid:9)त ावेज(cid:22)), म कोई -ु:ट (-ु:टया)ं ह M या वे (cid:1)कसी भी 9प म अपूण(cid:13) ह,M वहां संयोजन के प*कार(cid:22) को आयोग (cid:16)ारा ऐसी -ु:ट (-ु:टय(cid:22)) को दरू करने या द(cid:9)त ावेज (द(cid:9)त ावेज(cid:22)) सिहत अपेि*त जानकारी (cid:6)(cid:9)त तु करने के िलए कहा जाएगा'', शAद (cid:22) के (cid:9)थ ान पर ''द(cid:9)त ावेज (cid:1)कसी भी 9प म अपूण (cid:13) ह,M वहां संयोजन के प*कार(cid:22) को आयोग (cid:16)ारा ऐसी -ु:ट (-ु:टय(cid:22)) को दरू करने या द(cid:9)त ावेज¹Hkkx IIµ[k.M 4º Hkkjr dk jkti=k % vlk/kj.k 3 (द(cid:9) तावेज(cid:22)) सिहत अपेि*त जानकारी (cid:6)(cid:9)त तु करन े के िलए कहा जा सकेगा'', शAद रख े जाएंगे ;
(7) िविनयम 17 म िनE निलिखत परंतुक अंत:(cid:9)थ ािपत (cid:1)कया जाएगा, अथा(cid:13)त ्:-- ''परंतु य(cid:1)द आयोग का अनुमोदन, संयोजन के प*कार(cid:22) (cid:16)ारा संयोजन म कोई उपांतरण करने क(cid:15) शत(cid:13) के अधीन ह,ै तो इन िविनयम(cid:22) के िविनयम 26 के अधीन आयोग (cid:16)ारा अनपु ालन :रपोट(cid:13) (cid:9)व ीकार (cid:1)कए जान े के प0 चात ् काय(cid:13)वािहयां समा;त हो जाएंगी ।'';
(8) िविनयम 19 म, -- (क) उपिविनयम (1) म ''30 (cid:1)दन'', शAद (cid:22) के (cid:9)थ ान पर ''30 काय(cid:13) (cid:1)दवस(cid:22)'', शAद रखे जाएगं े ; (ख) उपिविनयम (3) म िनE निलिखत परंतुक अंत:(cid:9)थ ािपत (cid:1)कया जाएगा, अथा(cid:13)त ्:-- ''परंत ु ऐसे उYम (उYम(cid:22)) से जानकारी अिभ(cid:6)ा;त करने म लगन े वाल े समय को, इस िविनयम के उपिविनयम (1) म उपबंिधत समय म से घटा (cid:1)दया जाएगा, जो (cid:1)क 15 काय(cid:13) (cid:1)दवस(cid:22) से अिधक नहW होगा ।'';
(9) िविनयम 30 म, -- (क) उपिविनयम (1) म ''अनरु ोध म, अVय बात(cid:22) के साथ, (cid:9)प Cट 9प से कारण(cid:22), औिचFय और संयोजन के प*कार(cid:22) के कारबार के िलए िवव*ा[ का कथन होना चािहए'', शAद (cid:22) के (cid:9)थ ान पर ''अनरु ोध म (cid:9)प Cट 9प से कारण(cid:22), औिचF य और संयोजन के प*कार(cid:22) के कारबार के िलए िवव*ा[ का कथन होगा'', शAद रखे जाएंग े ;
(ख) उपिविनयम (2) के प0च ात् िनEन िलिखत उपिविनयम अंत:(cid:9)थ ािपत (cid:1)कया जाएगा, अथा(cid:13)त् :-- ''(3) गोपनीयता के िलए अनरु ोध करन े वाल े प*कार यह कथन करत े (cid:25)ए (cid:1)क भारत का (cid:6)ित(cid:9)प धा(cid:13) आयोग (साधारण) िविनयम, 2009 के िविनयम 35 म िविहत शत\ का समाधान कर (cid:1)दया गया ह,ै भारत का (cid:6)ित(cid:9) पधा(cid:13) आयोग (साधारण) िविनयम, 2009 के िविनयम 42 म यथािविनBदCट एक शपथप- फाइल कर गे ।'';
(10) इन िविनयम(cid:22) क(cid:15) अनुसचू ी 1 म, (cid:6)वग (cid:13) 9 के प]ात ् िनEन िलिखत (cid:6)वग (cid:13) अंत:(cid:9)थ ािपत (cid:1)कया जाएगा, अथा(cid:13)त ्:-- ''(10) अिधिनयम क(cid:15) धारा 31 के अधीन भारत के (cid:6)ित(cid:9)प धा(cid:13) आयोग के आदेश के अनुसरण म और उसके अनुसार उसके (cid:16)ारा अनुमो(cid:1)दत (cid:1)कसी $ेता (cid:16)ारा शेयर(cid:22) का अज(cid:13)न, िनयं-ण, मतािधकार या आि(cid:9) तयां ।'';

NOTIFICATION New Delhi, the 1st July, 2015 The Competition Commission of India (Procedure in regard to the transaction of business relating to combinations) Amendment Regulations, 2015 F. No. CCI/CD/Amend/Comb.Regl./2015– In exercise of the powers conferred by section 64 of the Competition Act, 2002 (12 of 2003), the Competition Commission of India hereby makes the following regulations further to amend the Competition Commission of India (Procedure in regard to the transaction of business relating to combinations) Regulations, 2011, namely:-
1. Short title and commencement.-
(1) These regulations may be called the Competition Commission of India (Procedure in regard to the transaction of business relating to combinations) Amendment Regulations, 2015.
(2) They shall come into force on the date of their publication in the Official Gazette.
2. In the Competition Commission of India (Procedure in regard to the transaction of business relating to combinations) Regulations, 2011,-
(1) in regulation 5,-
(a) aftersub-regulation (3) the following sub-regulation shall be inserted, namely:- “(3A) The parties to the combination shall give notice in Form I or Form II, as the case may be, in accordance with the notes to Form I and Form II issued by the Commission and published on its official website, from time to time.”;
(b) in sub-regulation (8), inthe second proviso, the words “the Central Government or State Government or” shall be omitted;
(2) in regulation 6, in sub-regulation (2), for the words “two copies”, the words“one copy” shall be substituted;
(3) in regulation 8,in sub-regulation (2), for the words “in Form II, as specified in Schedule II to these regulations, duly filled in, verified and accompanied by evidence of requisite fee”, the words “in Form I or Form II, as decided by the Commission”shall be substituted;
(4) in regulation 9,-
(a) in sub-regulation (1),in the proviso, for the words “the Company Secretary of the company, duly authorised by the board of directors of the company”, the words“any person duly authorised by the board of directors of the company for the said purpose”shall be substituted;8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC. 4]
(b) in sub-regulation (3),in the proviso, for the words “the Company Secretary of the company, duly authorised by the board of directors of the company”, the words “any person duly authorised by the board of directors of the company for the said purpose” shall be substituted;
(c) in sub-regulation (4), for the words “may be filed by the parties”,the words“shall be filed by the parties” shall be substituted;
(5) in regulation 13,-
(a) in sub-regulation (1),for the words “two copies”, the words “one copy”shall be substituted;
(b) after sub-regulation (1), the following proviso shall be inserted, namely:- “Provided that if the parties to the combination request confidentiality of information or document(s) under sub-regulation (1) of regulation 30 of these regulations, such request may be filed as per the procedure laid down in the Competition Commission of India (General) Regulations, 2009, along with a duly filled in public version of the notice and an electronic version thereof.”;
(c) after sub-regulation (1A), the following sub-regulation shall be inserted, namely:- “(1B) A summary of the combination, not containing any confidential information, in not more than 500 words, comprising details regarding: (a) name of the parties to the combination; (b) the type of the combination; (c) the area of activity of the parties to the combination; and (d) the relevant market(s) to which the combination relates,along with an electronic version thereofshallbe separately given while delivering the notice under sub-regulation (1). The summary submitted under this sub-regulation shall be published on the website of the Commission.”;
(6) in regulation 14,-
(a) in sub-regulation (1), for the words “and complete unless it is”, the words“unless it is complete and”shall be substituted;
(b) aftersub-regulation (2), the following sub-regulation shall be inserted, namely:- “(2A) Notwithstanding anything contained in sub-regulation (2), the Commission may, after recording reasons, invalidate a notice filed under regulation 5 or regulation 8 of these regulations when it comes to the knowledge of the Commission that such notice is not valid as per sub-regulation (1) and, in that case, the Secretary shall convey the decision of the Commission to the parties to the combination within seven days of such decision of the Commission.”;
(c) in sub-regulation (3),for the words “has any defects or is incomplete in any respect, the parties to the combination shall”, the words “is incomplete in any respect, the parties to the combination may”shall be substituted;
(7) in regulation 17, the following proviso shall be inserted, namely:- “Provided that if the approval of the Commission is conditional upon the parties to the combination carrying out modification to the combination, the proceedings shall terminate upon acceptance of the compliance report by the Commission under regulation 26 of these regulations.”;
(8) in regulation 19,-
(a) in sub-regulation (1), for the words “thirty days”, the words “thirty working days”shall be substituted;
(b) in sub-regulation (3), the following proviso shall be inserted, namely:- “Provided that the time taken in obtaining the information from such enterprise(s) shall be excluded from the time, not exceeding fifteen working days, provided in sub-regulation (1) of this regulation.”;

(a) in sub-regulation (2), for the words “may, inter alia, clearly state” the words “shall clearly state”shall be substituted;
(b) after sub-regulation (2), the following sub-regulation shall be inserted, namely:- “(3) The parties requesting for confidentiality shall file an affidavit as specified in regulation 42 of the Competition Commission of India (General) Regulations, 2009 stating that the conditions prescribed in regulation 35 of the Competition Commission of India (General) Regulations, 2009 are satisfied.”;
(10) in Schedule I to these regulations, after category9, the following category shall be inserted, namely:- “(10) Acquisition of shares, control, voting rights or assets by a purchaser approved by the Commission pursuant to and in accordance with its order under section 31 of the Act.”;
