1. सजं िप्त ना और प्रारंभ.

(1) इन जनजनय का संजिप्त ना भारतीय प्रजतस्ट् पधाा ययगग (संयगिन) जनजनय , 2024 है।

(2) ये 10 जसतम्बर, 2024 कग प्रनृत् त ह गे।

2. पठरभाषाएं.

(1) इन जनजनय ,ें िब तक दक संिभा से अन् यथा अपेजित न हग,— (क) ‘‘अजधजनय ’’ से स य-स य पर यथासंिगजधत प्रजतस्ट् पधाा अजधजनय , 2002 (2003 का 12) अजभप्रेत है;

(ग) ‘‘सुसंगत तारीख’’ से नह तारीख, जिस तारीख कग जनििे क ंडल, जनलयन या स ा ेलन से संबंजधत प्रस्ट् तान का अनु गिन प्रिान करता है या करार के जन‍ पािन की तारीख या अजधजनय की धारा 6 की उपधारा (2) ें जनर्ि‍ा ट अिा न या जनयंत्रण का अिा न करने के जलए ऐसे अन् य िस्ट् तानेि की तारीख अजभप्रेत ह।ै

(2) इन जनजनय के प्रयगिन के जलए, िब तक दक इन जनजनय या अजधजनय ें अन् यथा जनजनर्ि‍ा ट न हग, ‘दिनस’ के प्रजतजनििे से कलैंडर दिनस अजभप्रेत हगगा।

(3) इन जनजनय ें प्रयुक् त ऐसे िब् ि और पि का, जिन् ह ें पठरभाजषत नहकि दकया गया है, नह अथा हगगा िग उनका अजधजनय या तद्धीन जनरजचत जनय या जनजनय या कंपनी अजधजनय , 2013 (2013 का 18) ें है।

3. कजतपय पठरजस्ट्थजतय ेंप्रदिया अनधाठरत करन ेकी िजतिय. ऐसी दकसी पठरजस्ट्थजत ें, जिसके जलए इन जनजनय या भारतीय प्रजतस्ट् पधाा ययगग (साधारण) जनजनय , 2024 ें उपबंध नहकि दकया गया है, नहां ययगग, यदि ऐसा अपेजित हग, ऐसे जनषय ें, प्रदिया अनधाठरत कर सकेगा।

4. स ंव्य नहार का ल्ू य और भारत ेंसारनान कारबार प्रचालन.

(1) अजधजनय की धारा 5 के खंड (घ) के प्रयगिन के जलए, संव् यनहार के ूल् य ें प्रत्येक ूल्यनान प्रजतफल, चाह ेप्रत्यि या अप्रत्यि, अव् यनजहत या यस्ट्थजगत, नकि या अन्यथा हग, प्रजतफल सजहत, ककंतु यहकि तक सीज त नहकि, सजम् जलत हगगा, — (क) जनिेता या कगई अन्य व्यजतिय पर अजधरगजपत कगई प्रसंजनिा, बचनबंध, बाध्य ता या जनबबंधधन के जलए यदि ऐसे प्रजतफल पर पृथक् त सह जत हग िाती ह;ै (ख) ऐसे सभी अंत:संबंजधत प्रि और संव् यनहार के जलए िग इन जनजनय के जनजनय 9 के उपजनजनय (4) और (5) ें उपबंजधत है;

(ग) उस तारीख से िग नषा ें संिाय, जिस तारीख कग, संव् यनहार के भाग ूपप ें दकये गये या उससे यनषु ांजगक इंतिा (इंतिा ) के जलए प्रौ्यमगजगकी सहायता, बौजद्धक संपिा अजधकार का अनुज्ञापन, कगई उत्पाि, सेना या सुजनधा की अजधकार प्रथा, कच् ची सा जोय या तैयार ाल का प्रिाय, ब्ांडडंग और जनपणन सजहत ककंत ु यहकि तक सीज त नहकि, संव् यनहार प्रभान ें ययेंगे;

(घ) ांग जनकल्प और ऐसे जनकल्प का पूणा प्रयगग की धारणा करते ुए उसके अर्िा त दकए िाने नाले िेयर के जलए; (ड.) संव् यनहार िस्ट्तानेि के अधीन जनजनर्ि्ट ा भानी पठरणा पर यधाठरत, सनोत्त प्राक् कलन के अनुसार संिये । स्ट्प्ट ीकरण. ─ इस उपजनजनय के प्रयगिन के जलए, (क) भानी संिाय का ूल् य का नता ान ूल्य से ज जतकाटा नहकि दकया िाएगा;

(ख) जनििे ी ुद्रा की भारतीय रुपये ें संपठरनता न की िर, सुसंगत तारीख से भारतीय ठरज़ना बैंक द्वारा उद्धृत अंजत छह ास के जलए औसत स्ट्पॉट िर हगगी; (ग) संव् यनहार के ूल्य ें, कगई पिकार या उसके स ूह अजस्ट्तत् न द्वारा सुसंगत तारीख से पूना , िग नषा की कालानजध ें दकसी स य, संव् यनहार ें अर्िा त या जनलजयत या स ा ेजलत हगने नाले उ्यम ें कगई अिा न के जलए प्रजतफल सजम् जलत हगगा;

(घ) ऐसी ििा ,ें िहां दकसी खुली प्रस्ट् थापना का भारतीय प्रजतभूजत और जनजन य बगडा द्वारा िारी जनय या तत् स य प्रनृत् त कगई अन्य कानून के अंतगा त कायाा न्नयन दकया गया है, नहां नह व्यजतिय, जिसे सूचना िने ा अपेजित ह,ै संव् यनहार के ूल्य की संगणना के प्रयगिन के जलए प्रस्ट् थापना का पूणा अजभिान करेगा। (ड.) संव् यनहार के ूल्य ें संव् यनहार लागतें सजम् जलत नहकि हगती ह ैं िैसे जनजधक सलाह के जलए, बैंक ें जनजनधान, जनया क, कानूनी प्रजधकरण इत् यादि कग संिये फीस;[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 (च) जनलयन या स ा ेलन की ििा ें या िहां संव् यनहार का सही और पूणा ूल्य संव् यनहार िस्ट्तानेि ें लेखाबद्ध नहकि दकया िाता है, नहां उस संव् यनहार या उसके घटक का ूल्य नही हगगा िग जनििे क ंडल या इन जनजनय के अधीन, सूचना िाजखल करने कग बाध्य व्यजतिय का कगई अन्य अनु गिन करने नाले प्राजधकारी ने ाना ह;ै (छ) यदि जनििे क ंडल या इन जनजनय के अधीन, सूचना िाजखल करने कग बाध्य व्यजतिय का कगई अन्य अनु गिन करने नाले प्राजधकारी द्वारा संव् यनहार का ूल्य युजतिययुक् त जनजचिततता के साथ स्ट्थाजपत न दकया िा सके, तग संव् यनहार का ूल्य, अजधजनय की धारा 5 के खंड (घ) ें जनजनर्ि्ट ा रक से अजधक ाना िा सकेगा;

(ि) जनििे क ंडल या इन जनजनय के अधीन, सूचना िाजखल करने कग बाध्य व्यजतिय का कगई अन्य अनु गिन करने नाले प्राजधकारी का, उसके अनु गिन ें उसके द्वारा लेखबद्ध प्राक् कलन, सनोत् त प्राक् कलन हगगा। यदि प्राक् कलन, जनििे क ंडल या सूचना िाजखल करने कग बाध्य व्यजतिय का कगई अन्य अनु गिन करने नाले प्राजधकारी द्वारा उसके अनु गिन ें लेखबद्ध नहकि दकया िाता है, तग अजधकत संिये रक , सनोत्त प्राक् कलन ानी िाएगी।

(2) अजधजनय की धारा 5 के खंड (घ) के परंतुक के प्रयगिन के जलए, उस ें जनर्ि‍ा ट उ्यम , भारत ें सारनान कारबार प्रचालन करने नाला उ्यम स झा िाएगा, यदि: (क) उपबंजधत जडजिटल सेनाओं के जलए, भारत ें उसके कारबार उपयगक् ताओं या यजखरी (end) उपयगक् ताओं की संख्या, उसकी ऐसे उपयगक् ताओं की कुल नैजिक संख्या का 10% या इससे अजधक है; या (ख) भारत ें सुसंगत तारीख से पूना नती बारह ास की कालानजध के जलए उसका सकल नाजणज्य ा ूल्य ह:ै

(i) उसके कुल नैजिक सकल नाजणज्य ा ूल्य का 10% या इससे अजधक, और

(ii) पााँच सौ करगड़ रुपये से अजधक; या (ग) भारत ें पूना नती जनत्तीय नषा ें उसका यनता है:

(i) सभी उत्पाि और सेनाओं से व् युजत् पत उसके कुल नैजिक यनता का 10% या उससे अजधक, और

(ii) पांच सौ करगड़ रुपये से अजधक। स्ट्प्ट ीकरण 1. ─ इस उपजनजनय के खंड (ख) के उपखंड (ii) और खंड (ग) के उपखंड (ii) जडजिटल सेनाओं पर लागू नहकि ह गे। स्ट्प्ट ीकरण 2. ─ इस उपजनजनय के प्रयगिन के जलए, (क) "सकल नाजणज्य ा ूल्य" से या तग दकसी उ्यम द्वारा, स्ट्नयं पर या दकसी अजभकताा के ूपप ें या अन्यथा, ाल के जनिय और/या सेनाओं के उपबंध के जलए नकि, प्राप्य या सुजनधा प्रिान करने नाला अन्य प्रजतफल अजभप्रेत ह;ै (ख) िहां दकसी उ्यम या प्रभाग या कारबार के जहस्ट्से का अिा न दकया िा रहा है, उसका जनयंत्रण जलया िा रहा ह,ै उसका जनलयन या स ा ेलन दकया िा रहा ह ै नहां उसके कारबार उपयगक् ताओं या यजखरी (end) उपयगक्त ाओं की सख्ं या, कजथत जहस्ट्स े या प्रभाग या इसका ान े िान े नाला कारबार का सकल नाजणज्य ा ूल्य या यनत,ा यथा लागू, सुसंगत कारबार उपयगक् ता या यजखरी (end) उपयगक् ता, सकल नाजणज्य ा ूल्य या यनता हगगा;

(ग) सुसंगत तारीख से तीन सौ पैंसि पूना नती दिनस के जलए कारबार उपयगक् ताओं या यजखरी (end) उपयगक् ताओं के अनुपात की, ऐसे उपयगक् ताओं की औसत संख्या के यधार पर संगणना की िाएगी; (घ) जडजिटल सेना से इंटरनेट के ाध्य से सेना या जडजिटल अंतना स्ट्त ु के एक या उससे अजधक अंि, या कगई अन्य गजतजनजध का उपबंध अजभप्रेत ह ैचाह े नह यथाजस्ट्थजत, यजखरी उपयगक् ता या कारबार उपयगक् ता कग प्रजतफल या अन्यथा के जलए हग;

(ड.) कारबार उपयगक् ता से जडजिटल सेनाओं के उपयगग द्वारा सजहत, ाल या सेनाएं प्रिाय करने नाला या उपलब् ध कराने नाला कगई प्रकृत या जनजधक व्यजतिय अजभप्रेत है; (च) यजखरी उपयगक् ता से कगई ऐसा प्रकृत या जनजधक व्यजतिय अजभप्रेत ह ै िग कारबार उपयगक् ता से जभन् न, सूचनात् क या संव् यनहारात् क प्रयगिन से जडजिटल सेनाओं का उपयगग करता है।4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

5. प्रस्ट्त ाजनत सयं गिन के जलए सचू ना का प्रूपप.

(1) अजधजनय की धारा 6 की उपधारा स2 या अजधजनय की धारा 6क के खंड सक के अधीन सूचना, सा न् यत: इन जनजनय की अनुसचू ी I ें यथाजनजनर्ि‍ा ट प्रूपप I ें िाजखल की िाएगी, िग सम् यक ूपप से भरा हगगा और जिसके साथ अपेजित फीस के संिाय का साक्ष् य भी लगा हगगा।

(2) उपजनजनय (1) ें अंतर्ना ‍ ट दकसी बात के हगते ुए भी, नह व् यजतिय जिसे सूचना िने ा अपेजित है, अपने जनकल्प पर, इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट प्रूपप II ें सूचना ि े सकेगा, अजध ानतः ऐसी अनस्ट्थ ा ें िहां - (क) संयगिन के पिकार एक िैसे या स ान या प्रजतस्ट् थापनीय ाल के उत् पािन या प्रिाय, जनतरण, भंडारण, जनिय या व् यापार या एक िैसे या स ान या प्रजतस्ट् थापनीय सेनाओं के उपबंध ें लगे ुए हैं और ऐसे संयगिन के पश् चात, कगई भी सुसंगत बािार ें, संयगिन के पिकार का संयुक् त बािार िेयर पंद्रह प्रजतित (15%) से अजधक है;

(ख) संयगिन के पिकार ाल या सेनाओं के उपबंध ें उत् पािन, प्रिाय, जनतरण, भंडारण, जनिय या व् यापार के संबंध ें जभन् न-जभन् न बािार ें उत् पािन रृंृंखला के जभन् न-जभन् न प्रि या स्ट् तर पर लगे ुए ह ैं और ऐसे संयगिन के पश् चात, कगई भी सुसंगत बािार ें, संयगिन के पिकार का संयुक्त बािार िेयर पच् चीस प्रजतित (25%) से अजधक ह।ै

(3) नह व् यजतिय जिसे सूचना िने ा अपेजित है, इन जनजनय की अनुसूची 1 ें यथाजनजनि‍ा ट, स य-स य पर ययगग द्वारा िारी और उसकी िासकीय नेबसाइट ें प्रकाजित प्रूपप I और प्रूपप II के ठटप्प ण के अनुसार, यथाजस्ट्थजत, प्रूपप I और प्रूपप II ें सूचना िगे ा।

(4) इस जनजनय के उपजनजनय (1) या (2) के साथ पठित अजधजनय की धारा 6क के खंड (क) के अधीन सूचना, जनजनयज त स्ट्टॉक एक्सचेंि पर संव् यनहार की रृंृंखला के ाध्य से, खुली प्रस्ट् थापना या जनजभन्न जनिेताओं से अन्य प्रजतभूजतय ें संपठरनता नीय िेयर या प्रजतभूजतय का अिा न के कायाा न्नयन के अनुसरण ें िेयर के प्रथ अिा न की तारीख से तीस दिनस के भीतर िी िाएगी जिसके साथ इन जनजनय की अनुसूची II ें जनजनर्ि्ट ा घगषणा और अपेजित फीस के संिाय का साक्ष् य भी लगा हगगा।

(5) अजधजनय की धारा 6 की उपधारा (4) के अधीन सूचना, इन जनजनय की अनुसूची I ें जनजनर्ि्ट ा प्रूपप I ें िाजखल की िाएगी, िग इन जनजनय की अनुसूची III ें जनजनर्ि्ट ा घगषणा के साथ, सम् यक ूपप से भरा हगगा और जिसके साथ संयगिन के पिकार द्वारा अपेजित फीस के संिाय का साक्ष् य भी लगा हगगा।

(6) उपजनजनय (1) के उपबंध कग ध् यान रखते ुए, ऐसी ििा ें, िहां पिकार ने प्रूपप I ें सूचना िाजखल की ह ैऔर ययगग ेंप्रथ ि‍ृ ट या राय बनान ेके जलए प्रूपप II ेंिानकारी अपजेित ह ैदक क्य ा संयगिन के कारण सुसंगत बािार के भीतर प्रजतस्ट् पधाा पर पयाा प्त प्रजतकूल प्रभान पड़ने की संभानना ह ै या प्रजतकूल प्रभान पड़ा है, नहां नह ऐसे व् यजतिय कग जिसे सूचना िेना अपेजित ह ै इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट प्रूपप II सूचना िने े का जनििे िगे ा:

परंतु यह दक प्रूपप I ें सूचना िते े स य पहले से संित् त फीस, यदि ययगग के जनजनश् चय की संसूचना की तारीख से पैंतालीस दिनस की कालानजध के भीतर िी िाती ह ैतग नह फीस प्रूपप II के जलए संिये फीस ें स ायगजित कर िी िाएगी।

(7) अजधजनय की धारा 6 की उपधारा (2) के खंड (क) ें ‘जनििे क ंडल’ के प्रजतजनििे से जनम् नजलजखत अजभप्रेत ह गे और उस ें सजम् जलत ह गे,— (क) व् यज्ट स्ट्न यं, जिसके अंतगा त स्ट् नाज त् न नाली फ ा का एक ात्र स्ट् ना ी भी है;

(ख) दकसी डहिं ूअजनभक् त कुटुंब (एचयूएफ) की ििा ें कताा ; (ग) कंपनी की ििा ें जनििे क ंडल; (घ) दकसी केन् द्रीय या राज्य या प्रांतीय अजधजनय द्वारा या उसके अधीन स्ट् थाजपत दकसी जनग या व् यजतियय के दकसी संग या व् यज्ट य के जनकाय, चाह े ने भारत या भारत से बाहर जनगज त ह ैं या नहकि या भारत से बाहर दकसी ििे की जनजधय द्वारा या उसके अधीन जनजग त दकसी जनग जनकाय या सहकारी सगसाइठटय से संबंजधत दकसी जनजध के अधीन रजिस्ट्र कृत दकसी सहकारी[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 5 सगसाइटी या दकसी स्ट् थानीय प्राजधकारी की ििा ें, कजथत जनकाय कग सृजित करने नाली जनजधक जलखत द्वारा सिक्त व् यजतिय या जनकाय;

(ङ) दकसी फ ा की ििा ें, इस प्रकार प्राजधकृत कगई भागीिार; (च) दकसी अन् य कृजत्र जनजधक व् यजतिय की ििा ें, िग दकसी भी पूना नती उपखंड के अंतगा त नहकि यता ह,ै नह व् यजतिय या उसकी रर से कारा नाई करने के जलए सि कगई अन् य व् यजतिय।

6. स्ट्ट ॉक एक्स चेंि पर खुली प्रस्ट्थ ापना और अिना की ििा ेंअजधकार का प्रयगग. दकसी ऐसे अिा न की ििा ें जिसके संबंध ें सूचना अजधजनय की धारा 6क के खंड (क) के अधीन िी िानी अपेजित ह,ै नहां अिा नकताा कर सकेगा, — (क) यर्था क फायि का उपभगग िैसे लाभांि या कगई अन् य जनतरण, साजधकार जनगा का अजभिान, बगनस िेयर, स्ट् टॉक-जस्ट्पजलट्स और प्रजतभूजतय का िय द्वारा नापस लेना (बाय-बैक);

(ख) केनल पठरस ापन और/या दिनाला काया नाजहय से संबंजधत जनषय ें ताजधकार का प्रयगग: परंतु यह दक अिा नकताा , उसके अजस्ट्तत् न का स ूह और उसी स ूह का जहस्ट्सा बनने नाले अन्य अजस्ट्तत् न, इस ें उनके सहबद्ध भी हैं, उस उ्यम कग, जिसके िेयर या प्रजतभूजतयां अर्िा त की िा रही ह ैं या उसके कगई सहबद्ध(सहबद्ध ) कग कगई रीजत ें, िग भी हग, प्रत्यि या अप्रत्यि ूपप से प्रभाजनत नहकि करेंगे।

7. गगपनीयता के जलए अनरु गध.

(1) िांच के िौरान प्रस्ट् तुत सूचना या िस्ट् तानेि की गगपनीयता के जलए कगई अनुरगध पर ययगग, स य- स य पर यथासंिगजधत भारतीय प्रजतस्ट् पधाा ययगग (साधारण) जनजनय , 2024 ें अजधकजथत प्रदिया कग ध्य ान ें रखते ुए सम् यक ूपप से जनचार करेगा।

(2) उपजनजनय (1) के अधीन दकसी अनुरगध ें, स्ट् प‍ ट ूपप से कारण, औजचत् य और संयगिन के पिकार के कारबार के जलए जनजनिाओं का कथन हगगा जिससे दक ययगग द्वारा इस जनषय ें जनजनश् चय लेने के स य, सभी सुसंगत तथ् य पर जनचार दकया िा सके।

8. सचू ना िाजखल करन े ेंअसफल रहना.

(1) िहां संयगिन के पिकार, अजधजनय की धारा 6 की उपधारा (2) या (4) या अजधजनय की धारा 6क के खंड (क) या अजधजनय की धारा 43क की धारा के परंतुक के अधीन, सूचना िाजखल करने ें असफल रहते हैं, नहां ययगग अजधजनय की धारा 20 की उपधारा (1) के अधीन, अपने स्ट् नयं के ज्ञान से या ऐस े संयगिन से संबंजधत सूचना के यधार पर, इस बात की िांच कर सकेगा दक क् या ऐसे संयगिन के कारण भारत के भीतर प्रजतस्ट् पधाा पर पयाा प्त प्रजतकूल प्रभान पड़ा ह ैया पड़ने की संभानना ह।ै

(2) िहां ययगग उपजनजनय (1) ें जनर्ि‍ा ट कगई िांच प्रारंभ करने का जनजनश् चय करता है, नहां ययगग ऐसी िाजस्ट्त, िग अजधरगजपत की िा सकेगी या ऐसे अजभयगिन, िग इस अजधजनय के अधीन प्रारंभ दकया िा सकेगा, पर प्रजतकूल प्रभान डाले जबना उस व् यजतिय कग, जिसे सूचना िने ा अपेजित है, ययगग द्वारा यथाजनजनजचितत, इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट प्रूपप I या प्रूपप II ें, सूचना िने े का जनििे िगे ा।

(3) उपजनजनय (2) ें जनर्ि‍ा ट सूचना, ययगग से संसूचना की प्राजि की तीस दिनस के भीतर िाजखल की िाएगी।

9. सचू ना िाजखल करन ेकी बाध्य ता.

(1) दकसी उ्यम (उ्यम ) के अिा न या उसके जनयंत्रण के अिा न की ििा ें, अिा नकताा , इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट, यथाजस्ट्थजत, प्रूपप I या प्रूपप II ें सूचना िाजखल करेगा, जिस पर भारतीय प्रजतस्ट् पधाा ययगग (साधारण) जनजनय , 2024 के जनजनय के अधीन यथाजनजनर्ि‍ा ट व् यजतिय(व् यजतियय ) द्वारा सम् यक ूपप से हस्ट् तािर दकये िाएंगे:

परंतु यह दक ऐसी ििा ें, िहां भारतीय प्रजतस्ट्पधाा ययगग (साधारण) जनजनय , 2024 के जनजनय 11 के उपजनजनय (1) के खंड (ग) के अधीन जनजनर्ि्ट ा व्यजतियय के अलाना, कंपनी है, नहां कंपनी द्वारा सम् यक ूपप से प्राजधकृत कगई व् यजतिय भी प्रूपप I या प्रूपप II ें हस्ट्तािर कर सकेगा।6 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

(2) ऐसी ििा ,ें िहां दकसी उ्यम का अिा न उसकी सह जत के जबना दकया िा रहा है, नहां अिा नकताा , अर्िा त दकये िाने नाले उ्यम के संबंध ें उसे उपलब् ध ऐसी िानकारी, इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट, यथाजस्ट्थजत, प्रूपप I या प्रूपप II ें प्रस् तुत करेगा:

परंतु यह दक अर्िा त दकए िाने नाले उ्यम के संबंध ें िाजखल दकए िाने के जलए अपेजित सभी िानकारी, ययगग कग सूचना िाजखल करने से िस दिनस के भीतर प्रस्ट् तुत की िाएगी और उस ििा ें, िहां अिा नकताा अर्िा त दकए िाने नाले उ्यम के संबंध ें, यथाजस्ट्थजत, प्ररुप I और प्ररुप II ें अपेजित िानकारी प्रस्ट् तुत करने की जस्ट्थजत ें नहकि है, नहां ययगग, अर्िा त दकए िाने नाले उ्यम कग ऐसी िानकारी प्रस्ट् तुत करने जनििे िे सकेगा, िग नह उजचत स झे और यथाजस्ट्थजत, संयगिन के पिकार या अर्िा त उ्यम द्वारा अपेजित िानकारी, जिसके अंतगा त िस्ट् तानेि भी ह,ैं प्रस्ट् तुत करने ें लगने नाले स य कग अजधजनय की धारा 6 की उपधारा (2क), धारा 29 की उपधारा (1ख) और धारा 31 की उपधारा (6) ें उपबंजधत कालानजध से अपनर्िा त कर दिया िाएगा।

(3) जनलयन या स ा ेलन की ििा ें, संयगिन के पिकार संयुक्त ूपप से, इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट, यथाजस्ट्थजत, प्ररुप I और प्ररुप II ें सूचना िाजखल करेंगे, जिस पर भारतीय प्रजतस्ट् पधाा ययगग (साधारण) जनजनय , 2024 के जनजनय 11 के अधीन यथाजनजनर्ि‍ा ट व् यजतियय द्वारा सम् यक ूपप से हस्ट् तािर दकए िाएंग:े परंतु यह दक ऐसी ििा ें, िहां भारतीय प्रजतस्ट्पधाा ययगग (साधारण) जनजनय , 2024 के जनजनय 11 के उपजनजनय (1) के खंड (ग) के अधीन जनजनर्ि्ट ा व्यजतियय के अलाना, कंपनी है, नहां कंपनी द्वारा सम् यक ूपप से प्राजधकृत कगई व् यजतिय भी प्रूपप I या प्रूपप II ें हस्ट्तािर कर सकेगा।

(4) िहां दकसी कारबार संव् यनहार के अंततगगत् ना यिजयत प्रभान की पूर्ता प्रक की एक रृंृरंखला द्वारा या ऐसे छगटे-छगटे व् यज्ट क संव् यनहार द्वारा हगती है, िग एक िसू रे से अंत:संबंजधत ह ैंऔर जिन ें से एक या अजधक कग संयगिन स झा िा सकता ह,ै नहां इन सभी संव् यनहार कग सजम् जलत करते ुए संयगिन के पिकार द्वारा एकल सूचना िाजखल की िा सकेगी।

(5) इन जनजनय के जनजनय 5 के अधीन सूचना िाजखल करने की अपेिा, संव् यनहार के उपािान और संव् यनहार(संव् यनहार ) की कगई संरचना के संबंध ें अनधाठरत की िाएगी, जिसका प्रभान संपूणा संयगिन या उसके दकसी भाग के संबंध ें सूचना से बचने का हग, उस पर ध्य ान नहकि दिया िाएगा।

10. फीस सिं ाय करने की बाध्य ता.

(1) इन जनजनय के जनजनय 5 या जनजनय 8 के अधीन सूचना िाजखल करने नाला व् यजतिय या उ्यम , इन जनजनय के जनजनय 11 के अधीन यथाजनजनर्ि‍ा ट फीस का संिाय करेगा।

(2) िहां सूचना संयुक्त ूपप से िाजखल की िाती ह ैंनहां फीस संयुक् त ूपप से या पृथक ूपप से संिये हगगी।

11. फीस की रक . इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट, यथाजस्ट्थजत, प्रूपप I या प्रूपप II ें की गई सूचना के साथ संिये फीस की रक जनम् नानुसार हगगी, — (क) िहां सूचना प्रूपप I ें िाजखल की िाती ह,ै नहां संिये फीस की रक तीस लाख रुपये ात्र हगगी;

(ख) िहां सूचना प्रूपप II ें िाजखल की िाती ह,ै नहां संिये फीस की रक नब् बे लाख रुपये ात्र हगगी।

12. सिं ाय की पद्धजत. फीस का संिाय, भारतीय प्रजतस्ट् पधाा ययगग (प्रजतस्ट् पधाा जनजध), नई दिल् ली के पि ें संिये ांगिये राफाटट, संिाय यििे या बैंकर चेक प्रस्ट् तुत करके या भारतीय प्रजतस्ट् पधाा ययगग (प्रजतस्ट् पधाा जनजध), ‘‘पंिाब नेिनल बैंक, भीकािी का ा प ल् ेस, नई दिल् ली-110066’’ के खाता संख्य ांक 1988002100187687 ें सीधे प्रषे ण द्वारा इलेक् राजनक स ािगधन सेना (ईसीएस) के ाध्य से दकया िा सकेगा।

13. सचू ना िाजखल करन ेकी प्रदिया.

(1) इन जनजनय के 5 या जनजनय 8 के यधीन सम् यक ूपप से भरी गई और सत् याजपत सूचना, उसकी एक प्रजत और उसके एक इलेजक् राजनक पाि के साथ ययगग कग, उसकी िासकीय नेबसाइट पर प्रकाजित पते पर पठरित् त की िाएगी:[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 7 परंतु यह दक नह व् यजतिय जिसे सूचना िने ा अपेजित है, इन जनजनय के जनजनय 7 के उपजनजनय (1) के अधीन सूचना या िस्ट् तानेि(िस्ट् तानेि ) की गगपनीयता के जलए अनुरगध करता है, तग ऐसा अनुरगध, सूचना के लगक पाि ें सम् यक ूपप से भरा गया और उसके एक इलेक् राजनक पाि के साथ, भारतीय प्रजतस्ट् पधाा ययगग (साधारण) जनजनय , 2024 ें अजधकजथत प्रदिया के अनुसार िाजखल दकया िा सकेगा।

(2) संयगिन का संजिप्त ब् यौरा, जिस ें गगपनीय िानकारी अंतर्ना ‍ ट न हग, िग 1000 िब्ि से अजधक न हग, जिस ें इस बारे ें ब् यौरे सजम् जलत ह : (क) संयगिन के पिकर का ना ; (ख) संयगिन की प्रकृजत और प्रयगिन; (ग) संयगिन के पिकार के उत्पाि, सेनाएाँ और कारबार; और (घ) संबंजधत बािार, िहां संयगिन के पिकार प्रचालन करते हैं, कग इसे ययगग की नेबसाइट पर प्रकाजित करने के प्रयगिन से िाजखल दकया िाएगा।

(3) सजचन इन जनजनय के जनजनय 5 या जनजनय 8 के अनुसार िी गई सूचना की प्राजि की अजभस्ट्न ीकृजत िारी करेगा।

(4) इन जनजनय के जनजनय 5 या जनजनय 8 के अधीन सूचना िाजखल करने के पठरणा स्ट् नूपप, ययगग के स ि िाजखल दकए िाने के जलए अपेजित सभी प्रत् युत् तर और अन् य िस्ट् तानेि, उपजनजनय (1) के अंतर्ना ‍ ट प्रदिया के अनुसार िाजखल दकए िाएंगे:

परंतु यह दक इस जनजनय के प्रयगिन के जलए, सजचन लगक उद्घगषणा के ाध्य से इलेक् राजनक फाइडलंग के जलए प्रदिया, प्रस्ट् तुत की िाने नाली प्रजतय की संख्य ा ें नृजद्ध या क ी या उस प्रूपप ें, जिस ें इलेक् राजनक पाि िाजखल दकया िाना है, अंतर करने की सूचना ि ेसकेगा।

(5) अजधजनय की धारा (6) की उपधारा (2) और (4), अजधजनय की धारा 6क के खंड (क), और इन जनजनय के जनजनय (8) के उपजनजनय (2) के अधीन सूचना इलेक् रॉजनक ूपप ें िी िा सकेगी िब ययगग द्वारा इसके जलए सुजनधा उपलब् ध करा िी िाए।

14. सचू ना की सनं ीिा और िाचं .

(1) इन जनजनय के जनजनय 5 या जनजनय 8 के अधीन िाजखल की गई सूचना, तब तक जनजध ान् य और पूणा नहकि हगगी िब तक दक नह इन जनजनय के अनुूपप न हग।

(2) िहां इन जनजनय के जनजनय 5 या जनजनय 8 के अधीन सूचना ें अंतर्ना ‍ ट िानकारी या इन जनजनय के अनुसरण ें िाजखल प्रत् युत् तर दकसी भी ूपप ें अपूणा ह,ैं नहां संयगिन के पिकार कग, िस्ट् तानेि(िस्ट् तानेि ) सजहत अपेजित िानकारी प्रस्ट् तुत करने के जलए कहा िाएगा। परंतु यह दक संयगिन के पिकार कग सूचना ें त्रुठटय की संसूचना, सूचना प्राजि के िस काया दिनस के भीतर ि ेिी िाएगी।

(3) पिकार, ययगग द्वारा जनजनर्ि‍ा ट स य के भीतर, उपजनजनय (2) ें यथा जनर्ि‍ा ट जनििे का पालन करेंगे और सूचना कग ऐसे अनुपालन की तारीख कग जनजनय 5 या जनजनय 8 के अधीन िी गई सूचना ही स झा िाएगा।

(4) िहां ययगग यह पाता है दक उसे अजतठरक् त िानकारी अपेजित ह ै नहां ययगग, संयगिन के पिकार कग ऐसी अजतठरक् त सूचना िाजखल करने का जनििे ि ेसकेगा।

(5) उपजनजनय (4) के अधीन जनििे का, ययगग द्वारा जनजनर्ि‍ा ट स य के भीतर अनुपालन दकया िाएगा और इन जनजनय के जनजनय 5 के अधीन िाजखल की गई सूचना की ििा ें, िस्ट् तानेि(िस्ट् तानिे ) सजहत अपेजित िानकारी प्रस्ट् तुत करने ें जलए गए स य कग अजधजनय की धारा 6 की उपधारा (2क), धारा 29 की उपधारा (1ख) और धारा 31 की उपधारा (6) ें िी गई कालानजध से अपनर्िा त कर दिया िाएगा।

(6) सजचन, उपजनजनय (2), (3) और (4) ें यथाजनर्ि‍ा ट संसूचना की ता ील का सबूत अजभलेख पर रखेगा।

(7) जनजनर्ि‍ा ट स य के भीतर, त्रुठटया ं िरू करने या िस्ट् तानेि(िस्ट् तानेि ) सजहत अपेजित िानकारी प्रस्ट् तुत करने ें असफल रहने की ििा ें, इन जनजनय जनजनय 5 या जनजनय 8 के अधीन िी गई सूचना, जनजध ान् य सूचना के ूपप ें नहकि ानी िाएगी:

परंतु यह दक ययगग, सूचना कग अजनजध ान् य करने का जनजनश् चय करने से पूना , संयगिन के पिकार कग इन जनजनय के जनजनय 23 के अनुसार सुननाई का अनसर ि ेसकेगा: परंतु यह और दक ययगग, कारण कग लेखबद्ध करने के पश् चात, इन जनजनय के जनजनय 5 या जनजनय 8 के अधीन िी गई सूचना कग अजनजध ान् य कर सकेगा िब ययगग के संज्ञान ें यह यता ह ै8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] दक ऐसी सूचना उपजनजनय (1) के अनुसार नैध नहकि ह ै और, ऐसी ििा ें, सजचन, सूचना िने े नाले व् यजतिय कग, ययगग के जनजनश् चय की सूचना, ऐसे जनजनश् चय के सात दिनस के भीतर प्रेजषत करेगा:

परंतु यह और दक इस जनजनय के अधीन काया नाही यरंभ हगने से सूचना की जनजध ान् यता के बारे ें ययगग के जनजनश् चय तक के बीच की कालानजध कग अजधजनय की धारा 6 की उपधारा (2क), धारा 29 की उपधारा (1ख) और धारा 31 की उपधारा (6) ें जनजनर्ि‍ा ट कालानजध से अपनर्िा त कर दिया िाएगा:

परंतु यह और दक िहां अजनजध ान्य करण के पश् चात सूचना पुन: िी िाती ह ैनहां पहले से ही संित् त फीस, नई सूचना के संबंध ें संित् त की िाने नाली फीस ें स ायगजित कर िी िाएगी यदि ऐसी सूचना ययगग के जनजनश् चय की संसूचना की तारीख से पैंतालीस दिनस की कालानजध के भीतर िी गई हग।

(8) िहां ययगग यह यनश् यक स झे, नहां नह कगई अन् य व् यजतिय से सूचना ांग सकेगा दक क् या संयगिन से भारत ें प्रजतस्ट् पधाा पर पयाा प्त प्रजतकूल प्रभान पड़ा ह ैया पड़ने की संभानना है: परंतु यह दक ऐसे व् यजतिय(व् यक् तय ) से सूचना अजभप्राप्त करने ें जलया गया स य, अजधजनय की धारा 6 की उपधारा (2क), धारा 29 की उपधारा (1ख) और धारा 31 की उपधारा (6) ें दिये गये स य से अपनर्िा त कर दिया िाएगा:

परंतु यह और दक िहां ययगग इस उपजनजनय के अधीन सूचना की ांग करता ह ैनहां सजचन, सूचना िने े नाले व् यजतिय कग इसकी संसूचना िगे ा।

15. दकसी पठरनतना की ससं चू ना.

(1) इन जनजनय के जनजनय 5 या जनजनय 8 के अधीन सूचना िने े नाला व् यजतिय, ययगग कग िी गई सूचना ें प्रिान की गई िानकारी ें कगई पठरनता न की, जनजनय 13 के उपजनजनय (3) के अधीन सजचन द्वारा पानती िारी करने की तारीख से िस काया दिनस के भीतर ययगग कग सूचना िगे ा।

(2) सजचन, सूचना ें दकसी पठरनता न से संबंजधत िानकारी, ययगग के स ि रखेगा।

(3) ययगग, उस पठरनता न से संबंजधत सूचना के हत् न का ूल् यांकन करेगा और यदि उसका स ाधान हग िाता ह ैतग नह प्राप्त िानकारी कग अजभलेख पर लेगा:

(4) िहां ययगग यह जनचार बनाता ह ै दक पठरनता न से प्रजतस्ट् पधाा पर हत् नपूणा ूपप से पयाा प्त प्रजतकूल प्रभान का अनधारण करने के कारक पर, प्रभान पड़ने की संभानना है, नहां नह कारण कग लेखबद्ध करने के पश् चात, पहले से िाजखल सूचना कग जनजध ान् य नहकि ानेगा।

(5) िहां ययगग ने दकसी सूचना कग उपजनजनय (4) के अधीन जनजध ान् य अजभजनधाा ठरत नहकि दकया है, नहां सजचन, सूचना िने े नाले व्यजतिय कग, ययगग के जनजनश् चय के सात दिनस के भीतर ययगग के जनजनश् चय की सूचना प्रेजषत करेगा:

परंतु यह दक पहले से ही संित् त फीस, नई सूचना के संबंध ें संित् त की िाने नाली फीस ें स ायगजित कर िी िाएगी यदि ऐसी सूचना ययगग के जनजनश् चय की संसूचना की तारीख से पैंतालीस दिनस की कालानजध के भीतर िी गई हग।

16. सचू ना का प्रत्य ाहरण और पनु : िाजखल करना.

(1) अजधजनय की धारा 29 की उपधारा (1) के अधीन सूचना िारी करने से पूना दकसी स य पर ययगग, सूचना िने े नाले व् यजतिय के अनुरगध पर, इन जनजनय के जनजनय 5 और जनजनय 8 के अधीन िी गई सूचना के प्रत् याहरण की अनुज्ञा ि ेसकेगा।

(2) जनजनय (1) के अधीन सूचना के प्रत् याहरण के ििा ें, ऐसी सूचना के संबंध ें पहले से ही संित् त फीस, नई सूचना के संबंध ें संित् त की िाने नाली फीस ें स ायगजित कर िी िाएगी यदि नई सूचना प्रत् याहरण की तारीख से पैंतालीस दिनस के भीतर िी गई हग।

17. काया नाजहय की स ाजि. संयगिन के संबंध ें इस जनजनय के अधीन काया नाजहयां, जनम् नजलजखत ििाओं ें स ाप्त कर िी िाएगी,— (क) सूचना िाजखल करने नाले व् यजतिय (व् यजतियय ) या उ्यम (उ्यम ) द्वारा इस प्रभान की संसूचना प्राप्त हगने पर दक प्रस्ट् ताजनत संयगिन प्रभानी नहकि हगगा;[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 9 (ख) ययगग द्वारा अजधजनय की धारा 31 के अधीन कगई यििे पाठरत दकये िाने पर:

परंतु यह दक यदि संयगिन ें उपांतरण करने नाले संयगिन के पिकार पर ययगग का अनु गिन सिता है, तग इन जनय के जनजनय न 26 के अधीन ययगग द्वारा अनुपालन ठरपगटा के प्रजतोहण पर काया नाही स ाि हग िाएगी।

18. सचू ना(सचू नाओं), यदि की ता ील की पद्धजत. इस अजधजनय या इन जनजनय ें अन् यथा उपबंजधत के जसनाय, इन जनजनय के अधीन दकसी व् यजतिय या उ्यम कग कगई सूचना या संसूचना की ता ील, भारतीय प्रजतस्ट् पधाा ययगग (साधारण) जनजनय , 2024 के जनजनय 22 ें यथाउपबंजधत रीजत ें या इलेक् राजनक प्रेषण, िग ययगग उजचत स झे, द्वारा की िाएगी।

19. हाजहनििे क स ेठरपगटा ागं ना.

(1) अजधजनय की धारा 29 की उपधारा (1) के अधीन कारण बतार सूचना के प्रत् युत् तर की प्राजि के पश् चात, ययगग, अजधजनय की धारा 29 की उपधारा (1क) के अधीन, ययगग द्वारा यथाजनजनर्ि‍ा ट स य के भीतर, हाजनििे क से ठरपगटा ांगने का जनजनश् चय कर सकेगा।

(2) सजचन, उपजनजनय (1) के अधीन ययगग के जनििे , अन् य सभी िस्ट् तानेि, सा ोी, िपथपत्र, जननरण िग िाजखल दकए गए हैं या अन् यथा िग कजथत सूचना के साथ उपलब् ध ह ैंऔर अजधजनय की धारा 29 की उपधारा (1) के अधीन िारी कारण बतार सूचना की प्रजत और उसके प्रत् युत् तर के साथ हाजनििे क कग प्रेजषत करेगा।

20. हाजहनििे क द्वारा ठरपगटा .

(1) हाजनििे क अपनी ठरपगटा ें, अन् नषे ण के िौरान एकजत्रत सभी साक्ष् य या िस्ट् तानेि या जननरण और उनके जनश् लेषण के साथ उसके जन‍ कषों के यधार कग सजम् जलत करेगा।

(2) हाजनििे क की ठरपगटा की िग प्रजतयां, जिनके प्रत् येक पृ‍ ि पर हाजनििे क या उसके प्राजधकृत अजधकारी के हस्ट् तािर ह गे, िस्ट् तानेि प्रूपप ें उसके इलेक् राजनक पाि के साथ ययगग द्वारा जनजनर्ि‍ा ट स य के भीतर सजचन कग अोेजषत की िाएगी:

परंतु यह दक सजचन ठरपगटा की प्रजतय की संख्य ा ें नृजद्ध या क ी कर सकेगा और उसके इलेक् राजनक प्रेषण की अनु जत भी ि ेसकेगा।

21. सयं गिन के ब् यौरे का प्रकािन.

(1) िहां अजधजनय की धारा 29 की उपधारा (2) के अधीन ययगग की प्रथ ि‍ृ टया यह राय है दक संयगिन के कारण भारत के सुसंगत बािार के भीतर प्रजतस्ट् पधाा पर पयाा प्त प्रजतकूल प्रभान पड़ा है या पड़ने की संभानना ह,ै नहां सजचन, सूचना िने े नाले व् यजतिय कग ययगग के जनििे की सूचना प्रेजषत करेगा िग ऐसे जनििे के सात दिनस के भीतर संयगिन के ब् यौरे प्रकाजित करेगा।

(2) पिकार द्वारा संयगिन के ब् यौरे का प्रकािन इन जनजनय की अनुसूची I ें यथाजनजनर्ि‍ा ट प्रूपप III ें दकया िाएगा।

(3) पिकार उपजनजनय (2) के अधीन प्रकाजित दकए िाने िाने नाले संयगिन के ब् यौरे, उसके प्रकािन से पूना ययगग कग प्रस्ट् तुत करेंगे और ययगग उन् ह ेंअपनी िासकीय नेबसाइट पर रख सकेगा।

(4) पिकार, उपजनजनय (2) के अधीन प्रकाजित दकए िाने नाले संयगिन के ब् यौरे, उपजनजनय (1) ें जनजनर्ि‍ा ट स य के अपश् चात, अपनी नेबसाइट पर भी रखेंगे।

(5) पिकार, उपजनजनय (2) के अधीन संयगिन के ब् यौर का प्रकािन, उपजनजनय (1) ें जनजनर्ि‍ा ट स य के अपश् चात, 4 प्र ुख िजै नक स ाचार पत्र , जिसके अंतगा त िग कारबार स ाचार पत्र भी ह गे, के अजखल भारतीय संस्ट् करण ें करेंगे।

22. प्रकािन का सबतू . सूचना िने े नला व् यजतिय, इन जनजनय के जनजनय 21 ें जनर्ि‍ा ट प्रकािन की प्रजतयां, संयगिन के ब् यौरे के प्रकािन की तारीख से िग दिनस के अपश् चात, सजचन कग प्रस्ट् तुत करेगा।

23. ययगग के स ि पिकार का उपसिं ात हगना.10 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] िहां ययगग, अपनी िांच के िौरान दकसी भी स य पर, संयगिन के पिकार कग सुननाई का एक अनसर िने ा यनश् यक स झता है, नहां सजचन, कजथत पिकार कग उसके स ि प्रस्ट् तुत हगने के जनििे की संसूचना िते े ुए ययगग द्वारा यथाजनिजे ित तारीख और स य की सूचना िारी करेगा:

पंरतु यह दक सूचना िारी करने की तारीख और उस ें जनयत सुननाई की तारीख के बीच की कालानजध, अजधजनय की धारा 6 की उपधारा (2क), धारा 29 की उपधारा (1ख) और धारा 31 की उपधारा (6) ें जनजनर्ि‍ा ट कालानजध से िस दिन से अनजधक, अपनर्िा त कर िी िाएगी:

पंरतु यह और दक यदि संयगिन के पिकार, ययगग के स ि उपसंिात हगने ें अजतठरक् त स य की ागं करते ह ैं तग ऐसा स य, अजधजनय की धारा 6 की उपधारा (2क), धारा 29 की उपधारा (1ख) और धारा 31 की उपधारा

(6) ें जनजनर्ि‍ा ट कालानजध से अपनर्िा त कर दिया िाएगा।

24. यिपे का कथन. अजधजनय की धारा 29 के अधीन प्रदिया पूणा हगने पर, िहां ययगग की यह राय ह ैदक संयगिन से प्रजतस्ट् पधाा पर पयाा प्त प्रजतकूल प्रभान पड़ा ह ैया पड़ने की संभानना ह ैऔर अजधजनय की धारा 29क की उपधारा (1) के अधीन यिेप का कथन िारी करने का जनजनश् चय करता है, नहां सजचन, उस व् यजतिय कग जिसने सूचना िी है, चार दिनस के भीतर, यिेप के कथन की संसूचना िगे ा।

25. प्रस्ट्त ाजनत सयं गिन ेंउपातं रण.

(1) िहां ययगग, या तग अजधजनय की धारा 29 की उपधारा (7) के अधीन या अजधजनय की धारा 29क की उपधारा (3) के परंतुक के अधीन उपांतरण का प्रस्ट् तान करने जनजनश् चय करता है, नहां सजचन, सूचना िने े नाले व् यजतिय कग सात दिनस के भीतर, ययगग के प्रस्ट् तान की संसूचना िगे ा और ऐसा व् यजतिय, ययगग का प्रस्ट् तान प्राप्त हगने की तारीख से पांच दिनस के भीतर, जलजखत ें, इसका प्रजतोहण या अप्रजतोहण प्रस्ट् तुत करेगा:

परंतु यह दक ययगग के प्रस्ट् तान की संसूचना ें लगा सात दिनस से अनजधक स य, अजधजनय की धारा 29 की उपधारा (1ख) ें उपबंजधत कालानजध से अपनर्िा त कर दिया िाएगा। परंतु यह और दक सूचना िने े नाले व् यजतिय द्वारा ऐसे प्रजतोहण या अप्रजतोहण के जलए जलया गया स य, अजधजनय की धारा 6 की उपधारा (2क), धारा 29 की उपधारा (1ख) और धारा 31 की उपधारा (6) ें उपबंजधत कालानजध से अपनर्िा त कर दिया िाएगा।

(2) अजधजनय की धारा 29 की उपधारा (7) या धारा 29क की उपधारा (2) या (3) के अधीन संयगिन के पिकार द्वारा प्रस्ट् थाजपत उपांतरण,इन जनजनय की अनुसूची I ें यथाजनजनि‍ा ट प्रूपप IV ें िाजखल दकया िाएगा।

(3) अजधजनय की धारा 29 की उपधारा (7) के अधीन उपांतरण, जनजनय 13 के उपजनजनय (3) के अधीन सजचन द्वारा िारी अजभस्ट्न ीकृजत की तारीख से िस काया दिनस के भीतर या इन जनजनय के जनजनय 14 के उपजनजनय (2) के अधीन िारी संसूचना के प्रत् युत् तर के साथ, िग भी बाि ें हग, प्रस्ट् थाजपत दकया िाएगा।

(4) संयगिन के पिकार, अजधजनय की धारा 29 की उपधारा (1) के अधीन िारी सूचना पर, ऐसी सूचना की प्राजि के पन् द्रह दिनस के भीतर, कजथत सूचना ें प्रथ ि्ट ृया डचंताओं कग िरू करने के अपने प्रत् युत् तर के साथ प्रूपप IV ें उपांतरण की प्रस्ट् थापना कर सकेंगे और उस यधार पर, ययगग अजधजनय की धारा 31 की उपधारा (1) के अधीन प्रस्ट्ताजनत संयगिन कग ंिूरी ि ेसकेगा।

(5) िहां ययगग, उपांतरण के अधीन रहते ुए, अजधजनय की धारा 31 की उपधारा (3) के अधीन संयगिन का अनु गिन करता ह,ै नहां संयगिन के पिकार, जनबंधन और ितों के अनुसार, ऐसी कालानजध के भीतर िग ययगग अपने यििे ें जनजनर्ि‍ा ट करे, ऐसे उपांतरण काठरत करेगा।

(6) िहां ययगग ने उपांतरण के अधीन रहते ुए, अजधजनय की धारा 31 की उपधारा (3) के अधीन संयगिन अनु गदित कर दिया ह ै और िहां संयगिन के पिकार, ययगग द्वारा जनजनर्ि‍ा ट कालानजध के भीतर, उपांतरण काठरत करने ें जनफल रहता है, नहां ययगग, पिकार के उपांतरण काठरत करने ें जनफल रहने के ययगग द्वारा अनधाठरत तारीख से तीस दिनस से अनजधक स य के भीतर, अजधजनय की धारा 31 की उपधारा (5) के उपखंड (ख) के अधीन कगई यििे िारी करेगा।

26. पिकार द्वारा उपातं रण काठरत करने का अनपु ालन.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 11

(1) संयगिन के पिकार, उपांतरण पूणा हगने पर, ऐसे पूणा हगने के सात दिनस के भीतर, अजधजनय की धारा 31 के अधीन ययगग के यििे के जनबंधन और ितों के अनुसार, उपांतरण के अनुपालन के िपथपत्र के साथ, सजचन के स ि ठरपगटा िाजखल करेंगे।

(2) िहां उपांतरण का यनजधक अनुपालन अपेजित ह,ै नहां संयगिन के पिकार, ययगग के यििे के अनुसार ययगग कग ठरपगटा प्रस्ट्तुत करेंगे।

(3) ऐसी ििा ें िहां संयगिन के पिकार, इस जनजनय के उपजनजनय (1) या (2) के अधीन ठरपगटा िाजखल करने ें असफल रहते हैं, नहां सजचन ऐसे अननुपालन के जनषय कग उपयुक् त जनििे के जलए ययगग के स ि रखेगा।

27. उपातं रण के पयाना लगकन के जलए स्ट् नतत्रं अजभकरण की जनयजु तिय. िहां ययगग की यह राय ह ै दक प्रस्ट् ताजनत संयगिन ें उपांतरण के कायाा न् नयन ें पया नेिण की यनश् यकता ह,ै नहां नह भारतीय प्रजतस्ट् पधाा ययगग (साधारण) जनजनय , 2024 के जनबंधन के अनुसार और ऐसे जनबंधन और ितों पर, िग ययगग जनजनर्ि‍ा ट करे, ऐसे उपांतरण के पया नेिण के जलए अजभकरण जनयुक्त कर सकेगा।

28. ययगग के यििे .

(1) िहां ययगग अजधजनय की धारा 31 की उपधारा (1) या (2) या (3) या (5) के अधीन कगई यििे पाठरत करने का जनजनश् चय करता है, नहां सजचन, सूचना िने े नाले व् यजतिय कग, ऐसे जनजनश् चय के सात दिनस के भीतर ययगग का जनजनश् चय संसूजचत करेगा।

(2) अजधजनय की धारा 57 के उपबंध और इन जनजनय के जनजनय 31 के अधीन रहते ुए, अजधजनय की धारा 31 के अधीन ययगग द्वारा पाठरत यििे कग उसकी नेबसाइट पर प्रकाजित दकया िाएगा।

29. अजभभानी प्रभान. इन जनजनय के उपबंध का प्रभान, अजधजनय के अधीन जनरजचत दकन् हकि अन् य जनजनय ें अंतर्ना ‍ ट उससे असंगत दकसी बात के हगते ुए भी संयगिन से संबंजधत सभी जनषय पर हगगा।

30. अन्य अजभकरण या काननू ी प्राजधकाठरय स ेसहयगग. िहां ययगग ऐसा करना उजचत स झे, नह संयगिन के संबंध ें अन् य अजभकरण या कानूनी प्राजधकारी की राय प्राप्त कर सकेगा।

31. कठिनाइय का जननारण. इन जनजनय के उपबंध के कायाा न् नयन के जनषय ें, यदि कगई संिेह या कठिनाई उद्भूत हगती ह ैतग उसे ययेाग के स ि रखा िाएगा और उस पर ययगग का जनजनश् चय अंजत और यबद्धकर हगगा।

32. जनििे िारी करन ेकी िजतिय. अजधजनय के उपबंध कग ध्य ान ें रखते ुए, ययगग, स य-स य पर, अपने कता व् य के जननहना ें संयगिन के जनजनय न के जलए साधारण या िेत्र जनजनर्ि‍ा ट जनििे , ागा ििी जसद्धांत, स्ट् प‍ टीकरण या पठरपत्र िारी कर सकेगा।

33. जनरसन और व् यानजृ त्तया.ं

(1) भारतीय प्रजतस्ट्पधाा ययगग (संयगिन के संबंध ें कारबार के संव् यनहार से संबंजधत प्रदिया) जनजनय , 2011, उस तारीख से जनरस्ट्त हग िाएंगे जिस तारीख कग ये जनजनय प्रनृत् त ह गे: परंतु यह दक भारतीय प्रजतस्ट्पधाा ययगग (संयगिन के संबंध ें कारबार के संव् यनहार से संबंजधत प्रदिया) जनजनय , 2011 के उपबंध, िैसा दक ने इन जनजनय के प्रनृत् त हगने स े अव् यनजहत की तारीख पर थे, इन जनजनय के प्रनृत् त हगने से पूना , अजधजनय की धारा 6 की उप-धारा (2) के अधीन िी गई सूचना(सूचनाओं) कग लागू रहना िारी रहगें े।

(2) ऐसे जनरसन ें कुछ भी हगते ुए भी–, (क) ऐसे जनरसन से पूना , जनरजसत दकये गये जनजनय के अधीन, एकजत्रत फीस, कगई काया नाजहयां, जनजनश् चय, प्रारंभ की गई िांच या अन् नेषण या कारण बतार सूचना सजहत दकया गया कुछ भी या की गई या दकया िाना या की िाने नाली या की गई तात् पर्या त कगई कारा नाई ऐसे अप्रभाजनत रहेंगे िैसे दक जनरजसत दकए गए जनजनय कभी जनरजसत ही न दकए12 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] गए ह ;

(ख) जनरजसत जनजनय का प्रनता न या तद्धीन सम् यक ूपप से दकया गया या भुक् त कुछ भी, अर्िा त, प्रगद्भूत या उपगत कगई अजधकार, जनिेषाजधकार, बाध्य ता या िाजयत्न, या कगई अन् नेषण, जनजधक काया नाही या उपचार अप्रभाजनत रहेंगे ानग जनरजसत जनजनय कभी जनरजसत ही न दकए गए ह ।

34. संि ण उपबधं सुसंगत तारीख ें कुछ भी हगते ुए भी, अजधजनय की धारा 6 की उपधारा (2), धारा 6 की उपधारा (4), और धारा 6क के उपबंध, दकसी उ्यम के दकसी जनयंत्रण, िेयर, ताजधकार या यजस्ट्त के अिा न, जनलयन या स ा ेलन पर लागू ह गे िग इन जनजनय के प्रनृत् त हगने की तारीख कग या उसके पश् चात पूणा तः या यंजिक ूपप से प्रभानी हगते ह:ै परंतु यह दक ऐसा अिा न, जनलयन या स ा ेलन अन्यथा अजधजनय की धारा 5 के उपबंध का स ाधान करता हग और उस तारीख कग यथालागू जिस तारीख कग ये जनजनय प्रनृत् त हगते ह,ैं इन जनजनय के उपबंध या तद्धीन बनाये गये जनय के अधीन छूट न िी गई हग:

6.5.4 जपछले तीन नषों ें सुसंगत उत्पाि और सेनाओं के जलए पांच सबसे बड़े प्रजतस्ट्पर्धा य का बािार िेयर; और

6.5.5 संयगिन के पिकार के बीच जन्यम ान प्रिाय इंतिा के साथ पूना जनत्तीय नषा के िौरान संव् यनहार की ात्रा और ूल्य और प्रत्येक बािार(बािार ) ें कुल जनिय/उपभगग के संबंध ें संबंजधत पिकार की ऐसे जनिय/उपभगग का प्रजतित।

6.7 ऐसे िेत्र(िेत्र ) का संजिप्त डसंहानलगकन जिस ें संयगिन के पिकार काया करते हैं। यदि संयगिन के पिकार स ान, एक िैसे, पूरक या संपूरक कारबार ें लगे हैं तग संबद्ध कारबार से संबंजधत बािार संरचना, जनजनया क रुपरेखा, नई प्रनज्ट और जनकास और कगई अन् य सुसंगत िानकारी भी उपलब् ध कराएं।

6.8 यदि संयगिन के पिकार ें कगई, जपछले पांच नषों के िौरान अजधजनय के दकसी उपबंध के अधीन या उसके अनुसरण ें ययगग के स ि या अन्य प्रजतस्ट्पधाा प्राजधकारी(प्राजधकाठरय ) के स ि दकसी काया नाही (काया नाजहय ) ें पिकार था, तग कजथत काया नाही के ब् यौरे उपलब् ध कराएं। भाग VII: हठरत चनै ल

8. जनम् नजलजखत िस्ट् तानेि संलग्न करें:

8.1 सूचना पर हस्ट् तािर करने के जलए प्राजधकार (उपयुा क् त ि 1.6 िेखें)।

8.2 ययगग कग फीस के संिाय के जलए अजभस्ट्न ीकृजत (उपयुा क् त ि 2 िखे ें)।

8.3 संसूचना प्राप्त करने के जलए प्राजधकार (उपयुा क् त ि 3 िखे ें)

8.4 संयगिन के पिकार की पूना नती जनत्तीय नषा की नार्षा क ठरपगटा ।

8.5 जनजनय 4 के उपजनजनय (1) के स्ट्प्ट ीकरण (च) और (ि) के अधीन जनर्ि‍ा ट िस्ट् तानेि, यदि लागू ह ।

8.6 इन जनजनय के जनजनय 13 के उपजनजनय (2) के जनबंधन के अनुसार संयगिन का संजिप्त जननरण।

8.7 संयगिन पूना और संयगिन पश्च (क) अपने अंजत ूल अजस्ट्तत् न और जनयंत्रक िेयरधारक(िेयरधारक ) से प्रारंभ करते ुए संयगिन के पिकार का; और (ख) उ्यम , जिनकी संरचना, स्ट्नाज त्न और जनयंत्रण प्रत्यि या अप्रत्यि ूपप से संयगिन से प्रभाजनत ह गे, के जलए स्ट् नाज त् न और ताजधकार (यदि स्ट् नाज त् न पैटना से जभन् न ह)ै की िेयरधाठरता/सी ा ििाा ने नाले चाटा के साथ जनयंत्रण के ब् यौरे।

8.8 इन जनजनय के जनजनय 5 के साथ पठित धारा 6 की उपधारा (2) ें यथाजनर्ि्ट ा अनु गिन या करार/िस्ट्तानेि की प्रजत।

8.9 प्रस्ट् ताजनत संयगिन के संबंध ें, संयगिन के पिकार और/या उनके सुसंगत स ूह अजस्ट्तत् न के जनिेिक ंडल और/या ुख्य प्रबंधकीय व् यजतिय द्वारा जनचार दकए गए और/या कग प्रस्ट् तुत दकए गए िस्ट् तानेि, सा ोी (जिसके अंतगा त ठरपगटा , अध्य यन, यगिना, अन् य िसतानेि का ननीनत पाि भी हैं), यदि।

8.10 यदि प्रस्ट्ताजनत संयगिन के जलए सूचना हठरत चैनल के अधीन है, तग अनुसूची III जनबंधन के अनुसार घगषणा।

5.2. संयगिन कग प्रभान िने े के प्रि के साथ संयगिन के प्रत् येक प्रि (प्रि ) के जलए स यसी ा।

5.3. संयगिन के यर्था क और नीजतगत प्रयगिन (जिसके अंतगा त संयगिन के प्रत् येक पिकार के जलए कारबार उदेशेश् य और औजचत् य और नह रीजत भी ह ैजिस ें ने उसे पाए िाने के जलए यिजयत हैं)

6.2.1. भारत ें अजस्ट्तत् न और भारत ें जन्यम ानता (उिाहरण के जलए, जनिय कायाा लय, कारखाना, संपका कायाा लय, िाखा कायाा लय, फ्रेंचाइिी या भारत से बाहर कगई अजस्ट्तत् न के ाध्य से, यदि)

6.2.2. जपछले एक नषा के िौरान सीईर/सीएफर/जनििे क/भागीिार/न् यासी/प्रभारी व्यजतिय/अन्य प्र ुख प्रबंधकीय व्यजतिय;

6.2.3. भारत ें प्रयुक्त व् यापार का ना , कारबार का ना और ब्ांड का ना ; और

6.2.4. जनश् न भर ें और भारत ें दियाकलाप का डसंहानलगकन, यथा लागू।

6.3. यगिन के पिकार के उत् पाि (जनजनर् ा त, प्रिाजयत, जनतठरत, और/या जनिीत) और/या प्रिान की िाने नाली18 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] सेनाओं की सूची/ब् यौरे।

6.4. अनप्रु स्ट्थ अिं छािन – सभी सत्य ाभाषी अनकु ल्प (अनकु ल्प ) पर जनचार करत े ुए, कृपया कथन करें दक क्य ा संयगिन के पिकार और/या उनके संबंजधत स ूह अजस्ट्तत् न, प्रत् यि या अप्रत् यि ूपप से, एक िैसे या स ान या प्रजतस्ट् थापनीय उत् पाि या सेनाओं का उत् पािन करते ह/ैंप्रिान करते हैं:

6.4.3. संयगिन के प्रत् येक पिकार (जिसके अंतगा त उनके सुसंगत स ूह अजस्ट्तत् न भी ह)ैं का, जपछले पांच नषों के जलए बािार िेयर(िेयर ) के प्राक् कलन के साथ जनिय के ूल् य (रुपये ें) और ात्रा (यूजनट ें) ;

6.4.4. प्रत् येक पिकार के बािार ें क से क पांच प्रजतित का बािार िेयर रखने नाले प्रजतस्ट्पर्धा य (उनके जपछले पांच नषों के बािार िेयर के साथ), ोाहक (जपछले पांच नषों के जलए पिकार द्वारा की गई प्रिायती ें उनके व् यज्ट क िेयर के साथ) और प्रिायकताा ओं (जपछले पांच नषों के जलए पिकार द्वारा दकए गए उपापन ें उनके व् यज्ट क िेयर के साथ) के ना और संपका ब् यौरे;

6.4.5. बाज़ार की संरचना और ांग के ब् यौरे:

6.4.5.1. संयगिन पूना और संयगिन पश् च सुसंगत बािार(बािार ) ें उ्यम सीयर4 सूचकांक और एचएचयई (हर्फा नडाहल - जहिा ैन सूचकांक) की संख्याक के जनबंधन के अनुसार सकेन् द्रण का स्ट्तर;

6.4.5.2. सुसंगत बािार(बािार ) ें प्रजतस्ट्पधाा की प्रकृजत और सी ा, बाज़ार अध्ययन, पूनाा नु ान, सनेिण यदि द्वारा स र्था त (यदि कगई हग);

6.4.5.3. लिण , गुणनत्ता, की त, यिजयत उपयगग, उपयगक् ता अनुभन यदि के जनबंधन के अनुसार उत्पाि अंतर और जडोी की सी ा और हत् ता जिस तक संयगिन के पिकार के उत्पाि या सेनाएाँ करीबी प्रजतस्ट् थापन ह;ैं

6.4.5.4. एक प्रिायकताा से िसू रे प्रिायकताा या एक उत्पाि से िसू रे उत्पाि ें बिलने के जलए बिलने ें यसानी और उस ें अंतना जलत लागत (स य और व्यय के जनबंधन के अनुसार);

6.4.5.5. बािार ें हाल के व्यनधान के ब् यौरे, चाह ेनह प्रौ्यमगजगक हग या कारबार ॉडल ें या कगई उत्पाि या प्रदिया ननाचार(ननाचार ) ें कगई पठरनता न हग या दकसी अन्य ाध्य से जिसने बािार कग बिल दिया है; और

6.4.5.6. ययात द्वारा लगाई गई प्रजतस्ट्पधाा बाधा की जडोी।

6.4.6. कानूनी और जनजनया क रुपरेखा के ब् यौरे:

6.4.6.1. जनजनय /कानून/जनय /प्रदियाएं/िासकीय प्रेस ठटप्प ण/जनििे /अजधसचू ना/टैठरफ और गैर-टैठरफ जनजनय न, यदि, िग संयगिन के पिकार के एक िैसे या स ान या प्रजतस्ट्थापनीय उत्पाि या सेनाओं के उत्पािन, प्रिाय, जनतरण का जनबबंधधन करते हैं;

6.4.6.2. एक िैसे या स ान या प्रजतस्ट्थापनीय उत्पाि या सेनाओं के संबंध ें सरकार/जनभाग /प्राजधकरण द्वारा जनजहत स्ट्थानीय जनजनििे न;[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 19

6.4.6.3. एक िैसे या स ान या प्रजतस्ट्थापनीय उत्पाि या सेनाओं के उत्पािन/प्रिाय के जलए सुजनधाएं स्ट्थाजपत करने के जलए अनुज्ञापन/रजिस्ट्र ीकरण संबंधी अपेिाएं; और

6.4.6.4. सरकारी उपापन नीजतयां िग संयगिन के पिकार या उनके प्रजतस्ट्पर्धा य कग जनिेष अजभ ुजतिय प्रस्ट् थाजपत करती हैं।

6.4.7. अनुसंधान और जनकास (यर एंड डी):

6.4.7.1. दकसी उ्यम कग प्रजतस्ट्पधी बने रहने या सुसंगत बािार(बािार ) ें बचे रहने ें स था बनाने के प्रजत अनुसंधान और जनकास ि ताओं और बौजद्धक संपिा अजधकार रखने की हत् ता;

6.4.7.2. जपछले पांच नषों ें संयगिन के पिकार द्वारा दकए गए अनुसंधान और जनकास के दियाकलाप की प्रकृजत और सी ा, यदि कगई हग, और संयगिन के पिकार के पास जन्यम ान भौजतक बौजद्धक संपिा अजधकार;

6.4.7.3. संयगिन के साथ और संयगिन के जबना, संयगिन के पिकार की अनुसूजचत और/या यिजयत अनुसंधान और जनकास के दियाकलाप। संयगिन के पिकार की अनुसंधान और जनकास के दियाकलाप की सी ा, प्रकृजत और/या यकार पर संयगिन का प्रभान, और संबंजधत बािार(बािार ) ें प्रजतस्ट्पधाा पर ऐसे पठरनतना का संभाजनत प्रभान; और

6.4.7.4. सुसंगत प्रौ्यमगजगदकय के उपापन ें यसानी जिसके अंतगा त ययात और पहले से तैयार (ऑफ िेल्फ) खरीि भी ह।ै

6.4.8. सुसंगत बािार(बािार ) ें प्रनेि:

6.4.8.1. सुसंगत बािार(बािार ) ें प्रनेि कग प्रभाजनत करने नाले कारक;

6.4.8.2. जपछले पांच नषों ें सुसंगत बािार(बािार ) ें प्रनेि करने नाले या प्रनेि करने का प्रयास करने नाले उ्यम (उ्यम ) का ब् यौरा;

6.4.8.3. यगा ी िग नषों के भीतर सुसंगत बािार(बािार ) ें हत्नपूणा यकार के उ्यम के प्रनेि की संभानना का ब् यौरा;

6.4.8.4. जपछले पांच नषों के िौरान सुसंगत उत्पाि(उत् पाि )/सेना(सेनाओं) के जलए भारत के दकसी भौगगजलक िेत्र ें संयगिन के दकसी पिकार द्वारा प्रनेि या प्रनेि के प्रयास का ब् यौरा; और

6.4.8.5. संयगिन के पिकार द्वारा उसी सुसंगत बािार(बािार ) ें पाइपलाइन ें हगने नाले अिा न का ब् यौरा।

6.4.9. सुसंगत बािार(बािार ) से जनकास:

6.4.9.1. जपछले पांच नषों ें सुसंगत बािार(बािार ) से जनकास या जनकास करने का प्रयास करने नाले उ्यम (उ्यम ) का ब् यौरा;

6.4.9.2. यगा ी िग नषों के भीतर सुसंगत बािार(बािार ) ें हत्नपूणा यकार के उ्यम (उ्यम ) के जनकास की संभानना का ब् यौरा;

6.4.9.3. संयगिन के पठरणा स्ट् नूपप या सयं गिन कग अोसर करने के संबंध ें, संयगिन के पिकार द्वारा प्रस्ट् थाजपत स ान, एक िैसे या प्रजतस्ट्थापनीय उत्पाि (उत्पाि ) और/या सेना (सेनाओं) के प्रिाय की व् याजि और/या प्रकृजत/जनस्ट्तार/ ात्रा ें पठरनता न ें संभाजनत अपचयन का ब् यौरा;

6.4.9.4. संयगिन के पिकार द्वारा उसी सुसंगत बािार(बािार ) ें पाइपलाइन ें हगने नाले उत्पाि या सेनाओं, जनयगजित जनस्ट्तार (चाह े ि ता या भौगगजलक िेत्र यदि के जनबंधन के अनुसार है) का ब् यौरा, संयगिन की अनुपजस्ट्थजत, और ऐसे उत्पाि या सेनाओं पर संयगिन का संभाजनत प्रभान या जनस्ट्तार।

6.4.10. ययात के ब् यौरे;

6.4.11. जनयाा त के ब् यौरे; और

6.4.12. अजधजनय की धारा 20 की उपधारा (4) के अधीन दिये गये कारक के प्रजतजनििे के अनुसार िानकारी।

6.5. लंबनत और सपं रू क दियाकलाप: सभी सत् याभाषी अनुकल् प(अनुकल् प ) पर जनचार करते ुए, कृपया कथन करें दक क् या संयगिन के पिकार और/या उनके संबंजधत स ूह अजस्ट्तत् न ें से कगई, प्रत् यि या अप्रत् यि ूपप से, ऐसे उत् पाि के उत् पािन, प्रिाय, जनतरण, भंडारण, जनिय और सेना या व् यापार या सेनाओं के उपबंध से संबंजधत20 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] ऐसे दकसी दियाकलाप ें लगा है, िग ऐसे उत् पािन रृंृंखला के जनजभन् न प्रि या स्ट्त र पर ह,ैं जिन ें सयं गिन का कगई अन् य पिकार अंतना जलत है:

6.5.2. सुसंगत उत्पाि और/या सेनाओं के जलए जपछले पांच नषों का बािार यकार;

6.5.3. जपछले पांच नषों ें सुसंगत उत्पाि और सेनाओं के जलए पांच सबसे बड़े प्रजतस्ट्पर्धा य का बािार िेयर; और

6.5.4 सुसंगत उत्पाि और सेनाओं के जलए क से क पांच प्रजतित की बािार िेयर (साथ ही जपछले पांच नषों के जलए उनका बािार िेयर) नाले सबसे बड़े प्रजतस्ट्पर्धा य का ना और संपका का ब् यौरा;

6.5.5. उध्न प्रा नाह बािार ें उपजस्ट्थजत नाले प्रत्येक पिकार के पांच सबसे बड़े ोाहक के ना और संपका के ब् यौरे के साथ जपछले पांच नषों ें पिकार(पिकार ) द्वारा दकये गये प्रिाय ें ऐसे ोाहक का व् यज्ट क िेयर;

6.5.6. अनुप्रनाह बािार ें उपजस्ट्थजत नाले प्रत्येक पिकार के पांच सबसे बड़े प्रिायकताा ओं के ना और संपका के ब् यौरे के साथ जपछले पांच नषों ें पिकार(पिकार ) द्वारा दकये गये उपापन ें ऐसे प्रिायकताा ओं का व् यज्ट क िेयर;

6.5.7. संयगिन के पिकार के बीच जन्यम ान प्रिाय इंतिा के साथ पूना जनत्तीय नषा के िौरान संव् यनहार की ात्रा और ूल्य और प्रत्येक बािार(बािार ) ें कुल जनिय/उपभगग के संबंध ें संबंजधत पिकार की ऐसे जनिय/उपभगग का प्रजतित;

6.5.8 बाज़ार की संरचना और ांग के ब् यौरे:

6.5.8.1. संयगिन पूना और संयगिन पश् च सुसंगत बािार(बािार ) ें उ्यम सीयर4 सूचकांक और एचएचयई (हर्फा नडाहल - जहिा ैन सूचकांक) की संख्याक के जनबंधन के अनुसार सकेन् द्रण का स्ट्तर;

6.5.8.2. सुसंगत बािार(बािार ) ें प्रजतस्ट्पधाा की प्रकृजत और सी ा, बाज़ार अध्ययन, पूनाा नु ान, सनेिण यदि द्वारा स र्था त (यदि कगई हग);

6.5.8.3. एक प्रिायकताा से िसू रे प्रिायकताा या एक उत्पाि से िसू रे उत्पाि ें बिलने के जलए बिलने ें यसानी और उस ें अंतना जलत लागत (स य और व्यय के जनबंधन के अनुसार);

6.5.8.4. बािार ें हाल के व्यनधान के ब् यौरे, चाह े नह प्रौ्यमगजगक हग या कारबार ॉडल ें या कगई उत्पाि या प्रदिया ननाचार(ननाचार ) ें कगई पठरनता न हग या दकसी अन्य ाध्य से जिसने बािार कग बिल दिया है; और

6.5.8.5. ययात द्वारा लगाई गई प्रजतस्ट्पधाा बाधा की जडोी।

6.5.9 कानूनी और जनजनया क रुपरेखा के ब् यौरे:

6.5.9.1 जनजनय /कानून/जनय /प्रदियाएं/िासकीय प्रेस ठटप्प ण/जनििे /अजधसचू ना/टैठरफ और गैर-टैठरफ जनजनय न, यदि, िग संयगिन के पिकार के एक िैसे या स ान या प्रजतस्ट्थापनीय उत्पाि या सेनाओं के उत्पािन, प्रिाय, जनतरण[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 21 का जनबबंधधन करते हैं;

6.5.9.2 सुसंगत उत्पाि या सेनाओं के संबंध ें सरकार/जनभाग /प्राजधकरण द्वारा जनजहत स्ट्थानीय जनजनििे न;

6.5.9.3 सुसंगत उत्पाि या सेनाओं के उत्पािन/प्रिाय के जलए सुजनधाएं स्ट्थाजपत करने के जलए अनुज्ञापन/रजिस्ट्र ीकरण संबंधी अपेिाएं; और

6.5.9.4 सरकारी उपापन नीजतयां िग संयगिन के पिकार या उनके प्रजतस्ट्पर्धा य कग जनिेष अजभ ुजतिय प्रस्ट् थाजपत करती हैं।

6.5.10 अनुसंधान और जनकास (यर एंड डी):

6.5.10.1 दकसी उ्यम कग प्रजतस्ट्पधी बने रहने या सुसंगत बािार(बािार ) ें बचे रहने ें स थ ा बनाने के प्रजत अनुसंधान और जनकास ि ताओं और बौजद्धक संपिा अजधकार रखने की हत् ता; और

6.5.10.2 जपछले पांच नषों ें संयगिन के पिकार द्वारा दकए गए अनसु धं ान और जनकास के दियाकलाप की प्रकृजत और सी ा, यदि कगई हग, और संयगिन के पिकार के पास जन्यम ान भौजतक बौजद्धक संपिा अजधकार; और

6.5.10.3 सुसंगत प्रौ्यमगजगदकय के उपापन ें यसानी जिसके अंतगा त ययात और पहले से तैयार (ऑफ िेल्फ) खरीि भी है।

6.5.11 सुसंगत बािार(बािार ) ें प्रनेि:

6.5.11.1 सुसंगत बािार(बािार ) ें प्रनेि कग प्रभाजनत करने नाले कारक;

6.5.11.2 जपछले पांच नषों ें सुसंगत बािार(बािार ) ें प्रनेि करने नाले या प्रनेि करने का प्रयास करने नाले उ्यम (उ्यम ) का ब् यौरा;

6.5.11.3 यगा ी िग नषों के भीतर सुसंगत बािार(बािार ) ें हत्नपूणा यकार के उ्यम के प्रनेि की संभानना का ब्य ौरा;

6.5.11.4 जपछले पांच नषों के िौरान सुसंगत उध्न ा प्रनाह या अनुप्रनाह बािार ें संयगिन के दकसी पिकार द्वारा प्रनेि या प्रनेि के प्रयास का ब् यौरा;

6.5.11.5 सुसंगत उध्न प्रा नाह उत् पाि/सेना या अनुप्रनाह उत्पाि/सेना ें भारत ें दकसी भौगगजलक िेत्र ें यगिनाबद्ध प्रनेि का ब् यौरा, चाह े नह ि ता या भौगगजलक िेत्र यदि के जनबंधन के अनुसार हग; और

6.5.11.6 संयगिन के पिकार द्वारा उसी सुसंगत उध् नप्रा नाह या अनुप्रनाह बािार ें पाइपलाइन ें हगने नाले अिा न का ब् यौरा।

6.5.12 सुसंगत बािार(बािार ) से जनकास:

6.5.12.1 जपछले पांच नषों ें सुसंगत बािार(बािार ) से जनकास या जनकास करने का प्रयास करने नाले उ्यम (उ्यम ) का ब् यौरा;

6.5.12.2 यगा ी िग नषों के भीतर सुसंगत बािार(बािार ) ें हत्नपूणा यकार के उ्यम (उ्यम ) के जनकास की संभानना का ब् यौरा;

6.5.13 ययात के ब् यौरे;

6.5.14 जनयाा त के ब् यौरे; और

6.5.15 अजधजनय की धारा 20 की उपधारा (4) के अधीन दिये गये कारक के प्रजतजनििे के के अनुसार िानकारी।

6.6 क् या संयगिन के पिकार ें से दकसी के पास या उनके स ूह अजस्ट्तत् न ें से दकसी के पास दकसी अन् य उ्यम (उ्यम ) ें प्रत् यि या अप्रत् यि िेयर धाठरता और/या जनयंत्रण ह ै िग (क) एक िैसे या स ान या प्रजतस्ट् थापनीय उत् पाि के उत् पािन, जनतरण या व् यापार या एक िैसे/स ान/प्रजतस्ट् थापनीय सने ाओं के उपबंध; और/या (ख) उत् पाि के उत् पािन, प्रिाय, जनतरण, भंडारण, जनिय और सेना या व् यापार या सेनाओं के उपबंध से संबंजधत कगई ऐसे दियाकलाप िग ऐसे उत् पािन रृंृंखला के जनजभन् न प्रि या स्ट् तर पर हैं, जिन ें संयगिन का कगई अन् य पिकार अंतना जलत है; और/या (ग) संपूरक दियाकलाप ें लगा ह।ै यदि हां तग उपयुा क् त ि 6.1 से 6.5 के अनुसार ब् यौरे और यनश् यक िानकारी के साथ प्रत्यि या अप्रत्यि िेयरधाठरता, दकसी अजधकार का प्रयगग करने का अजधकार या ि ता (जिसके अंतगा त दकसी22 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] पिकार या उसके सबंद्ध के साथ नाजणजज्यक प्रकृजत के कगई लाभ भी ह)ै कग जनिर्ि ा त करने नाली सारणीबद्ध प्रस्ट्तुजतकरण उपलब् ध कराएं िग सा ान्य िेयरधारक कग उपलब्ध न हग और िग दकसी अन् य उ्यम ें जनििे क या पया नेिक कग ना ांदकत करने का अजधकार या ि ता रखता हग;

6.7 ऐसे िेत्र(िेत्र ) का संजिप्त डसंहानलगकन जिस ें संयगिन के पिकार काया करते हैं;

6.8 यर्था की, बािार(बािार ) और ोाहक पर संयगिना का संभाजनत प्रभान; और

6.9 यदि संयगिन के पिकार ें कगई, जपछले पांच नषों के िौरान अजधजनय के दकसी उपबंध के अधीन या उसके अनुसरण ें ययगग के स ि या अन्य प्रजतस्ट्पधाा प्राजधकारी(प्राजधकाठरय ) के स ि दकसी काया नाही (काया नाजहय ) ें पिकार था, तग कजथत काया नाही के ब् यौरे उपलब् ध कराएं। भाग VII: संलग्न क

7. जनम् नजलजखत िस्ट् तानेि संलग्न करें:

7.1. सूचना पर हस्ट् तािर करने के जलए प्राजधकार (उपयुा क् त ि 1.6 िखे ें)।

7.2. ययगग कग फीस के संिाय के जलए अजभस्ट्न ीकृजत (उपयुा क् त पैराोाफ 2 िखे ें)।

7.3. संसूचना प्राप्त करने के जलए प्राजधकार (उपयुा क् त पैराोाफ 3 िखे ें)

7.4. संयगिन के पिकार की पूना नती जनत्तीय नषा की नार्षा क ठरपगटा ।

7.5. जनजनय 4 के उपजनजनय (1) के स्ट्प्ट ीकरण (च) और (ि) के अधीन जनर्ि‍ा ट िस्ट् तानेि, यदि लागू ह ।

7.6. इन जनजनय के जनजनय 13 के उपजनजनय (2) के जनबंधन के अनुसार संयगिन का संजिप्त जननरण।

7.7. प्रस्ट्ताजनत संयगिन का (क) संयगिन के पिकार; (ख) संयगिन की प्रकृजत; (ग) संयगिन के पिकार के दियाकलाप के िेत्र; (घ) बािार (इसके अंतगा त उसकी संरचना और प्रजतस्ट्पधाा की जस्ट्थजत भी है) जिस ें संयगिन का प्रभान पड़ेगा या पड़ने की संभानना है; (ड.) अजधजनय की धारा 20 की उपधारा

(4) के जनबंधन के अनुसार िानकारी; और (च) संयगिन के जनजभन्न प्रक कग पूणा करने के जलए अपेजित स य-सी ा जनजनर्ि्ट ा करते ुए काया कारी संजिप्त ब् यौरा।

7.8. संयगिन पूना और संयगिन पश् च (क) अपने अंजत लू अजस्ट्तत् न और जनयंत्रक िेयरधारक(िेयरधारक ) से प्रारंभ करते ुए संयगिन के पिकार का; और (ख) उ्यम , जिनकी संरचना, स्ट्नाज त्न और जनयंत्रण प्रत्यि या अप्रत्यि ूपप से संयगिन से प्रभाजनत ह गे, के जलए स्ट् नाज त् न और ताजधकार (यदि स्ट् नाज त् न पैटना से जभन् न ह)ै की िेयरधाठरता/सी ा ििाा ने नाले चाटा के साथ जनयंत्रण के ब् यौरे।

7.9. संयगिन के प्रत्येक पिकार का ननीनत संगिनात् क चाटा ।

7.10. इन जनजनय के जनजनय 5 के साथ पठित धारा 6 की उपधारा (2) ें यथाजनर्ि्ट ा अनु गिन या करार/िस्ट्तानेि की प्रजत।

7.11. प्रस्ट् ताजनत संयगिन के संबंध ें, संयगिन के पिकार और/या उनके सुसंगत स ूह अजस्ट्तत् न के जनििे क ंडल और/या ुख् य प्रबंधकीय व् यजतिय द्वारा जनचार दकए गए और/या कग प्रस्ट् तुत दकए गए िस्ट् तानेि, सा ोी, जिसके अंतगा त ठरपगटा , अध्य यन, यगिना, अन् य िसतानेि का ननीनत पाि भी हैं, यदि।

NOTIFICATION New Delhi, the 9th September, 2024 The Competition Commission of India (Combinations) Regulations, 2024 (No. 07 of 2024) F.No.CCI/CD/Comb. Regl./2024-- In exercise of the powers conferred by sub-section (1) and clauses (b), (c), (ca),

(cb), (cc), (f) and (fc) of sub-section (2) of section 64 read with sub-sections (2) and (4) of section 6, section 6A and sub-section (2) of section 29A of the Competition Act, 2002 (12 of 2003), the Competition Commission of India hereby makes the following regulations, namely: -

1. 1. Short title and commencement.

These regulations may be called the Competition Commission of India (Combinations)

(1) Regulations, 2024.

They shall come into force on 10th day of September, 2024.

(2) Definitions.

In these regulations, unless the context otherwise requires, —

(1)

(a) “Act” means the Competition Act, 2002 (12 of 2003) as amended from time to time;

(b) “Parties to the combination” means persons or enterprises entering into the combination and shall include the combined entity if the combination has come into effect;

(c) “Relevant date” means the date on which the approval of the proposal relating to merger or amalgamation is accorded by board of directors or the date of execution of agreement or the date of such other document for acquisition or acquiring of control referred to in sub-section (2) of Section 6 of the Act.

For the purposes of these regulations, reference to “days” shall mean calendar days unless

(2) otherwise specified in these regulations or the Act.

Words and expressions used but not defined in these regulations shall have the same meaning

(3) respectively as assigned to them in the Act or the rules or regulations framed thereunder or in the Companies Act, 2013 (18 of 2013).

Power to determine procedure in certain circumstances.

In a situation not provided for in these regulations or the Competition Commission of India (General) Regulations, 2024, the Commission may determine the procedure, in such matters, if so required.

Value of transaction and substantial business operations in India.

4.

(1) The value of transaction for the purpose of clause (d) of section 5 of the Act shall include every valuable consideration, whether direct or indirect, immediate or deferred, cash or otherwise, including but not limited to the consideration, —

(a) for any covenant, undertaking, obligations or restrictions imposed on seller or any other person, if such consideration is agreed separately;

(b) for all inter-connected steps and transactions, as provided in sub-regulation (4) and (5) of regulation 9 of these regulations;

(c) payable during two years from the date on which the transaction would come into effect for arrangement(s) entered into as a part of the transaction or incidental thereto including but not limited to technology assistance, licensing of intellectual property rights, usage rights of any product, service or facility, supply of raw materials or finished goods, branding and marketing;

(d) for call option and shares to be acquired thereof assuming full exercise of such option;

(e) payable, as per best estimates, based on the future outcome specified under the transaction documents.

Explanation. ─For the purpose of this sub-regulation,26 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

(a) the value of future payments shall not be discounted to present value;

(b) the rate of conversion of foreign currency into Indian Rupees shall be average spot rate for last six months quoted by the Reserve Bank of India from the relevant date;

(c) value of transaction shall include consideration for any acquisition by one of the parties or its group entity in the enterprise being acquired or merged or amalgamated in the transaction, anytime during the period of two years before the relevant date;

(d) in case of implementation of an open offer under the regulations issued by Securities and Exchange Board of India or any other law for the time being in force, the person required to give notice shall assume full subscription to the offer for the purpose of computation of value of transaction;

(e) the value of transaction does not include transaction costs such as fees payable for legal advice, to investment banks, to regulators, to statutory authorities, etc.;

(f) In case of merger or amalgamation or where true and complete value of the transaction is not recorded in transaction documents, the value of that transaction or component thereof shall be the same as considered by the board of directors or any other approving authority of the person obligated to file notice under these regulations;

(g) if value of transaction cannot be established with reasonable certainty, by the board of directors or any other approving authority of the person obligated to file notice under these regulations, the value of the transaction may be considered as exceeding the amount specified in clause (d) of section 5 of the Act;

(h) the best estimate shall be the estimate of the board of directors or any other approving authority of the person obligated to file notice under these regulations recorded by it in its approval. If the estimate is not recorded by the board of directors or any other approving authority of the person obligated to file notice in its approval, the maximum payable amount shall be considered as the best estimate.

(2) For the purpose of proviso to clause (d) of section 5 of the Act, the enterprise referred therein shall be deemed to have substantial business operations in India, if:

(a) for digital services provided, the number of its business users or end users in India is 10% or more of its total global number of such users; or

(b) its gross merchandise value for the period of twelve months preceding the relevant date in India is:

(i)10% or more of its total global gross merchandise value, and

(ii) more than rupees five hundred crores; or

(c) its turnover during the preceding financial year in India is:

(i)10% or more of its total global turnover derived from all the products and services, and

(ii) more than rupees five hundred crores.

Explanation 1.─ Sub-clause (ii) of clause (b) and sub-clause (ii) of clause (c) of this sub-regulation shall not apply to digital services.

Explanation 2.─ For the purpose of this sub-regulation,

(a) “gross merchandise value” means cash, receivables, or other consideration either for or facilitating, sale of goods and/ or provision of services, by an enterprise, on its own or as an agent or otherwise;

(b) where a portion of an enterprise or division or business is being acquired, taken control of, merged or amalgamated, the number of its business users or end users, gross merchandise value or turnover, as may be applicable, of the said portion or division or business attributable to it, shall be relevant business users or end users, gross merchandise value or turnover;

(c) proportion of business users or end users, shall be computed on the basis of average number of such users, for three hundred and sixty five days preceding the relevant date;

(d) Digital service means the provision of a service or one or more pieces of digital content, or any other activity by means of an internet whether for consideration or[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 27 otherwise to the end user or business user, as the case may be;

(e) Business user means any natural or legal person supplying or providing goods or services, including through the use of digital services;

(f) End user means any natural or legal person using digital services other than as a business user, for informational or transactional purpose.

Form of notice for the proposed combination.

5.

The notice under sub-section (2) of section 6 of the Act or clause (a) of section 6A of the

(1) Act, shall ordinarily be filed in Form I as specified in schedule I to these regulations, duly filled in and accompanied by evidence of payment of requisite fee.

Notwithstanding anything contained in sub-regulation (1), the person required to give

(2) notice may, at their option, give notice in Form II, as specified in schedule I to these regulations, preferably in the instances where -

(a) the parties to the combination are engaged in production, supply, distribution, storage, sale or trade of similar or identical or substitutable goods or provision of similar or identical or substitutable services and the combined market share of the parties to the combination after such combination is more than fifteen percent (15%) in any of the relevant markets;

(b) the parties to the combination are engaged at different stages or levels of the production chain in different markets, in respect of production, supply, distribution, storage, sale or trade in goods or provision of services, and their individual or combined market share is more than twenty five percent (25%) in any of the relevant markets.

The person required to give notice shall give notice in Form I or Form II, as specified in

(3) schedule I to these regulations, as the case may be, in accordance with the notes to Form I and Form II issued by the Commission and published on its official website, from time to time.

A notice under clause (a) of section 6A of the Act read with sub-regulation (1) or (2) of

(4) this regulation shall be given within thirty days from the date of first acquisition of shares pursuant to the implementation of an open offer or an acquisition of shares or securities convertible into other securities from various sellers, through a series of transactions on a regulated stock exchange, along with the declaration specified in schedule II to these regulations and accompanied by evidence of payment of requisite fee.

The notice under sub-section (4) of section 6 of the Act shall be filed in Form I as

(5) specified in schedule I to these regulations, duly filled in along with the declaration specified in schedule III to these regulations, and accompanied by evidence of payment of requisite fee by the parties to the combination.

Having due regard to the provisions of sub-regulation (1), in cases where the notice is

(6) given in Form I and the Commission requires information in Form II to form prima facie opinion whether the combination is likely to cause or has caused appreciable adverse effect on competition within the relevant market, it shall direct the person required to

give notice to file notice in Form II as specified in schedule I to these regulations:

Provided that the fee already paid while giving notice in Form I shall be adjusted against the fee payable for giving notice in Form II if such notice is given within a period of forty-five days from the date of communication of the decision of the Commission.

The reference to the “board of directors” in clause (a) of sub-section (2) of section 6 of

(7) the Act, shall mean and include,—

(a) the individual himself or herself including a sole proprietor of a proprietorship firm;

(b) the karta in case of a Hindu Undivided Family (HUF);

(c) the board of directors in case of a company;

(d) in case of a corporation established by or under any Central, State or Provincial Act or an association of persons or a body of individuals, whether incorporated or not, in India or outside India or any body corporate incorporated by or under the laws of a country outside India or a cooperative society registered under any law relating to cooperative societies or a local authority, the person or the body so empowered by the legal instrument that created the said bodies;28 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

(e) in the case of a firm, the partner(s) so authorized;

(f) in the case of any other artificial juridical person not falling within any of the preceding sub-clauses, by that person or by some other person competent to act on his behalf.

Exercise of rights in case of open offer and acquisitions on stock exchanges.

6.

In case of an acquisition in respect of which notice under clause (a) of section 6A of the Act is required to be given, the acquirer could, —

(a) avail economic benefits such as dividend or any other distribution, subscription to rights issue, bonus shares, stock-splits and buy-back of securities;

(b) exercise voting rights only in matters relating to liquidation and/or insolvency

proceedings:

Provided that the acquirer, its group entities and other entities forming part of the same group including their affiliates shall not, directly or indirectly, influence the enterprise whose shares or securities are being acquired or any of its affiliate(s), in any manner whatsoever.

Request for confidentiality.

7.

(1) Any request for confidentiality of information or documents submitted during the inquiry shall be duly considered by the Commission having due regard to the procedure laid down in the Competition Commission of India (General) Regulations, 2024, as amended from time to time.

(2) The request under sub-regulation (1) shall clearly state the reasons, justification and implications for the business of the parties to the combination so that all relevant factors may be considered by the Commission while taking decision in the matter.

Failure to file notice.

8.

(1) Where the parties to a combination fail to file notice under sub-section (2) or (4) of

section 6 of the Act or clause (a) of section 6A of the Act or proviso to section 43A of the Act, the Commission may under sub-section (1) of section 20 of the Act, upon its own knowledge or information relating to such combination, inquire into whether such a combination has caused or is likely to cause an appreciable adverse effect on competition within India.

(2) Where the Commission decides to commence an inquiry, referred to in sub-regulation

(1), the Commission, without prejudice to any penalty which may be imposed or any prosecution which may be initiated under this Act, shall direct the person required to give notice to file notice in Form I or Form II as specified in schedule I to these regulations, as decided by the Commission.

(3) The notice, referred to in sub-regulation (2), shall be filed, within thirty days of receipt of communication from the Commission.

Obligation to file the notice.

9.

(1) In case of an acquisition or acquiring of control of enterprise(s), the acquirer shall file the notice in Form I or Form II as specified in schedule I to these regulations, as the case may be, which shall be duly signed by the person(s) as specified under regulation 11 of the Competition Commission of India (General) Regulations, 2024:

Provided that in case of a company, apart from the persons specified under clause (c) of sub-regulation (1) of regulation 11 of the Competition Commission of India (General) Regulations, 2024, Form I or Form II may also be signed by any person duly authorised by the company.

(2) In case the enterprise is being acquired without its consent, the acquirer shall furnish such information as is available to him, in Form I or Form II as specified in schedule I to these regulations, as the case may be, relating to the enterprise being acquired:

Provided that all information required to be filed, relating to the enterprise being acquired without its consent shall be filed with the Commission within ten days from filing of the notice and in case the acquirer is not in a position to furnish all the required information in Form I or Form II, as the case may be, relating to the enterprise being acquired, the Commission may direct the enterprise being acquired to furnish such information as it[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 29 deems fit and the time taken by the parties to the combination or the acquired enterprise, as the case may be, in furnishing the required information including document(s) shall be excluded from the time period provided in sub-section (2A) of section 6; sub-section

(1B) of section 29; and sub-section(6) of section 31 of the Act.

(3) In case of a merger or an amalgamation, parties to the combination shall jointly file the notice in Form I or Form II as specified in schedule I to these regulations, as the case may be, duly signed by the person as specified under regulation 11 of the Competition Commission of India (General) Regulations, 2024:

Provided that in case of a company, apart from the person specified under clause (c) of sub-regulation (1) of regulation 11 of the Competition Commission of India (General) Regulations, 2024, Form I or Form II may also be signed by any person duly authorised by the company.

(4) Where the ultimate intended effect of a business transaction is achieved by way of a series of steps or smaller individual transactions which are inter-connected, one or more of which may amount to a combination, a single notice, covering all these transactions, shall be filed.

(5) The requirement of filing notice under regulation 5 of these regulations shall be determined with respect to the substance of the transaction and any structure of the transaction(s), comprising a combination, that has the effect of avoiding notice in respect of the whole or a part of the combination shall be disregarded.

Obligation to pay the fee.

10.

(1) The person filing notice under regulation 5 or regulation 8 of these regulations shall pay the fee as specified under regulation 11 of these regulations.

(2) Where the notice is filed jointly, the fee shall be payable jointly or severally.

Amount of Fee.

11.

The amount of fee payable along with the notice in Form I or Form II as specified in schedule I to these regulations, as the case may be, shall be as under, —

(a) where the notice is filed in Form I, the fee payable shall be rupees thirty lakh only;

(b) where the notice is filed in Form II, the fee payable shall be rupees ninety lakh only.

Mode of payment.

12.

The fee may be paid either by tendering demand draft or pay order or bankers’ cheque, payable in favour of the Competition Commission of India (Competition Fund), New Delhi or through Electronic Clearance Service (ECS) by direct remittance to the Competition Commission of India (Competition Fund), Account No. 1988002100187687 with “Punjab National Bank, Bhikaji Cama Place, New Delhi- 110066”.

Procedure for filing notice.

13.

(1) The duly filled in notice under regulation 5 or regulation 8 of these regulations along with one copy and an electronic version thereof shall be delivered to the Commission at

the address published on its official website:

Provided that if the person required to give notice request for confidentiality of information or document(s) under sub-regulation (1) of regulation 7 of these regulations, such request may be filed as per the procedure laid down in the Competition Commission of India (General) Regulations, 2024, along with a duly filled in public version of the notice and an electronic version thereof.

(2) A summary of the combination, not containing any confidential information, in not more than 1000 words, comprising details regarding: (a) name of the parties to the combination; (b) the nature and purpose of the combination; (c) the products, services and business(es) of the parties to the combination; and (d) the respective markets in which the parties to the combination operate, shall be filed for the purpose of publishing the same on the website of the Commission.

(3) The Secretary shall issue an acknowledgement of the receipt of notice given pursuant to30 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] regulation 5 or regulation 8 of these regulations.

(4) All responses or other documents required to be filed before the Commission consequent to the filing of the notice under regulation 5 or regulation 8 of these regulations shall also be filed as per the procedure contained in sub-regulation (1):

Provided that for the purposes of this regulation, the Secretary may through public announcement inform the procedure for electronic filing, increase or decrease the number of copies or vary the format in which the electronic version is to be filed.

(5) The notice under sub-sections (2) and (4) of section 6 of the Act, clause (a) of section 6A of the Act, and sub-regulation (2) of regulation 8 of these regulations may be given electronically when the facility for the same is made available by the Commission.

Scrutiny of notice and inquiry.

14.

(1) The notice filed under regulation 5 or regulation 8 of these regulations shall not be valid unless it is complete and in conformity with these regulations.

(2) Where the information or document(s) contained in the notice under regulation 5 or regulation 8 of these regulations or any response filed pursuant to these regulations appears to be incomplete in any respect, the parties to the combination may be asked to remove such defect(s) or furnish the required information including document(s):

Provided that the defects in notice shall be communicated to the parties to the combination within ten working days of receipt of notice.

(3) The parties shall comply with the directions as referred to in sub-regulation (2) within the time specified by the Commission and the notice shall be deemed to have been given under regulation 5 or regulation 8 of these regulations only on the date of such compliance.

(4) Where, it is found by the Commission that it requires additional information, the Commission may direct the parties to the combination to file such additional information.

(5) The directions under sub-regulation (4) shall be complied within the time specified by the Commission and in the case of the notice filed under regulation 5 of these regulations, the time taken to furnish the required information including document(s) shall be excluded from the period provided in sub-section (2A) of section 6; sub-section (1B) of

Section 29; and sub-section (6) of section 31 of the Act.

(6) The Secretary shall place the proof of service of communications as referred to in sub- regulation (2), (3) and (4) on record.

(7) In case of failure to remove the defects or failure to furnish the required information including documents(s), within the time specified, the notice given under regulation 5 or regulation 8 of these regulations shall not be treated as a valid notice:

Provided that the Commission may give an opportunity of being heard to the parties to the combination in accordance with regulation 23 of these regulations before deciding to

invalidate a notice:

Provided further that the Commission may, after recording reasons, invalidate a notice given under regulation 5 or regulation 8 of these regulations when it comes to the knowledge of the Commission that such notice is not valid as per sub-regulation (1) and, in that case, the Secretary shall convey the decision of the Commission to person who

has given notice within seven days of such decision of the Commission:

Provided further that the period between the commencement of proceedings under this regulation till the decision of the Commission regarding validity of the notice, shall be excluded from the period specified in sub-section (2A) of section 6; sub-section (1B) of

section 29, and sub-section (6) of section 31 of the Act:

Provided further that where a notice is given again after invalidation, the fee already paid shall be adjusted against the fee to be paid in respect of the new notice if such notice is given within a period of forty-five days from the date of communication of the decision of the Commission.[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 31

(8) Where the Commission deems it necessary, it may call for information from any other person as to whether a combination has caused or is likely to cause an appreciable

adverse effect on competition in India:

Provided that the time taken in obtaining the information from such person(s) shall be excluded from the time provided in sub-section (2A) of section 6; sub-section (1B) of

section 29, and sub-section (6) of section 31 of the Act:

Provided further that where the Commission calls for information under this sub- regulation, the same shall be communicated by the Secretary to the person who has given notice.

Intimation of any change.

15.

(1) The person who has given notice under regulation 5 or regulation 8 of these regulations shall inform the Commission of any change in the information provided in the notice to the Commission within 10 working days from the date of issuance of acknowledgement by Secretary under sub-regulation (3) of Regulation 13.

(2) The Secretary shall place the information relating to any change in the notice before the Commission.

(3) The Commission shall assess the significance of the information relating to that change and, if satisfied, take on record the information received.

(4) Where the Commission is of the view that the change is likely to affect the factors for the determination of the appreciable adverse effect on competition significantly, it may after recording reasons, treat the notice already filed as not valid.

(5) Where the Commission has held a notice to be not valid under sub-regulation (4), the Secretary shall convey the decision of the Commission to the person who has given

notice within seven days of the decision of the Commission:

Provided that the fee already paid shall be adjusted against the fee to be paid in respect of the new notice if the notice is given within a period of forty-five days from the date of communication of the decision of the Commission.

Withdrawal and re-filing of notice.

16.

(1) At any time prior to the issuance of notice under sub-section (1) of section 29 of the Act, the Commission may on the request of the person who has given notice allow withdrawal of the notice given under regulation 5 or regulation 8 of these regulations.

(2) In case of withdrawal of notice under sub-regulation (1), the fee already paid in respect of such notice shall be adjusted against the fee payable in respect of new notice provided the new notice is given within forty-five days from the date of withdrawal.

Termination of proceedings.

17.

The proceedings under this Act relating to the combinations shall be terminated upon, —

(a) receiving an intimation from the person(s) or enterprise(s) who filed the notice to the effect that the proposed combination will not take effect;

(b) passing of an order by the Commission under section 31 of the Act:

Provided that if the approval of the Commission is conditional upon the parties to the combination carrying out modification to the combination, the proceedings shall terminate upon acceptance of the compliance report by the Commission under regulation 26 of these regulations.

Mode of service of notice(s), etc.

18.

Save as otherwise provided in the Act or in these regulations, the service of any communication or intimation to any person or enterprise under these regulations shall be effected in the manner as

provided in regulation 22 of the Competition Commission of India (General) Regulations, 2024 or by electronic transmission as considered appropriate by the Commission.

Calling for a report from the Director General.

19.

(1) After receipt of the response to the notice to show cause under sub-section (1) of section 29 of the Act, the Commission may decide to call for a report from the Director General32 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] under sub-section (1A) of section 29 of the Act within the time as specified by the Commission.

(2) The Secretary shall convey the direction of the Commission under sub-regulation (1) to the Director General, along with copy of the notice with all other documents, materials, affidavits, statements, which have been filed or are otherwise available with the said notice and a copy of the show-cause notice issued under sub-section

(1) of section 29 of the Act and response thereto.

Report by the Director General.

20.

(1) The Director General shall include in his report the basis of having reached the conclusions therein together with all evidences or documents or statements collected during the investigation and analysis thereof.

(2) Two copies of the report of the Director General duly signed on each page by the Director General, or his authorized officer, along with an electronic version in document format, shall be forwarded to the Secretary within the time specified by

the Commission:

Provided that the Secretary may increase or decrease the number of copies of the report and may permit electronic transmission of the same.

Publication of the details of the combination.

21.

(1) Where the Commission under sub-section (2) of section 29 of the Act is of the prima facie opinion that the combination has caused or is likely to cause appreciable adverse effect on competition within the relevant market in India, the Secretary shall convey the direction of the Commission to the person who has given notice, to publish the details of the combination within seven days of such direction.

(2) The details of combination shall be published by the parties in Form III, as specified in schedule I to these regulations.

(3) The parties shall submit the details of combination to be published under sub-regulation

(2) to the Commission before its publication and the Commission may host the same on its official website.

(4) The details of the combination to be published under sub-regulation (2) shall, also be hosted by the parties on their websites not later than the time specified in sub-regulation

(1).

(5) The parties shall publish the details of the combination under sub-regulation (2), not later than the time specified in sub-regulation (1), in all India editions of four leading daily newspapers including at least two business newspapers.

Proof of publication.

22.

The person who has given notice shall submit copies of publication, referred to in regulation 21 of these regulations, to the Secretary, not later than the two days from the date of publication of the details of the combination.

Appearance of the parties before the Commission.

23.

Where the Commission deems it necessary to give an opportunity of being heard to the parties to the combination at any time during its inquiry, the Secretary shall issue a notice conveying the directions of the Commission to the said parties, to appear before it on the date and time, as

directed by the Commission:

Provided that the period between the date of issue of notice and the date of hearing scheduled therein, not exceeding ten days, shall be excluded from the period specified in sub-section (2A) of

section 6; sub-section (1B) of section 29; and sub-section (6) of section 31 of the Act:

Provided further that if the parties to the combination seek additional time to appear before the Commission, such time shall be excluded from the period specified in sub-section (2A) of section 6; sub-section (1B) of section 29; and sub-section (6) of section 31 of the Act.

Statement of Objections.

24.

Upon completion of the process under section 29 of the Act, where the Commission is of the opinion that the combination has or is likely to have an appreciable adverse effect on competition and decides to issue statement of objections under subsection (1) of section 29A of the Act, the[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 33 Secretary shall communicate the statement of objections to the person who has given notice within four days.

Modification to the proposed combination.

25.

(1) Where Commission decides to propose modification either under sub-section (7) of

section 29 of the Act or under the proviso to sub-section (3) of section 29A of the Act, the Secretary shall communicate within seven days, the proposal of the Commission to the person who has given notice and such person shall submit its acceptance or non- acceptance, in writing, within five days of the receipt of the proposal of the Commission:

Provided that the time taken in communication of the proposal of the Commission not exceeding seven days shall be excluded from the period provided in sub-section (1B) of

section 29 of the Act:

Provided further that the time taken by the person who has given the notice for such acceptance or non-acceptance shall be excluded from the period provided in sub-section

(2A) of section 6, sub-section (1B) of section 29, and sub-section (6) of section 31 of the Act.

(2) The modification offered by the parties to combination under sub-section (7) of 29 of the Act or sub-sections (2) or (3) of Section 29A shall be filed in Form IV as specified in schedule I to these regulations.

(3) The modification under sub-section (7) of Section 29 of the Act shall be offered within ten working days from the date of issuance of acknowledgement by Secretary under sub- regulation (3) of Regulation 13 or along with response to communication issued under sub-regulation (2) of Regulation 14 of these regulations, whichever is later.

(4) The parties to the combination may offer modification in Form IV along with their response to the notice issued under sub-section (1) of section 29 of the Act, within fifteen days of the receipt of such notice, to address the prima facie concerns in the said notice and on that basis, the Commission may approve the proposed combination under sub-

section (1) of section 31 of the Act.

(5) Where the Commission approves a combination under sub-section (3) of section 31 of the Act subject to modification, the parties to the combination shall carry out such modification as per the terms and conditions and within the period as may be specified by the Commission in its order.

(6) Where the Commission has approved a combination under sub-section (3) of section 31 of the Act subject to modification and the parties to the combination fail to carry out the modification within the period specified by the Commission, the Commission shall pass an order under sub-clause (b) of sub-section (5) of section 31 of the Act within time not exceeding thirty days from the date of determination by the Commission of the failure of the parties to carry out the modification.

Compliance by the parties for carrying out modification.

26.

(1) The parties to the combination shall, upon completion of modification, file a report along with an affidavit of compliance of the modification as per the terms and conditions of the

order of the Commission under section 31 of the Act, before the Secretary within seven days of such completion.

(2) Where the modification requires periodical compliance, the parties to the combination shall submit a report to the Commission as per the order of the Commission.

(3) In case the parties to the combination fail to file the report under sub- regulations (1) or

(2) of this regulation, the Secretary shall place the matter of such non-compliance before the Commission for appropriate directions.

Appointment of independent agencies to oversee modification.

27.

Where the Commission is of the opinion that the implementation of the modifications to the proposed combination needs supervision, it may appoint agencies to oversee such modifications, in terms of the Competition Commission of India (General) Regulations, 2024 and on such terms and conditions as may be specified by the Commission.34 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] Orders of the Commission.

28.

(1) Where the Commission decides to pass an order under sub-sections (1) or (2) or (3) or (5) of section 31 of the Act, the Secretary shall communicate to the person who has given notice, the decision of the Commission within seven days of such decision.

(2) Subject to the provisions of section 57 of the Act, and regulation 31 of these regulations, the orders passed by the Commission under section 31 of the Act shall be published on its website.

29.

Overriding effect.

The provisions of these regulations shall have effect in all matters relating to combinations notwithstanding anything inconsistent therewith contained in any other regulations framed under the Act.

Cooperation with other agencies or statutory authorities.

30.

Where the Commission deems fit, it may seek opinion of any other agency or statutory authority in relation to a combination.

Removal of difficulty.

31.

In the matter of implementation of the provisions of these regulations, if any doubt or difficulty arises, the same shall be placed before the Commission and the decision of the Commission thereon shall be final and binding.

Power to Issue directions.

32.

Having regard to the provisions of the Act, the Commission may, from time to time, in discharge of its duties, issue general or sector specific directions, guidelines, clarifications or circulars for regulation of combinations.

Repeal and Savings.

33.

(1) The Competition Commission of India (Procedure in regard to the transactions of business relating to combinations) Regulations, 2011 stands repealed from the date on

which these regulations come into force:

Provided that the provisions of the Competition Commission of India (Procedure in regard to the transactions of business relating to combinations) Regulations, 2011, as they stood on the date immediately before these regulations come into force, shall continue to apply to the notice(s) given under sub-section (2) of section 6 of the Act before these regulations come into force.

(2) Notwithstanding such repeal, —

(a) anything done or any action taken or purported to have been done or taken including fees collected, any proceedings or decision, inquiry or investigation commenced or show-cause notice issued under the repealed regulations, prior to such repeal, shall remain unaffected as if the repealed regulations have never been repealed;

(b) the operation of the repealed regulations or anything duly done or suffered thereunder, any right, privilege, obligation or liability acquired, accrued or incurred under the repealed regulations, or any investigation, legal proceeding or remedy shall remain unaffected as if the repealed regulations have never been repealed.

34. Transition Provision Notwithstanding the relevant date, the provisions of sub-section (2) of section 6, sub-section (4) of

section 6, and section 6A of the Act shall apply to an acquisition of control, shares, voting rights or assets of an enterprise, merger or amalgamation which comes into effect, wholly or partly, on

or after the date on which these regulations come into force:

Provided that such acquisition, merger or amalgamation otherwise satisfies the provisions of

section 5 of the Act and is not exempt under the provisions of Act or rules made thereunder as applicable on the date on which these regulations come into force, if the same previously did not[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 35 require notice to the Commission.

Provided further that the provisions of section 43A of the Act shall not apply in relation to any part of such acquisition, merger or amalgamation which has come into effect before these regulations come into force, if the same previously did not require notice to the Commission.
