1. इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोड ड (जिक्षपे ागार और सहभागी) (दसू रा संिोधि) जिजियम, 2024 कहा िा सकेगा ।

3. भारतीय प्रजतभूजत और जिजिमय बोडड (जिक्षेपागार और सहभागी) जिजियम, 2018 म,ें अध्याय-VII के बाद और अध्याय-VIII से पहल,े जिम्नजलजखत अध्याय िोड़ा िाएगा, अथाडत्,- “अध्याय – VIIक अन्य एंठिठियों स ेलिे दिे आदद (डीललगं ) करि ेपर पाबदं ी क छ व्यजियों स ेताल्लक रखि ेपर पाबदं ी 82ख. (1) कोई जिक्षेपागार (जडपॉजििरी) या उसका कोई एिेंि, प्रत्यक्ष रूप से या अप्रत्यक्ष रूप स,े ऐसे दकसी दसू रे व्यजि से, िो -
(i) दकसी प्रजतभूजत (जसक्यूठरिी) या दकन्हीं प्रजतभूजतयों के संबंध में, प्रत्यक्ष रूप स े अप्रत्यक्ष रूप से, कोई सलाह या स झाि आदद देता हो, तब तक कोई ताल्ल क िहीं रखेगा िब तक दक ऐसी सलाह या ऐसा स झाि आदद देिे के संबंध में िह बोड ड से रजिस्ट्िर ि हो िाए या बोडड उसे इस संबंध में दकसी और तरह की कोई मंिूरी ि दे दे; या
(ii) दकसी प्रजतभूजत (जसक्यूठरिी) या दकन्हीं प्रजतभूजतयों में जििेि करि े पर होिे िाल े म िाफों या उसके परफॉमेंस को लेकर दकसी तरह का कोई दािा करता हो, तब तक कोई ताल्ल क िहीं रखगे ा िब तक दक बोड ड उसे ऐसा कोई दािा करिे के सबं ंध में मंिरू ी ि दे दे:
परंत यह दक यदद दकसी जिधाठड रत जडजििल प्लेिफॉमड के िठरए कोई ताल्ल क रखा िाए, तो ऐसे में इस उप- जिजियम के प्रािधाि लाग ूिहीं होंगे ।
(2) जिक्षेपागार (जडपॉजििरी) यह स जिजित करेगा दक उससे या उसके एिेंि स े ताल्ल क रखिे िाला कोई व्यजि िरूरी मंिरू ी जलए जबिा उप-जिजियम (1) के खडं (i) या खडं (ii) में बताए हुए कायों में ि िि े । स्ट्पष्टीकरण-1.- इस जिजियम के प्रयोििाथ,ड िब्दों “ताल्ल क रखिे” का अथ डहोगा – (क) पैसों का कोई लिे देि आदद (रािं ैक्िि) करिा या ऐसा कोई लिे देि आदद करिा जिसकी कीमत पैसों म ें आँकी िा सके;
(ख) ग्राहक (क्लाइंि) बिािा; (ग) सूचिा प्रौद्योजगकी (इन्फॉमेिि िेक्नोलॉिी) जसस्ट्िम का इंिर-एक्िि; (घ) इसी तरह का कोई और ताल्लक रखिा । स्ट्पष्टीकरण-2.- इस जिजियम के प्रयोििाथड, िब्दों “जिधाडठरत जडजििल प्लेिफॉमड” का अथड होगा - िह जडजििल प्लेिफॉम ड जिसका जिक्र बोडड िे दकया हो, और जिसके अतं गडत ऐसी व्यिस्ट्था हो दक यदद जडजििल प्लेिफॉम ड का कोई गलत इस्ट्तेमाल करि े की कोजिि करे तो उस गलत इस्ट्तेमाल को पहल े ही रोका िा सके और साथ ही क छ गलत हो िािे पर उस े दरु स्ट्त भी दकया िा सके, लेदकि िह व्यिस्ट्था बोडड की ििर म ें संतोषििक होिी चाजहए, तादक यह स जिजित हो सके दक उस प्लेिफॉम ड का इस्ट्तेमाल उप-जिजियम (1) के खंड (i) या खंड (ii) म ें बताए हुए कोई काय ड करिे के जलए ि दकया िा सके । स्ट्पष्टीकरण-3.- िंकाए ँ दरू करिे के जलए, यह स्ट्पष्ट दकया िाता ह ै दक इस जिजियम म ें प्रयोग दकए गए िब्दों “दसू रे व्यजि” म ें िह व्यजि िाजमल िहीं होगा, िो जििेिक जिक्षण के काय ड म ें ि िा हुआ हो, बिते दक िह व्यजि, प्रत्यक्ष रूप स े अप्रत्यक्ष रूप स,े िरूरी मंिूरी जलए जबिा उप-जिजियम (1) के खंड (i) या खडं (ii) म ेंबताए हुए दकसी काय ड म ें ि ि िे ।[भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 82ग. बोड,ड जिजियम 82ख के दकसी प्रािधाि का उल्लंघि हो िािे पर, ऐसी कारडिाई कर सकेगा िो िह िीक समझे, जिसमें भारतीय प्रजतभूजत और जिजिमय बोडड (मध्यिती) जिजियम, 2008 के अध्याय-V के तहत की िािे िाली कारडिाई िाजमल ह ै।” बबीता राय डू, कायडपालक जिदिे क [जिज्ञापि-III/4/असा./441/2024-25] पाद ठिप्पण :

NOTIFICATION Mumbai, the 26th August, 2024 SECURITIES AND EXCHANGE BOARD OF INDIA (DEPOSITORIES AND PARTICIPANTS) (SECOND AMENDMENT) REGULATIONS, 2024 No. SEBI/LAD-NRO/GN/2024/200.—In exercise of the powers conferred by section 30 of the Securities and Exchange Board of India Act, 1992 (15 of 1992) read with section 25 of the Depositories Act, 1996 (22 of 1996), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Depositories and Participants) Regulations, 2018 namely,—
1. These regulations may be called the Securities and Exchange Board of India (Depositories and Participants) (Second Amendment) Regulations, 2024.
2. They shall come into force on the date of their publication in the Official Gazette.
3. In the Securities and Exchange Board of India (Depositories and Participants) Regulations, 2018, after Chapter VII and before Chapter VIII, the following Chapter shall be inserted, namely,– “CHAPTER VIIA RESTRICTION IN DEALING WITH OTHER ENTITIES Restriction in having association with certain persons 82B. (1) No depository or its agent, shall have any direct or indirect association, with another person who-
(i) provides advice or any recommendation, directly or indirectly, in respect of or related to a security or securities, unless the person is registered with or otherwise permitted by the Board to provide such advice or recommendation; or
(ii) makes any claim, of returns or performance expressly or impliedly, in respect of or related to a security or securities, unless the person has been permitted by the Board to make such a claim:
Provided that the provisions of this sub-regulation shall not apply in respect of an association through a specified digital platform.
(2) The depository shall ensure that any person associated with it or its agent does not engage in the activities mentioned in clauses (i) or (ii) of sub-regulation (1) without the necessary permission.
Explanation 1. – For the purposes of this regulation, the expression “association” shall mean-
(a) a transaction involving money or money’s worth;
(b) referral of a client;
(c) interaction of information technology systems;
(d) any other association of a similar nature or character.
Explanation 2. – For the purposes of this regulation, the expression “specified digital platform” shall mean a digital platform as specified by the Board, which has a mechanism in place to take preventive as well as curative action, to the satisfaction of the Board, to ensure that such a platform is not used for indulging in any activity as referred to in clause (i) or (ii) of sub-regulation (1).
Explanation 3. – For the removal of doubts, it is clarified that the term “another person” in this regulation shall not include a person who is engaged in investor education, provided that such a person does not, directly or indirectly, indulge in any activity as referred to in clause (i) or (ii) of sub-regulation (1) without the necessary permission.
82C. The Board may, in case of violation of any of the provisions of regulation 82B, take such action as it may deem fit including action under Chapter V of the Securities and Exchange Board of India
