1. लघ ु िीर्डक और प्रारंभण

(1) आन जिजनयमों को पेरोजलयम और प्राकृजतक गैस जिजनयामक बोडड (नगर ऄथिा स्ट्थानीय प्राकृजतक गैस जितरण नेटिकड जबछान,े जनमाणड , प्रचालन या जिस्ट् तार करने के जलए कंपनी को प्राजधकृत करना) संिोधन जिजनयम, 2021 कहा जाएगा।

(2) ये सरकारी राजपत्र में ईनके प्रकािन की तारीख से प्रिृत् त होंगे।

2. पेरोजलयम और प्राकृजतक गैस जिजनयामक बोड ड (नगर ऄथिा स्ट्थानीय प्राकृजतक गैस जितरण नेटिकड जबछान,े जनमाडण, प्रचालन या जिस्ट् तार करन े के जलए कंपनी को प्राजधकृत करना) जिजनयम, 2008, - (क) जिजनयम 5, ईप-जिजनयम 6 में , - (क) खंड (ख) में,-

(i) ईप-खंड (i) के जलए, जनम्नजलजखत खडं को प्रजतस्ट्थाजपत दकया जाएगा, ऄथाडत;् 4989 GI/2021 (1)2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] "(i) संस्ट् था ने या तो हाआड्रोकाबडन स्ट्टील पाआपलाआनों का जनमाडण दकया ह ै जजनकी कुल लबं ाइ तीन सौ दकलोमीटर स े कम नहीं ह ै या जो स्ट्िय ं या जजसे पररसंघ भागीदारों म ें स े एक के रूप म ें सीजीडी नेटिकड के जिकास के जलए बोडड द्वारा ऄजधकृत दकया गया था; या ";

(ii) ईप-खंड (ii) के जलए, जनम्नजलजखत खडं को प्रजतस्ट्थाजपत दकया जाएगा, ऄथाडत:्- "(ii) संस्ट् था दकसी ऄन्य कंपनी के साथ एक संयुि ईद्यम ह ै (ईस संस्ट् था द्वारा कम स े कम ग्यारह प्रजतित आदिटी धाररता के साथ) जजसने या तो हाआड्रोकाबडन स्ट्टील पाआपलाआनों का जनमाडण दकया ह,ै जजनकी लंबाइ तीन सौ दकलोमीटर स े कम नही ह ै या संस्ट् था दकसी ऄन्य संस्ट् था के साथ एक संयिु ईद्यम ह ै (ईस संस्ट् था द्वारा कम स े कम ग्यारह प्रजतित आदिटी धाररता के साथ) जजसे स्ट्ियं या पररसघं भागीदारों म ें स े एक को सीजीडी नेटिकड के जिकास के जलए बोड ड द्वारा ऄजधकृत दकया गया था;

(iii) ईप-खंड (iii) और ईप-खंड(iv) को लोप दकया जाएगा; (ख) जिजनयम 5, ईप-जिजनयम 6, खंड (च) म,ें जनम्नजलजखत को ऄंत म ें जोडा जाएगा, ऄथाडत:्- "ऐसी पंजीकृत संस्ट्थ ा जिजनयम 5(6)(ड.) के ऄनुसार ईस कंपनी के तहत भौगोजलक क्षेत्रों के संबंध म ें न् यनू तम जनिल मल्ू य की अिश्यकता का पालन करेगी।";

(ख) जिजनयम 7 म,ें ईप-जिजनयम (1) म ें-

(i) खंड (क) म,ें परंतुक म,ें "बिते दक" िब्दों के साथ िुरू होन े और जनम्न ानुसार-" िब्दो" और "डैि के साथ समाप्त होने िाले भाग के जलए, जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा, ऄथाडत:्- "बिते दक (i) जबलासपुर, हमीरपुर और उना जजलों; (ii) पंचकूला (पहल े स े ऄजधकृत क्षत्रे को छोडकर), जिमला, सोलन और जसरमौर जजलों, (iii) बाडमेर, जैसलमेर और जोधपरु जजलों, (iv) दार्जजललग, जलपाइगडु ी और ईत्तर ददनाजपुर जजलों, (v) नैनीताल ि जबजनौर जजलों, (vi) पौडी गढ़िाल, ईत्तरकािी, रुद्रप्रयाग ि रटहरी गढ़िाल जजलों, (vii) जपथौरागढ़, चंपाित, ऄल्मोडा, चमोली ि बागेश्वर जजलों, (viii) मंडी, कुल्ल,ू दकन्नौर ि लाहौल ि स्ट्पीजत जजलों, (ix) कांगडा ि चंबा जजलों तथा (x) जम्मू, उधमपरु , ररयासी, सांबा ि कठुअ जजलों के भौगोजलक क्षेत्रों के मामले में स्ट् टील पाआपों के माध्यम स े प्राकृजतक गैस की अपूर्जत ऄजनिाय ड नहीं ह।ै तथाजप, प्राकृजतक गैस को सभी चाज ड एररया म ें पहुचं ाना ह।ै तदनुसार, बोली लगाने के मापदंड और ईनके संबंजधत ऄजधमान जनम्न ानुसार होंग-े ";

(ii) खंड (ख) म,ें परंतुक म,ें "बिते दक" िब्दों के साथ िुरू होन,े और "जनम्न ानुसार-" िब्दों और डैि के साथ समाप्त होने िाले भाग के जलए, जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा, ऄथाडत:्- "बिते दक (i) जबलासपुर, हमीरपुर और उना जजलों; (ii) पंचकूला (पहले स े ऄजधकृत क्षत्रे को छोडकर), जिमला, सोलन और जसरमौर जजलों, (iii) बाडमेर, जैसलमेर और जोधपुर जजला,ं (iv) दार्जजललग, जलपाइगडु ी और ईत्तर ददनाजपुर जजलों, (v) नैनीताल और जबजनौर जजलों, (vi) पौडी गढ़िाल, ईत्तरकािी, रुद्रप्रयाग और रटहरी गढ़िाल जजलों, (vii) जपथौरागढ़, चंपाित, ऄल्मोडा, चमोली और बागेश्वर जजलों, (viii) मंडी, कुल्ल,ू दकन्नौर और लाहौल एि ं स्ट्पीजत जजलों, (ix) कांगडा और चंबा जजलों और (x) जम् मू, उधमपरु , ररयासी, सांबा और कठुअ जजलों के भौगोजलक क्षेत्रों के मामल े म,ें सफल बोलीदाता को नीचे ददए गए जििरण के ऄनुसार 10 ऄनुबंध िर्ों के भीतर िर्-ड िार काय ड क्रमादेि/याोोजना प्राप्त करना अिश् यक होगा, ऄथाडत:्-" (ग) जिजनयम 9 म,ें ईप-जिजनयम (1) म,ें जनम्नजलजखत परंतुक और स्ट्पष्टीकरण को जोडा जाएगा, ऄथाडत्:- "बित े दक सफल संस्ट् था, जजसे जिजनयम 5 के ईप-जिजनयम (6) के खंड (च) के प्रािधानों के ऄनसु ार छह महीन े की ऄिजध के भीतर कंपनी ऄजधजनयम, 2013 के तहत एक कंपनी के रूप म ें स्ट्िय ं को पंजीकृत करना होगा, प्रारंभ म ें एक िर्ड की ऄिजध के जलए िैध पीबीजी प्रस्ट्तुत करनी होगी और ऐसे मामले म,ें पीबीजी का निीकरण ईसकी समाजप्त स े कम स े कम तीन महीने पहल,े अगे की तीन िर् ड की ऄिजध, और प्राजधकृतीकरण की ऄिजध तक दकया जाएगा। स्ट्पष्टीकरण: यह स्ट्पष्ट दकया जाता ह ैदक काय ड क्रमादेि /योजना की 100% ईपलजब्ध के बाद या सामान्य िाहक या संजिदा िाहक के कायडक्षेत्र स े जिजिष्टता की समाजप्त पर जो भी बाद म ें होगा , पीबीजी के मल्ू य म ें प्रारंजभक पीबीजी के 40% तक कमी सभी प्राजधकृत संस्ट्थाओं पर लाग ू होगी भल े ही प्राजधकार का िर्ड कुछ भी हो।";[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 3 (घ) जिजनयम 10, ईप-जिजनयम (3) म,ें दसू रे परंतुक के बाद जनम्नजलजखत परंतुक जोडा जाएगा, ऄथाडत्:

"बिते दक बोडड पणू ड स्ट्िाजमत्ि िाली सहायक संस्ट् था स े ईसकी मूल कंपनी को प्राजधकार हस्ट्तांतररत करना भी स्ट्िीकार कर सकता ह।ै " (ड.) जिजनयम 11 म,ें -

(i) ईप-जिजनयम (1) और ईप-जिजनयमन (2) का लोप दकया जाएगा;

(ii) ईप-जिजनयम (3) के जलए, जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा, ऄथाडत:्- "(3) ऄजधकृत संस्ट् था प्राजधकार के ऄनुदान की तारीख से दो सौ सत्तर ददनों की ऄिजध के भीतर पररयोजना का जित्तीय समापन प्राप्त करेगी।

(iii) ईप-जिजनयम (4) के जलए, जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा, ऄथाडत:् "(4) संस्ट्थ ा जित्तीय समापन प्राजत त की स्ट् िीकृजत के जलए बोड डको जनम्नजलजखत प्रस्ट्तुत करेगी, ऄथाडत:् - (क) पररयोजना की जिस्ट्तृत व्यिहायडता ररपोट ड (आसके बाद डीएफअर के रूप म ें संदर्जभत), जजसमें ऄन्य बातों के साथ-साथ पररयोजना की घटक-िार जिस्ट्तृत लागत, िर्-ड िार चरणबद्धता, जित्तपोर्ण योजना और ऐसे ईद्देश्य के जलए संस्ट्थ ा के जनदेिक मडं ल का ऄनुमोदन िाजमल ह;ै (ख) पररयोजना लागत को आदिटी पूंजी द्वारा जित्त-पोजर्त दकए जाने की योजना के संबंध में, (i) ऄजधकृत संस्ट् था के जनदेिक मंडल का संकल्प, (ii) पररयोजना के जलए आदिटी जित्तपोर्ण का जनिेि करने िाली प्रमोटर कंपनी के जनदेिक मडं ल का संकल्प, (iii) आदिटी या दकसी ऄन्य जनजध से जनजश् चत प्रजतबद्धता पत्र, यदद पररयोजना को ऐसी जनजध से जित्त-पोजर्त करने का प्रस्ट्ताि ह,ै और (iv) गैर-कंपनी प्रमोटर के मामले में, डीएफअर म ें प्रस्ट्ताजित आदिटी जित्त-पोर्ण के चरणबद्ध स्रोत के ऄनुसार पररयोजना के जलए आदिटी जित् त-पोर्ण की जनििे प्रजतबद्धता िाला पत्र;

(ग) ईधार द्वारा जित्त-पोजर्त की जाने िाली पररयोजना लागत के संबंध में, (i) बैंकों या जित्तीय संस्ट्थानों या ऄन्य ऊणदाता स े जनजश् चत मजं ूरी अदिे , (ii) ऄजधकृत संस्ट्थ ा और प्रमोटर या संजधबद्ध या जनदेिक(कों) या ऊणदाता, जैसा मामला हो, के बीच ऊण के माध्यम से जित्तपोर्ण के जलए काननू ी रूप से बाध्यकारी ऊण समझौता;

(घ) ऄजधकृत संस्ट्थ ा के भौगोजलक क्षेत्र या ऄन्य गजतजिजधयों के अंतररक ईपाजडन से जित्त-पोजर्त दकए जान े की योजना के संबंध में,प्रस्ट्ताजित जित्त पोर्ण की ऄिजध के जलए ऄजधकृत संस्ट्थ ा के भौगोजलक क्षेत्र या ऄन्य गजतजिजधयों के िर्डिार ऄनुमाजनत नकदी प्रिाह , और;

(ड.) कोइ ऄन्य दस्ट्तािेज जो सस्ट्ं था द्वारा संगत माना जाए।";

(iv) ईप-जिजनयम (5) म,ें पहल ेपरंतुक के बाद, जनम्नजलजखत परंतकु जोडा जाएगा, ऄथाडत:् - "बित े अग े यह दक आस बात से संतुष्ट होन े के बाद दक सस्ट्ं था द्वारा प्रस्ट्तुत जिलंब के कारण ईसके जनयंत्रण स े परे ह,ैं बोड ड 270 ददनों के भीतर जित्तीय समापन प्राजत त म ें जसै ा दक ईप-जनयमन (3) म ें जनर्ददष्ट ह ै जिलंब को माफ कर सकता ह ै । यह प्रमाण देना सस्ट्ं था की जजम् मदे ारी होगी दक कारण ईसके जनयत्रं ण से परे ह।ैं आसके ऄलािा, ऐसी कोइ भी माफी दकसी भी एक ऄिसर पर 60 ददनों स ेऄजधक समय तक के जलए नहीं होगी जजसके बाद की ऄिजध के जलए संस्ट्थ ा को अगे ऄनुरोध पर जिचार करने के जलए बोडड से पनु : संपकड करना होगा। (च) जिजनयम 12 म,ें ईप-जिजनयम (2) म,ें -

(i) तीसरे परंतुक के बाद, जनम्नजलजखत परंतुक जोडा जाएगा, ऄथाडत्; "बित े दक ईन भौगोजलक क्षेत्रों के संबंध म ें जहां बोली म ें प्राकृजतक गैस का जनर्ददष्ट स्रोत एलएनजी टर्जमनल सजहत प्राकृजतक गैस पाआपलाआनों से जभन्न ह,ै तीसरा परंतुक लागू नहीं होगा।";

(ii) "स्ट्पष्टीकरण" को "स्ट्पष्टीकरण 1" सख्ं या दी जाएगी, और स्ट्पष्टीकरण के बाद आस प्रकार दी गइ संख् या को जोडा जाएगा, ऄथाडत:्-4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] स्ट्पष्टीकरण 2: आस ईप-जिजनयम के ईद्देश्य के जलए, सीजीडी नेटिकड की तत्प रता का ऄथड जनम्नजलजखत में से कोइ भी होगा, ऄथाडत:्- (क) ऄजधकृत भौगोजलक क्षेत्र के भीतर कम से कम एक सीएनजी स्ट्टेिन का संचालन, या (ख) जसटी गेट स्ट्टेिन की स्ट्थापना के जलए भूजम की खरीद, या (ग) पहले िर्ड के जलए एमडब्ल्यूपी लक्ष्य के कम से कम 10% की सीमा तक स्ट्टील पाआपलाआन जबछाने का कायड पूरा करना, या (घ) एमडीपीइ पाआपलाआन जबछाने का कायड पहले िर्ड के जलए स्ट् टील पाआपलाआन के एमडब्ल्यूपी लक्ष्य के कम स े कम 50% तक परू ा करना। रटतप णी: स्ट्पष्टीकरण 2 यह बोली या प्राजधकार िर् डका जिचार दकए जबना सभी ऄजधकृत सस्ट्ंथाओं पर लाग ूहोगा";

(छ) जिजनयम 13 में, -

(i) ईप-जिजनयम (1) के जलए, जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा, ऄथाडत:्-

(1) " एक ऄजधकृत संस्ट् था, माजसक और िार्जर्क अधार पर, प्राप्त स्ट्िीकृजतयों, प्राप्त लक्ष्यों, दकए गए व्यय, कायड-प्रगजत और ऐसे ईद्देश्य के जलए ऄनुसूची ड. म ें ददए गए प्रारूपों म ें ऄन्य संगत जानकारी का ब्यौरा देने िाली प्रगजत ररपोटड प्रदान करेगी।"- (ज) जिजनयम 14 में, -

(i) ईप-जिजनयम (10) के जलए, जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा ऄथाडत्:-

(10) " एक ऄजधकृत संस्ट्थ ा चालू होने के बाद ऐसे ईद्देश्य के जलए ऄनुसूची ड. में ददए गए प्रारूपों में सूचना प्रदान करना जारी रखेगी। (झ) जिजनयम 16 में, ईप जिजनयम (6)के बाद, जनम्नजलजखत को जोडा जाएगा, ऄथाडत:् - "(7) सीजीडी नेटिकड के प्राजधकार को समात त करन े की प्रदक्रया ऄनुसूची छ में दकए गए प्रािधान के ऄनुसार की जाएगी।";

(ञ) ऄनुसूची ग(1) में, परंतुक में, "बिते दक" िब्द के साथ िरूु होने िाले और "जनम्न जलजखत-" िब्द और डैि के साथ समाप्त होने िाले भाग के जलए, जनम्नजलजखत प्रस्ट्ततु दकया जाएगा ऄथाडत:् - "बिते दक (i) जबलासपुर, हमीरपुर और उना जजलों; (ii) पंचकूला (पहले स े ऄजधकृत क्षेत्र को छोडकर), जिमला, सोलन और जसरमौर जजलों (iii) बाडमेर, जैसलमेर और जोधपुर जजलों (iv) दार्जजललग, जलपाइगुडी और ईत्तर ददनाजपुर जजलों, (v) नैनीताल और जबजनौर जजलों, (vi) पौडी गढ़िाल, ईत्तरकािी, रुद्रप्रयाग और रटहरी गढ़िाल जजलों, (vii) जपथौरागढ़, चंपाित, ऄल्मोडा, चमोली ि बागेश्वर जजलों, (viii) मडं ी, कुल्लू, दकन्नौर ि लाहौल ि स्ट्पीजत जजलों, (ix) कांगडा ि चंबा जजलों तथा (x) जम्मू, उधमपरु , ररयासी, सांबा ि कठुअ जजलों के भौगोजलक क्षेत्रों के मामल े में, तीनों सस्ट्ं थाओं के समग्र स्ट्कोर की गणना नीचे ददए गए ऄनुसार प्रत्येक बोली मानदंड को सौंप ेगए संबंजधत प्रभाि को समनु देजित करके की जाएगी - ”। (ट) ऄनुसूची घ म,ें जनबंधन एि ं ितड सं. 3 म,ें 10 िर्ों के भीतर िर्ड-िार काय ड कायडक्रम की ईपलजब्ध की समय-सीमा से संबंजधत तीसरे पैरा में, "िैकजल्पक रूप स"े िब्द से िरूु होने िाल े और "ऄथाडत्:-" िब्द और कॉलम डैि के साथ समाप्त होने िाले भाग के जलए, जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा:- "िैकजल्पक रूप से,

(i) जबलासपुर, हमीरपरु और उना जजलों (ii) पंचकूला (पहल े से ऄजधकृत क्षेत्र को छोडकर), जिमला, सोलन और जसरमौर जजले (iii) बाडमेर, जसै लमेर ि जोधपुर जजल े (iv) दार्जजललग, जलपाइगडु ी ि ईत्तर ददनाजपुर जजल,े (v) नैनीताल ि जबजनौर जजल,े (vi) पौडी गढ़िाल, ईत्तरकािी, रुद्रप्रयाग ि रटहरी गढ़िाल जजले, (vii) जपथौरागढ़, चंपाित, ऄल्मोडा, चमोली ि बागेश्वर जजल,े (viii) मंडी, कुल्लू, दकन्नौर ि लाहौल ि स्ट्पीजत जजले, (ix) कांगडा और चंबा जजलों और (x) जम् म,ू उधमपरु , ररयासी, सांबा और कठुअ जजलों भौगोजलक क्षेत्रों के मामल े में, संस्ट् था को नीचे ददए गए जििरण के ऄनुसार 10 ऄनुबंध िर्ों के भीतर िर्ड-िार कायड कायडक्रम पूरा करना अिश्यक होगा, ऄथाडत:्-"[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 5 (ड.) ऄनुसूची ड. में, -

(i) खडं क और ख के जलए जनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा,ऄथाडत:् "क: ऄजधकृत संस्ट् था प्रारुपों ड.1, ड.2, ड.3, ड.4 और ड.5 म ेंनीचे ददए गए ऄनुसार ररपोटें प्रस्ट्ततु करेगी, ड.1 (माजसक) - पीएनजी कनेक्िन और जबक्री (जजला-िार) ;

ड.2 (माजसक) - सीएनजी स्ट्टेिनों और जबक्री (दक.ग्रा. और एससीएम) के अंकडे; ड.3 (माजसक) - बुजनयादी ढांचा डेटा (पाआपलाआन और सीजीएस); ड.4 (माजसक) - पीएनजी और सीएनजी का मूल्य ब् यौरा; ड.5 (िार्जर्क) – जित्तीय मापदंड ख: ररपोट ड प्रस्ट्तुत करन े की समय-सीमा: संस्ट् था जनिरी, फरिरी, ऄप्रलै , मइ, जुलाइ, ऄगस्ट्त, ऄक् तूबर, निंबर के प्रत्येक महीने के जलए ऄगले माह की 20 तारीख तक, तथा माचड, जून, जसतंबर, ददसंबर (प्रत् येक समात त जतमाही ) के ऄगले माह के 30 ददनों के भीतर ऑनलाआन पोटडल में प्रगजत ररपोटड प्रस्ट्तुत करेगी। संस्ट्था द्वारा जनयुि नोडल ऄजधकारी जनधाडररत समय-सीमा में सही अंकडे प्रस्ट्तुत करन े के जलए ईत्तरदायी होगा।;

(ii) मौजूदा रटत पणी के जलए खंड ड. के ऄतं म ेंजनम्नजलजखत को प्रजतस्ट्थाजपत दकया जाएगा, ऄथातड ्: "रटत पण 1: बोड डको दकसी भी समय संस्ट् था द्वारा ऄनपुालन स ेस्ट् िय ंको संतष्टु करन ेके जलए, दकसी संस्ट् था स ेकोइ भी सूचना या डेटा, जैसा िह ईजचत समझे, प्रात त करन ेका ऄजधकार ह।ै रटत पण 2: यह स्ट्पष्ट दकया जाता ह ैदक तकनीकी कारणों स,े ऑनलाआन ररपोर्टटग प्रणाली को लाग ूकरत ेसमय जिजभन्न प्रारूपों में मागंी गइ जानकारी को अिश्यकतानुसार पनुव्यडिजस्ट्थत करना पड सकता ह।ै

1. ऄसूचीबद्ध प्रजतभूजतयों का मूल्यांकन ईि प्रजतभूजतयों के "ईजचत मूल्य" पर होगा, ऄथाडत् "ऄलग-ऄलग मूल्य" और "ऄजडन मूल्य" का औसत और आस ईद्देश्य के जलए - (क) "ऄलग-ऄलग मल्ू य" का ऄथ ड ह ै प्रदत् त आदिटी िेयर पजूं ी एि ं लाभ तथा अस्ट्थजगत व्यय और जिजिध व्यय द्वारा घटाए गए प्रजतभूजत प्रीजमयम खाते स े सृजजत सभी भंडार, संजचत घाटे, अस्ट् थजगत व् यय और निीनतम लेखा- परीजक्षत तुलन-पत्रक के ऄनसु ार बट्टे खात े म ें नहीं डाल े गए जिजिध व् यय, लेदकन आसम ें पररसंपजत्तयों के पुनमूडल्यांकन स े सृजजत भंडार, मूल्यह्रास और समामेलन को पनु : दजड करना, जनिेि करने िाली कंपनी के आदिटी िेयरों की संख्या स ेजिभाजन िाजमल नहीं ह।ै (ख) "ऄजडन मूल्य" का ऄथ ड ह,ै कर के बाद मनु ाफे के औसत को िरीयता लाभांि स े घटाकर गणना दकए गए आदिटी िेयर का मूल्य जजसे तत्क ाल जपछले तीन िर्ों के जलए ऄसाधारण और गैर-अिती िस्ट्तुओं म ें समायोजजत दकया जाता ह,ै और अग े जनिेि कंपनी के आदिटी िेयरों की संख्या स े जिभाजजत और जनम्नजलजखत दर पर पूंजीकृत दकया जाता ह,ै ऄथाडत:्-

(iv) यदद कोइ जनिेि करने िाली कंपनी घाटे म ेंचल रही कंपनी ह ैतो ऄजडन मल्ू य िन्ू य ली जाएगी।

2. जनिल मूल् य के ईद्देश्य स े जनयत पररसंपजत् तयों का मल्ू य ांकन सरकार द्वारा ऄनुमोददत मूल् यांकनकताओंड द्वारा कंपजनयों (पंजीकृत मल्ू यांकनकताड और मल्ू यांकन) जनयम, 2017 के ऄनुसार प्रमाजणत दकया जाएगा। बोली प्रस्ट्त ुत करन े की तारीख को मल्ू यांकन 6 महीन े स े ऄजधक परु ाना नहीं होगा। आसके ऄलािा, मूल्यांकन सर्दकल दर तक सीजमत होगा। केिल भूजम और भिन की ईन िस्ट्तओंु को िाजमल दकया जाएगा जो संस्ट्थ ा या प्रोपराआटर के नाम पर ह,ैं ईन्ह ें ईपयुडक् त क्र.स.ं 2 िीर् ड ऄथाडत ् भूजम और ऄचल पररसंपजत्तयों के जनमाणड घटक के तहत िाजमल दकया जाएगा। ि े संपजत्तयां जो पट्टे पर ली जाती ह,ैं ईन्ह ें जनिल मूल् य की गणना म ें िाजमल नहीं दकया जाएगा। जनिल मूल् य की गणना के ईद्देश्य स े भूजम और भिन के ऄलािा ऄन्य ऄचल पररसंपजत्तयों को िाजमल नहीं दकया जाएगा।

3. जनिेि, ितडमान पररसंपजत्तयों, ितडमान देनदाररयों और दीघडकाजलक दने दाररयों िाली िस्ट्तुओं का जििरण ऄलग स े ददया जाएगा।

4. ितडमान पररसंपजत्तयों म ें संबंजधत संस्ट्थाओं को ऊण, ऄिोध् य और संददग्ध ऊणों और 3 महीने स े ऄजधक के बकाया ऊण, पूंजीगत पररसंपजत्तयों के जखलाफ ऄजग्रम, प्रजतभूजतयों या पररसंपजत्तयों, पूिड प्रदत् त व् यय और ऄमूत ड पररसंपजत्तयों को िाजमल नहीं दकया जाएगा।

5. संपजत्तयों का मूल्यांकन ऊण और ऄन्य बाधाए,ं यदद कोइ हों, के जििरण सजहत जनिल बाधा होगी। 'िून्य' बाधा सजहत बाधा का जििरण, संस्ट् था द्वारा प्रमाण-पत्र देकर दकया जाएगा।

6. कंपनी म ें जलजमटेड, प्राआिेट जलजमटेड और जलजमटेड देयता भागीदारी (एलएलपी) िाजमल ह।ैं[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 11

7. यदद बोलीदाता को आदिटी फंड द्वारा समर्जथत दकया जाता ह,ै तो आदिटी फंड के प्रबंधन के तहत जनिल मल्ू य पररसंपजत्तयों स े कम होगा और काय ड कायडक्रम प्राप्त करन े के जलए संस्ट्थ ा की सहायता करन े के जलए कानूनी रूप स े बाध्यकारी दस्ट्तािेज द्वारा सहायता राजि प्रस्ट् तुत की जा जाएगी।

8. पररसंघ द्वारा प्रस्ट्तुत बोली के मामले म,ें केिल ईन पररसंघ सदस्ट्यों के जनिल मलू य पर जिचार दकया जाएगा जजन..के पररसंघ म ें कम स ेकम 11% जहस्ट्सेदारी ह:ै बिते, जब पररसंघ को सीजीडी प्राजधकार स े संबंजधत जिजनयम 5 के ईप-जिजनयम (6) के खडं (च) द्वारा ऄपेजक्षत ऄनुसार कंपनी ऄजधजनयम, 2013 के तहत पंजीकृत कंपनी म ें पररिर्जतत दकया जाता ह,ै तो ऐसे प्रत्येक सदस्ट्य की कंपनी म ें 11% स े कम िेयरधाररता नहीं होनी चाजहए और सामान् य िाहक या संजिदा िाहक के कायडक्षेत्र स े जिजिष्टता तक कंपनी म ें11% स े कम िेयरधाररता नहीं होनी चाजहए।

9. यदद कोइ संस्ट्थ ा एक स े ऄजधक भौगोजलक क्षेत्रों के जलए बोली लगाती ह ै और यदद बोड ड द्वारा गणना की गइ बोलीदाता का जनिल मूल् य सीजीडी प्राजधकार स े संबंजधत जिजनयम 5 के ईप-जिजनयम (6) के खंड (ड.) के ऄनुसार अिश्यक संचयी जनिल मल्ू य स े कम ह,ै तो बोलीदाता को जनम्नजलजखत अदेि म ें कुछ भौगोजलक क्षेत्रों के जलए योग्य माना जाएगा, जब तक दक बोलीदाता द्वारा ऄन्यथा जनर्ददष्ट न दकया जाए:

संस्ट् था द्वारा पहल े सबस े घनी अबादी िाले भौगोजलक क्षत्रे के जलए बोली लगाइ जाएगी। आसके बाद, संस्ट् था द्वारा भौगोजलक क्षत्रे पर लगाइ गइ बोली के क्रम म ें जिचार दकया जाएगा क्योंदक य े बोडड द्वारा प्रकाजित बोली के जलए खलु ी भौगोजलक क्षत्रे की सूची म ें ददखाइ द े रह े ह,ैं बिते बोलीदाता का िेर् जनिल मल्ू य ऄगल े क्रमांक पर भौगोजलक क्षत्रे का न्यूनतम जनिल मूल्य अिश्यकता स े ऄजधक हो और बाद के क्रमांक पर भौगोजलक क्षत्रे का न्यूनतम जनिल मल्ू य अिश्यकता स े ऄजधक हो और आसी प्रकार अगे जिचार दकया जाएगा। यह प्रदक्रया तब तक जारी रहगे ी जब तक बोडड द्वारा गणना की गइ बोलीदाता का जनिल मल्ू य ईपलब्धन हो जाए।

10. चाटडडड ऄकाईंटेंट द्वारा प्रमाजणत बोली के साथ प्रस्ट्ततु दकसी भी प्रमाण-पत्र पर तभी जिचार दकया जाएगा जब यह आंस्ट्टीट्यूट ऑफ चाटडड ड ऄकाईंटेंट्स ऑफ आंजडया के यडू ीअइएन पोटडल पर सृजजत जिजिष्ट दस्ट्त ािेज पहचान संख् या (यूडीन) के साथ हो।

11. ऄजनगजमत पररसघं द्वारा बोली लगान े के मामल े म,ें प्रजत जनििे या पररसंघ भागीदारों के बीच धाररता को जनिल मूल् य मल्ू यांकन के ईद्देश्य स े नहीं जगना जाएगा।

No. PNGRB/Auth/1-CGD (79)/2019 (P-770).—In exercise of the powers conferred by Section 61 of the Petroleum and Natural Gas Regulatory Board Act, 2006 (19 of 2006), the Petroleum and Natural Gas Regulatory Board hereby makes the following regulations further to amend the Petroleum and Natural Gas Regulatory Board (Authorizing Entities to Lay, Build, Operate or Expand City or Local Natural Gas Distribution Networks) Regulations, 2008, namely: -

1. Short title and commencement.

(1) These regulations may be called the Petroleum and Natural Gas Regulatory Board (Authorizing Entities to Lay, Build, Operate or Expand City or Local Natural Gas Distribution Networks) Amendment Regulations, 2021.

(2) They shall come into force on the date of their publication in the official Gazette.

2. In the Petroleum and Natural Gas Regulatory Board (Authorizing Entities to Lay, Build, Operate or Expand City or Local Natural Gas Distribution Networks) Regulations, 2008, -

(a) in regulation 5, in sub-regulation 6, -

(A) in Clause (b),-

(i) for sub-clause (i), the following clause shall be substituted, namely; “(i) entity has constructed either hydrocarbon steel pipelines totaling to a length of not less than three hundred kilometers or which by itself or as one of the consortium partners was authorized by the Board for development of a CGD network; or”;

(ii) for sub-clause (ii), the following clause shall be substituted, namely: - “(ii) entity has a joint venture with another entity (with at least eleven percent equity holding by that entity) which has constructed either hydrocarbon steel pipelines totaling to a length of not less than three hundred kilometer or entity has a joint venture with another entity (with at least eleven percent equity holding by that entity) which by itself or as one of the consortium partners was authorized by the Board for development of a CGD network;”

(iii) sub-clause (iii) and sub-clause (iv) shall be omitted;

(B) in regulation 5, sub-regulation 6, clause (f), the following shall be inserted at the end,

namely: - “The company so registered shall comply with the requirement of minimum net worth in respect of the geographical areas under that company as per Regulation 5 (6) (e).”;

(b) In regulation 7, in sub-regulation (1), -

(i) in clause (a), in the Proviso, for the portion beginning with the words, “Provided that”, and ending with the words and dash, “under-”, the following shall be substituted,

namely: - “Provided that in the case of the geographical areas of (i) Bilaspur, Hamirpur and Una District; (ii) Panchkula (except area already authorised), Shimla, Solan and Sirmaur Districts, (iii) Barmer, Jaisalmer and Jodhpur Districts, (iv) Darjeeling, Jalpaiguri and Uttar Dinajpur Districts, (v) Nainital and Bijnor Districts, (vi) Pauri Garhwal,[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 13 Uttarkashi, Rudraprayag and Tehri Garhwal Districts, (vii) Pithoragarh, Champawat, Almora, Chamoli and Bageshwar Districts, (viii) Mandi, Kullu, Kinnaur and Lahaul and Spiti Districts, (ix) Kangra and Chamba Districts and (x) Jammu, Udhampur, Reasi, Samba and Kathua Districts, it is not mandatory to supply natural gas through steel-pipes. However, natural gas has to reach in all charge areas. The bidding parameters and their respective weightage will, accordingly, be as under-”.;

(ii) in clause (b), in the Proviso, for the portion beginning with the words, “Provided that”, and ending with the words and dash, “namely:-”, the following shall be substituted,

namely :-: “Provided that in the case of the geographical areas of (i) Bilaspur, Hamirpur and Una Districts; (ii) Panchkula (except area already authorised), Shimla, Solan and Sirmaur Districts, (iii) Barmer, Jaisalmer and Jodhpur Districts, (iv) Darjeeling, Jalpaiguri and Uttar aDinajpur Districts, (v) Nainital and Bijnor Districts, (vi) Pauri Garhwal, Uttarkashi, Rudraprayag and Tehri Garhwal Districts, (vii) Pithoragarh, Champawat, Almora, Chamoli and Bageshwar Districts, (viii) Mandi, Kullu, Kinnaur and Lahaul & Spiti Districts, (ix) Kangra and Chamba Districts and (x) Jammu, Udhampur, Reasi, Samba and Kathua Districts, the successful bidder shall be required to achieve the year-wise work programme within 10 contract years as per details given below,

namely : –”.

(c) In regulation 9, in sub-regulation (1), the following proviso and clarification shall be inserted,

namely: - “Provided that the successful entity, which needs to get itself registered as a company under the Companies Act, 2013 within a period of six months in accordance with the provisions of clause (f) of sub-regulation (6) of regulation 5 shall submit the PBG initially valid for a period of one year and in such case, the PBG shall be renewed, at least three months before expiry of the same, for a further period of three years and so on until the period of authorization.

Clarification: It is clarified that reduction in value of PBG to 40% of initial PBG after 100% achievement of the work programme or on expiry of exclusivity from purview of common carrier or contract carrier, whichever is later shall be applicable to all authorised entities irrespective of the year of authorisation.”;

(d) in regulation 10, in sub-regulation (3), after second proviso the following proviso shall be inserted, namely : “Provided also that the Board may also accept transfer of authorisation from a wholly owned subsidiary company to its parent company.”;

(e) in regulation 11, -

(i) sub-regulation (1) and sub-regulation (2) shall be omitted;

(ii) for sub-regulation (3), the following shall be substituted, namely :- “(3) The authorized entity shall achieve the financial closure of the project within a period of two hundred and seventy days from the date of grant of the authorization.”

(iii) for sub-regulation (4), the following shall be substituted, namely:- “(4) The entity shall submit the following to the Board for acceptance of the achievement of the financial closure, namely :-

(a) The detailed feasibility report (hereinafter referred to as DFR) of the project, incorporating inter-alia, therein the component-wise detailed cost of project, year-wise phasing, financing plan and approval of entity‟s board of directors for such purpose ;

(b) In respect of the project cost planned to be funded by equity capital, (i) resolution of the board of directors of the authorized entity, (ii) resolution of the board of directors of the promoter company committing investment14 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] of equity funding for the project, (iii) firm commitment letter from equity or any other fund, in case the project is proposed to be funded from such fund, and (iv) in case of non-company promoter, a letter committing investment of equity funding for the project, as per the phased source of equity funding proposed in the DFR;

(c) In respect of the project cost planned to be funded by borrowings, (i) firm sanction order from banks or financial institutions or other lender, (ii) legally binding loan agreement between the authorized entity and promoter or associate or director(s) or lender, as the case may be, for funding through loan;

(d) In respect of the project cost planned to be funded from internal accruals of the geographical area or other activities of the authorized entity, year-wise projected cash flows of the geographical area or the other activities of the authorized entity for the duration of proposed funding; and

(e) Any other document considered relevant by the entity.”;

(iv) in sub-regulation (5), after the first proviso, the following proviso shall be inserted,

namely:- “Provided further that the Board may condone the delay in achieving the financial closure within 270 days, as specified at sub-regulation (3), after getting satisfied that the reasons of delay submitted by the entity are beyond its control. The onus of proof that reasons are beyond the control of the entity shall be with the entity. Further, any such condonation shall not be for more than 60 days at any single occasion beyond which the entity has to approach the Board again with the request for further consideration.”

(f) in regulation 12, in sub-regulation (2), -

(i) after the third proviso, the following proviso shall be inserted, namely; “Provided also that in respect of those geographical areas where designated source of natural gas in the bid is other than from natural gas pipelines, including from an LNG terminal, the third proviso shall not apply.”;

(ii) “Explanation” shall be numbered as “Explanation 1”, and the following after the

explanation so numbered explanation shall be inserted, namely :-

Explanation 2: For the purpose of this sub-regulation, the readiness of CGD networks shall mean any of the following, namely:-

(a) operation of at least one CNG Station within authorized geographical area, or

(b) procurement of land for setting up City Gate Station, or

(c) completing laying of steel pipeline at least to the extent of 10% of the MWP target for the first year, or

(d) completing laying of MDPE pipeline at least to the extent of 50% of the MWP target of steel pipeline for the first year.

NOTE: Explanation 2 This will be applicable to all authorized entities irrespective of the year of bidding or authorization”;

(g) In regulation 13, -

(i) For Sub-regulation (1), the following shall be substituted, namely:-

(1) “An authorized entity shall provide, on a monthly and yearly basis, a progress report detailing the clearances obtained, targets achieved, expenditure incurred, works-in- progress and other relevant information in the formats given at Schedule E for such purpose.‟‟;-

(h) In regulation 14, -[भाग III—खण् ड 4] भारत का राजपत्र : ऄसाधारण 15

(i) For Sub-regulation (10), the following shall be substituted namely:-

(10) “An authorized entity shall continue to submit post commissioning information in the formats given at Schedule E for such purpose.”

(i) in regulation 16, after sub regulation (6), the following shall be inserted, namely: - “(7) The procedure for implementing the termination of grant of authorization of CGD network shall be as provided in Schedule G.”;

(j) in Schedule C (1), in the proviso, for the portion beginging with the words “ Provided that” and ending with the word and dash “below-”, the following shall be submitted namely:- “Provided that in the case of the geographical areas of (i) Bilaspur, Hamirpur and Una Districts; (ii) Panchkula (Except area already authorised), Shimla, Solan and Sirmaur Districts (iii) Barmer, Jaisalmer and Jodhpur Districts (iv) Darjeeling, Jalpaiguri and Uttar Dinajpur Districts, (v) Nainital and Bijnor Districts, (vi) Pauri Garhwal, Uttarkashi, Rudraprayag and Tehri Garhwal Districts, (vii) Pithoragarh, Champawat, Almora, Chamoli and Bageshwar Districts, (viii) Mandi, Kullu, Kinnaur and Lahaul and Spiti Districts, (ix) Kangra and Chamba Districts and (x) Jammu, Udhampur, Reasi, Samba and Kathua Districts, the composite score of three entities shall be computed by assigning the respective weights assigned to each of the bidding criterion as indicated below -”.

(k) In Schedule D, in term and condition no. 3, in the third paragraph related to time line for achievement of year-wise work programme within 10 years, for the portion beginning with the word “Alternatively” and ending with the word and column dash “namely: -”, the following

shall be substituted namely: - “Alternatively, In the case of the geographical areas of (i) Bilaspur, Hamirpur and Una Districts; (ii) Panchkula (Except area already authorised), Shimla, Solan and Sirmaur Districts (iii) Barmer, Jaisalmer and Jodhpur Districts (iv) Darjeeling, Jalpaiguri and Uttar Dinajpur Districts, (v) Nainital and Bijnor Districts, (vi) Pauri Garhwal, Uttarkashi, Rudraprayag and Tehri Garhwal Districts, (vii) Pithoragarh, Champawat, Almora, Chamoli and Bageshwar Districts, (viii) Mandi, Kullu, Kinnaur and Lahaul & Spiti Districts, (ix) Kangra and Chamba Districts and (x) Jammu, Udhampur, Reasi, Samba and Kathua Districts, the entity shall be required to achieve the year-wise work programme within 10 contract years as per details given below, namely: -”.

(l) in Schedule E, -

(i) for clauses A and B, the following shall be substituted, namely :- “A: Authorized entity shall submit the reports in formats E1, E2, E3, E4 and E5, as

appended below: - E1 (Monthly) - PNG Connections & Sale (District Wise) ;

E2 (Monthly) - Data of CNG Stations and Sale (Kg & SCM);

E3 (Monthly) - Infrastructure Data (Pipeline and CGS);

E4 (Monthly) - Price Break-up of PNG and CNG;

E5 (Yearly) – Financial Parameters.

B: Timelines for Report Submission: An entity shall submit the Progress Reports in Online Portal for each of the months of January, February, April, May, July, August, October, November within 20 days of the following month and for each of the months of March, June, September, December (Quarter end Months) within 30 days of the following month. The nodal officer appointed by the Entity shall be responsible for submission of correct data in timebound manner.”;

(ii) after the end of Clause E, for the existing Note, the following shall be substituted,

namely :16 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] “Note 1: The Board reserves the right to seek any information or data from an entity, as it may deem fit, to satisfy itself to the compliance by the entity at any point of time.

Note 2: It is clarified that due to the technical reasons, the information sought in various formats may have to be rearranged as required while implementing the online reporting system.”

(iii) after the end of the Note 2 so substituted, for the existing report formats (except E1B), the following report formats E1, E2, E3 and E4 shall respectively be substituted and the existing format E1B shall be renumbered as E5, thereafter, namely:- E1:

Methodology for net worth computation under Method 1:

Net worth shall be computed as defined in clause (57) of section 2 of the Companies Act, 2013.

Methodology for Net Worth Computation under Method 2:

By valuation of assets on the following basis, namely :-

1. Investments in the name of the applicant (Detailed list to be enclosed)

(a) Securities listed and quoted in Stock Exchange

(i) Market value as on ……

(ii) Margin of 30% on market value as on date specified in sub-clause (i);

(iii) Net value of listed securities specified in sub-clauses (i) and (ii).

(b) Unlisted Securities20 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4]

(i) Value as on …… (Value to be computed as per Note 1. below)

(ii) Margin of 50% on value as per sub clause (i);

(iii) Net value of unlisted securities specified in sub-clauses (i) and (ii).

(c) Other investments like PPF, NSC, bank deposits, company deposits and like other deposits , at current value;

(d) Total Net Investments= (a) (iii) + (b) (iii) + (c)

2. Land and building component of the fixed assets (full details of such assets like survey number, location, address, extent of land and building to be furnished) and-

(i) Market value (to be computed as per Note 2. below);

(ii) Margin of 50% on market value specified in sub-clause (i);

(iii) Net value of such fixed assets specified in sub-clauses (i) and (ii).

3. Debtors outstanding for not more than 3 months + cash and bank balances.

4. Current Liabilities.

5. Long term liabilities.

6. Net worth= 1.(d) + 2.(iii) + 3. – (4. + 5.).

Notes:

1. Valuation of unlisted securities would be at “fair value” of the said securities, that is to say the average of the “break-up value” and the “earning value” and for this purpose, -

(a) the “break-up value” means the paid-up equity share capital and all reserves created out of the profits and securities premium account as reduced by the accumulated losses, deferred expenditure and miscellaneous expenditure not written off as per the latest audited balance sheet, but not including reserves created out of revaluation of assets, write-back of depreciation and amalgamation, divided by the number of equity shares of the investee company.

(b) the “earning value” means the value of an equity share computed by taking the average of profits after tax as reduced by the preference dividend and adjusted for extra-ordinary and non-recurring items, for the immediately preceding three years and further divided by the number of equity shares of the investee company and capitalised at the following rate, namely: -

(i) In case of predominantly manufacturing company, eight percent;

(ii) In case of predominantly trading company, ten percent;

(iii) In case of any other company, including an NBFC, twelve percent; and

(iv) If, an investee company is a loss-making company, the earning value will be taken at zero.

2. Valuation of fixed assets for the purpose of net worth shall be certified by Government approved valuers as per Companies (Registered Valuers and Valuation) Rules, 2017. The valuation shall not be more than 6 months old on the date of submission of the bid. Further, the valuation shall be capped at Circle Rate. Only those items of land and building that are in the name of the entity or proprietor shall be included under the head at sl. No. 2 above that is to say, Land and building component of the fixed assets. Those properties that are taken on lease shall not be included for computation of net worth.

Fixed assets other than Land and Building shall not be included for the purpose of computation of net worth.

3. Details of items comprising investments, current assets, current liabilities and long-term liabilities shall be given separately.

4. Current assets should exclude loans to related entities, bad and doubtful debts and debts outstanding for more than 3 months, advance against capital assets, pledged securities or assets, prepaid expenses and also intangible assets.

5. Valuation of properties will be net of encumbrances with details of loan and other encumbrances, if any. Details of encumbrances, including „nil‟ encumbrance, shall be supported by a certificate by the entity.

7. In case the bidder is supported by an equity fund, net-worth shall be lower of assets under management of the equity fund and the amount of support by a legally binding document for supporting the entity to achieve the work program.

8. In case of a bid submitted by a consortium, net worth of only those consortium members would be considered which have at least 11% stake in the consortium:

Provided that, when the Consortium is converted into a company registered under the Companies Act, 2013 as required by clause(f) of sub-regulation (6) of regulation 5 relating to CGD Authorisation, each of such member should hold not less than 11% shareholding in the company and shall continue to hold not less than 11% shareholding in the company till exclusivity from the purview of common carrier or contract carrier.

9. In case an entity bids for more than one GA and if the net worth of the bidder as calculated by the Board is lower than the cumulative net worth required as per Regulation clause(e) of sub-regulation

(6) of regulation 5 relating to CGD Authorization, then the bidder shall be considered to be qualified for certain GAs in the following order, unless specified otherwise by the bidder:

First the GA having the highest population amongst the GAs bided by the entity.

Thereafter, GA bided by the entity would be considered in the same sequence as these are appearing in List of GAs open for bidding published by the Board, provided the remaining net worth of the bidder is more than the minimum net worth requirement of the GA at next serial number else GA at subsequent serial number and so on shall be considered. This process shall continue till net worth of the bidder as calculated by the Board is available.

10. Any certificate submitted along with the bid certified by a Chartered Accountants shall be considered only if accompanied by the Unique Document Identification Number (UDIN) generated on the UDIN portal of The Institute of Chartered Accountants of India.

11. In case of bidding by unincorporated consortium, cross investment or holdings amongst the consortium partners will not be counted for the purpose of net worth evaluation.

12. If the net worth criteria is fulfilled considering assets of any person other than a company, an affidavit should also be enclosed along with the net worth certificate, that all the assets considered in the net worth certificate are free from any encumbrance, charge, lien and liability and are owned and are in absolute control or possession of that person. Wherever there is any encumbrance or charge or lien or liability, the outstanding amount of loan or liability shall be reduced from the value of the asset against which such loan or liability exists. Further, any Income Tax demand or liability against the entity or any consortium partner should also be reduced from the assets, while calculating the net worth.”.
